Governmental Authority Filings in Connection With Administrative Services. Subject to Section 4.1(a), from and after the Administrative Transfer Date and during the Term, each filing with or submission to a Governmental Authority in the Ceding Company’s name in connection with the provision by the Reinsurer of the Administrative Services hereunder will, (i) be prepared by the Reinsurer, (ii) provided to the Ceding Company for its review and consent at least five (5) Business Days prior to any required filing deadline or intended submission date (or such shorter period as may be required to comply with applicable Law or a requirement of a Governmental Authority), such consent not to be unreasonably withheld, conditioned, delayed or denied, and (iii) be filed or submitted to the applicable Governmental Authority by the Reinsurer in the Ceding Company’s name. All filing fees and other costs and expenses in connection with the filings or submissions described in this Section 4.1(c) or otherwise in connection with the Coinsured Contracts or any Administrative Service will be borne solely by the Reinsurer.
