Grant of Options; Exercise Price. For good and valuable consideration, upon the terms and conditions set forth herein and in the Plan, on and as of the Grant Date, the Company grants to the Optionee an option to purchase any part or all of an aggregate of the number and series of Membership Units set forth on Section B of the Master Signature Page attached hereto, at the Exercise Price, without commission or other charge.

Grant of Options; Exercise Price. Pursuant to the provisions of the Plan, on the date set forth above (the “Grant Date”), the Corporation has granted and hereby evidences the grant to the Participant, subject to the terms and conditions set forth herein and in the Plan, of options to purchase from the Corporation [ ] shares of Stock (the “Option”). The exercise price for each share of Stock covered by the Option shall be equal to [$ ], which was the Fair Market Value of the Stock on the Grant Date. Upon any exercise of the Options, the Corporation shall cause a book entry account maintained for the Participant to be credited for the number of shares of Stock to be issued to the Participant (or shall evidence the issuance of Stock by such other reasonable method as the Committee may determine in its sole discretion).
Grant of Options; Exercise Price. For good and valuable consideration, upon the terms and conditions set forth herein and in the Plan, on and as of the date set forth on the signature page hereof (the “Grant Date”), the Company grants to the Optionee the FMV Option, $4.00 Option, the $5.00 Option, and $7.50 Option (collectively, the “Option”) to purchase any part or all of an aggregate of the number of Shares set forth on the signature page hereof, at the exercise prices set forth on the signature page hereof, opposite each such portion of the Option, without commission or other charge. Each exercise price per Share as set forth on the signature page hereof is at least equal to the Fair Market Value. The Option is granted as a stock option intended to meet the requirements of Section 422(b) of the Code to the greatest extent permitted by law (the Option, or such portion of the Option that meets such requirements, the “Incentive Stock Option”), and any portion of the Option that does not meet such requirements shall be treated as a nonqualified stock option. In determining which component of the Option shall comprise the Incentive Stock Option in the event that less than all of the Option can constitute an Incentive Stock Option under applicable tax law limitations (the “ISO Limit”), the FMV Option shall count first against the ISO Limit, then the $4.00 Option, then the $5.00 Option and finally the $7.50 Option (such that if the ISO Limit applies, the portion of the Option constituting an Incentive Stock Option shall be comprised first of the FMV Option, then the $4.00 Option, then the $5.00 Option and finally the $7.50 Option, in each case, until the ISO Limit is exceeded).
Grant of Options; Exercise Price. Each Participant shall be granted, as of the Purchase Date, an Option to purchase a number of shares equal to the whole number that is ten times the number of Purchased Shares the Participant has invested in at that date (subject to adjustment). The exercise price per share of the Option will equal the Purchase Price of the Purchased Shares (subject to adjustment).

  • Number of Shares; Exercise Price This certifies that, for value received, the United States Department of the Treasury or its permitted assigns (the “Warrantholder”) is entitled, upon the terms and subject to the conditions hereinafter set forth, to acquire from the Company, in whole or in part, after the receipt of all applicable Regulatory Approvals, if any, up to an aggregate of the number of fully paid and nonassessable shares of Preferred Stock set forth in Item 7 of Schedule A hereto (the “Shares”), at a purchase price per share of Preferred Stock equal to the Exercise Price.

  • Payment of Exercise Price In the event that the holder has elected a Cash Exercise with respect to some or all of the Warrant Shares to be issued pursuant hereto, the holder shall pay the Aggregate Exercise Price in the sum of $___________________ to the Company in accordance with the terms of the Warrant.

  • Adjustment of Exercise Price and Number of Shares The number and kind of Shares purchasable upon exercise of this Warrant and the Exercise Price shall be subject to adjustment from time to time as follows:

  • NUMBER OF SHARES AND EXERCISE PRICE The number of shares of Common Stock subject to your option and your exercise price per share referenced in your Grant Notice may be adjusted from time to time for Capitalization Adjustments.

  • Option Exercise Price The per share price to be paid by Optionee in the event of an exercise of the Option will be $ .

  • Adjustment of Exercise Price and Shares After each adjustment of the Exercise Price pursuant to this Section 8, the number of shares of Common Stock purchasable on the exercise of each Warrant shall be the number derived by dividing such adjusted pertinent Exercise Price into the original pertinent Exercise Price. The pertinent Exercise Price shall be subject to adjustment as follows:

  • the Exercise Price If the Expiration Date is not a Business Day, then this Warrant may be exercised on the next succeeding Business Day.

  • Adjustment of Exercise Price (a) The Exercise Price and the number of shares deliverable upon the exercise of the Warrants will be subject to adjustment in the event and in the manner following:

  • Exercise Price The exercise price per share of the Common Stock under this Warrant shall be $1.00, subject to adjustment hereunder (the “Exercise Price”).
