Grant of Site License. Subject to the terms and conditions of this Agreement, including Petro Star's payment of the license fees and royalties set forth in Section 2.2, EBC hereby grants to Petro Star during the term of this Agreement, a limited, non-exclusive license to use the Proprietary Technology (as defined herein) in the field of Biorefining that is owned by or licensed to EBC (the "Licensed Technology") to construct and install the BDS Unit at the PVSR, to conduct the development efforts contemplated by the Installation and Operation Plan, to operate the BDS Unit at the PVSR for the removal of sulfur from up to 5,000 barrels of diesel per day, and to make and have made, use, sell and market and otherwise commercially exploit throughout the world products of the PVSR processed by the BDS Unit.

Grant of Site License. Home Health Systems grants to Customer non-exclusive, limited, nontransferable license and permits Customer to use the Manual and the Derivative Works in the usual course of its business operations. Customer may not reproduce the Manual or the Derivative Works, in whole or any portion thereof, by a means, except as explicitly set forth herein or authorized by Home Health Systems in writing. The Product may not be distributed by any means to a site or location other than the business name and address(es) located on the invoice/order form and may not be accessed by unauthorized End Users.
Grant of Site License. Subject to the terms and conditions set forth in this MLA and Licensee’s compliance with all Applicable Laws as defined in Section 2.4.3, Licensor hereby grants to Licensee the exclusive right to use only those certain portions of the Licensor Properties (each, a “Licensed Site,” and collectively, the “Licensed Sites”), and certain non-exclusive areas which may be designated for access and utilities as specifically identified in the SLAs. The terms and conditions of each SLA shall govern and control in the event of any discrepancy or inconsistency with the terms and conditions of this MLA.

The use of such license by the Collateral Agent may only be exercised, at the option of the Collateral Agent, during the continuation of an Event of Default; provided that any license, sublicense or other transaction entered into by the Collateral Agent in accordance herewith shall immediately terminate at such time as the Collateral Agent is no longer lawfully entitled to exercise its rights and remedies under this Agreement. Nothing in this Section 4.01 shall require a Grantor to grant any license that is prohibited by any rule of law, statute or regulation, or is prohibited by, or constitutes a breach or default under or results in the termination of any contract, license, agreement, instrument or other document evidencing, giving rise to or theretofore granted, with respect to such property or otherwise unreasonably prejudices the value thereof to the relevant Grantor. In the event the license set forth in this Section 4.01 is exercised with regard to any Trademarks, then the following shall apply: (i) all goodwill arising from any licensed or sublicensed use of any Trademark shall inure to the benefit of the Grantor; (ii) the licensed or sublicensed Trademarks shall only be used in association with goods or services of a quality and nature consistent with the quality and reputation with which such Trademarks were associated when used by Grantor prior to the exercise of the license rights set forth herein; and (iii) at the Grantor’s request and expense, licensees and sublicensees shall provide reasonable cooperation in any effort by the Grantor to maintain the registration or otherwise secure the ongoing validity and effectiveness of such licensed Trademarks, including, without limitation the actions and conduct described in Section 4.02 below.

  • Sublicense (a) The license granted in Paragraph 2.1 includes the right of LICENSEE to grant Sublicenses to third parties during the Term but only for as long as the license to Patent Rights is exclusive.

  • Grant of Right In addition to the demand right of registration described in Section 5.1 hereof, the Holder shall have the right, for a period of no more than two (2) years from the Initial Exercise Date in accordance with FINRA Rule 5110(g)(8)(D), to include the Registrable Securities as part of any other registration of securities filed by the Company (other than in connection with a transaction contemplated by Rule 145(a) promulgated under the Securities Act or pursuant to Form S-8 or any equivalent form); provided, however, that if, solely in connection with any primary underwritten public offering for the account of the Company, the managing underwriter(s) thereof shall, in its reasonable discretion, impose a limitation on the number of Shares which may be included in the Registration Statement because, in such underwriter(s)’ judgment, marketing or other factors dictate such limitation is necessary to facilitate public distribution, then the Company shall be obligated to include in such Registration Statement only such limited portion of the Registrable Securities with respect to which the Holder requested inclusion hereunder as the underwriter shall reasonably permit. Any exclusion of Registrable Securities shall be made pro rata among the Holders seeking to include Registrable Securities in proportion to the number of Registrable Securities sought to be included by such Holders; provided, however, that the Company shall not exclude any Registrable Securities unless the Company has first excluded all outstanding securities, the holders of which are not entitled to inclusion of such securities in such Registration Statement or are not entitled to pro rata inclusion with the Registrable Securities.
