GST gross up. (a) Subject to clause 11.2(b), if a party makes a supply under or in connection with this agreement in respect of which GST is payable, the consideration for the supply but for the application of this clause 11.2 (GST exclusive consideration) is increased by an amount equal to the GST exclusive consideration multiplied by the rate of GST prevailing at the time the supply is made. GST gross up. If GST applies to any supply made under this Agreement, then the Party making that supply may, in addition to any other amount payable in this Agreement, recover from the other Party an additional amount on account of GST, such amount to be calculated on the basis of the current GST rate, provided that the Party gives the other Party a tax invoice for the supply. Unless otherwise specified, any amount payable under this Agreement is exclusive of GST.
GST gross up. If a party (the Recipient) is liable to make a payment or provides any other consideration to the other party (the Supplier) under this Agreement (the Payment) for any Supply under this Agreement, the following principles apply when determining the amount of the Payment: (a) If GST is payable to the Australian Taxation Office by the Supplier in relation to the Supply, unless the Payment is specified in this Agreement to be GST inclusive, the Payment will be the consideration specified in this Agreement, or as agreed between the parties, plus GST payable by the Supplier in respect of the Taxable Supply component of the Supplies made pursuant to this Agreement at the rate prevailing at the time the Payment is made. (b) If the Payment is determined by reference to any cost, expense or liability incurred by the Supplier, the reference to cost, expense or liability means the actual amount incurred by the Supplier less the amount of any GST Input Tax Credit the Supplier is entitled to claim in respect of that cost, expense or liability. (c) If a party sets off an amount otherwise payable under this Agreement the principles set out above will be applied to calculate the amount to be set off as if that amount had been paid. (d) If there is a refund or repayment of the Payment, whether in whole or in part, the relevant proportion of any GST amount previously paid by the Recipient in respect of the Suppliers GST liability arising in connection with the Taxable Supply for which the Payment was originally paid must also be refunded to the Recipient. (e) Despite anything else in this Agreement, the Recipient is not obliged to pay any GST in relation to a supply unless and until the Recipient receives from the Supplier a valid Tax Invoice or Adjustment Note (as appropriate) or a document which will become a valid Tax Invoice or Adjustment Note on payment by the Recipient and in circumstances where a Recipient Created Tax Invoice will be issued by the Recipient, the Recipient is not obliged to pay any GST in relation to a supply until the Recipient has issued a Recipient Created Tax Invoice or Adjustment Note. (f) Each party agrees to do all reasonable things within a reasonable period of time of being requested by the other party (including but not limited to providing invoices, adjustment notes, or other documentation containing stipulated information) which may be necessary or desirable to enable or assist the other party to claim, in a timely manner, any credit, set ...
