Guarantor’s Resolutions and Incumbency Certificate, etc. Each of Lessor, General Partner, Administrative Agent and each of the Lenders shall have received (x) a certificate of the Secretary or an Assistant Secretary of each Guarantor, dated as of the Closing Date, attaching and certifying as to: (i) the respective Board of Directors' resolution duly authorizing the execution, delivery and performance by it of the related Guaranty, (ii) the incumbency and signatures of persons authorized to execute and deliver such document on its behalf, (iii) Operating Documents and (iv) Organizational Documents, and (v) good standing certificates for the Guarantors, dated within thirty (30) days of the Closing Date, from the appropriate offices of the respective states of incorporation of such Guarantor.

Guarantor’s Resolutions and Incumbency Certificate, etc. Each of Lessor and Administrative Agent shall have received (x) a certificate of the Secretary or an Assistant Secretary of Guarantor, dated as of the Closing Date, attaching and certifying as to (i) the Board of Directors’ resolution duly authorizing the execution, delivery and performance by it of each Operative Document to which it is or will be a party, (ii) the incumbency and signatures of persons authorized to execute and deliver such documents on its behalf, (iii) its certificate of incorporation, certified as of a recent date by the Secretary of State of the state of its incorporation, (iv) its by-laws, and (v) good standing certificates for Guarantor, dated within thirty (30) days of the Closing Date, from the appropriate offices of the state or states of Guarantor’s incorporation and principal place of business.
Guarantor’s Resolutions and Incumbency Certificate, etc. Lessee shall have delivered to the Lessor and the Administrative Agent (1) a good standing certificate with respect to Lessee from the Secretary of State of Delaware, issued by such office no earlier than thirty (30) days prior to the Initial Advance Date and (2) a Responsible Officer’s Certificate of Lessee substantially in the form of Exhibit G, attaching and certifying as to (w) the corporate authority for the execution, delivery and performance by Lessee of each Operative Document to which it is or will be a party, (x) its articles of incorporation, (y) its bylaws and (z) the incumbency and signature of persons authorized to execute and deliver on its behalf the Operative Documents to which it is a party and (B) the Parent Guarantor shall have delivered to the Lessor and the Administrative Agent (1) a good standing certificate with respect to Parent Guarantor from the Secretary of State of New York issued by such office no earlier than thirty (30) days prior to the Initial Advance Date and (2) an Officer’s Certificate of Parent Guarantor substantially in the form of Exhibit G-2, attaching and certifying as to (w) the corporate authority for the execution, delivery and performance by Parent Guarantor of each Operative Document to which it is or will be a party, (x) its articles of incorporation, (y) its by-laws and (z) the incumbency and signature of persons authorized to execute and deliver on its behalf the Operative Documents to which it is a party.

  • Closing Certificates; Certified Certificate of Incorporation; Good Standing Certificates The Administrative Agent shall have received (i) a certificate of each Loan Party, dated the Effective Date and executed by its Secretary or Assistant Secretary, which shall (A) certify the resolutions of its Board of Directors, members or other body authorizing the execution, delivery and performance of the Loan Documents to which it is a party, (B) identify by name and title and bear the signatures of the Financial Officers and any other officers of such Loan Party authorized to sign the Loan Documents to which it is a party, and (C) contain appropriate attachments, including the certificate or articles of incorporation or organization of each Loan Party certified by the relevant authority of the jurisdiction of organization of such Loan Party and a true and correct copy of its by-laws or operating, management or partnership agreement, and (ii) a long form good standing certificate for each Loan Party from its jurisdiction of organization.

  • Certificate of Incumbency a list of directors and officers of each Relevant Party specifying the names and positions of such persons, certified (in a certificate dated no earlier than five (5) Banking Days prior to the date of this Agreement) by an officer of such Relevant Party to be true, complete and up to date;
