Common use of Handling Clause in Contracts

Handling. In order to protect such Confidential Information from improper disclosure, each Party agrees: (a) That all Confidential Information shall be and shall remain the exclusive property of the source; (b) To limit access to such Confidential Information to authorized employees who have a need to know the Confidential Information for performance of this Agreement; (c) To keep such Confidential Information confidential and to use the same level of care to prevent disclosure or unauthorized use of the received Confidential Information as it exercises in protecting its own Confidential Information of a similar nature; (d) Not to copy, publish, or disclose such Confidential Information to others or authorize anyone else to copy, publish, or disclose such Confidential Information to others without the prior written approval of the source; (e) To return promptly any copies of such Confidential Information to the source at its request; and (f) To use such Confidential Information only for purposes of fulfilling work or services performed hereunder and for other purposes only upon such terms as may be agreed upon between the Parties in writing.

In order to protect such Confidential Information from improper disclosure, each Party agrees: (a) That all Confidential Information shall be and shall remain the exclusive property of the source; (b) To limit access to such Confidential Information to authorized employees or agents or network managers who have a need to know the Confidential Information for performance of this Agreement; (c) To keep such Confidential Information confidential and to use the same level of care to prevent disclosure or unauthorized use of the received Confidential Information as it exercises in protecting its own Confidential Information of a similar nature; (d) Not to copy, publish, or disclose such Confidential Information to others or authorize anyone else to copy, publish, or disclose such Confidential Information to others without the prior written approval consent of the source; (e) To At the option of the source, to return promptly to the source or to destroy promptly any copies of such Confidential Information to confidential information at the source at its request; andrequest of the source; (f) To use such Confidential Information only for purposes of fulfilling work or services performed hereunder and for other purposes only upon such terms as may be agreed upon between the Parties in writing.

(g) Neither Party's retail operations shall have access to, know of, be permitted to obtain, be provided with, obtain disclosure about or otherwise have communicated to it any information defined as Confidential Information.

Handling. In order to protect such Confidential Information from improper disclosure, each Party agrees: (a) That all Confidential Information shall be and shall remain the exclusive property of the source; (b) To limit access to such Confidential Information to authorized employees employees, contractors or agents who have a need to know the Confidential Information for performance of this AgreementAgreement and, before allowing any such contractors or agents, other than those subject to a duty of confidentiality, to access the Confidential Information, cover the contractors or agents under an appropriate confidentiality agreement which contains substantially similar terms to those contained in this Section 9; (c) To keep such Confidential Information confidential and to use the same level of care to prevent disclosure or unauthorized use of the received Confidential Information as it exercises in protecting its own Confidential Information of a similar nature; (d) Not to copy, publish, or disclose such Confidential Information to others and other Person or authorize anyone else other Person to copy, publish, or disclose such Confidential Information to others without the prior written approval of the source; (e) To return promptly any copies of such Confidential Information to the source at its request; and (f) To use such Confidential Information only for purposes of fulfilling work or services performed hereunder and for other purposes only upon such terms as may be agreed upon between the Parties in writing.

In order to protect such Confidential Information from improper disclosure, each Party agrees: (a) That all Confidential Information shall be and shall remain the exclusive property of the source; (b) To limit access to such Confidential Information to authorized employees employees, contractors or agents who have a need to know the Confidential Information for performance of this AgreementAgreement and, before allowing any such contactors or agents to access the Confidential Information, cover the contractors or agents under confidentiality obligations substantially similar to those contained in this section 9; (c) To keep such Confidential Information confidential and to use the same level of care to prevent disclosure or unauthorized use of the received Confidential Information as it exercises in protecting its own Confidential Information of a similar nature;. (d) Not to copy, publish, or disclose such Confidential Information to others or authorize anyone else to copy, publish, or disclose such Confidential Information to others without the prior written approval of the source; (e) To return promptly any copies of such Confidential Information to the source at its request; and (f) To use such Confidential Information only for purposes of fulfilling work or services performed hereunder and for other purposes only upon such terms as may be agreed upon between the Parties in writing.

In order to protect such Confidential Information from improper disclosure, each Party agrees: (a) That all Confidential Information shall be and shall remain the exclusive property of the source; (b) To limit access to such Confidential Information to authorized employees employees, contractors or agents who have a need to know the Confidential Information for performance of this Agreement; (c) To keep such Confidential Information confidential and to use at least the same level of care to prevent disclosure or unauthorized use of the received Confidential Information as it exercises in protecting its own Confidential Information of a similar nature; (d) Not to copy, publish, or disclose such Confidential Information to others or authorize anyone else to copy, publish, or disclose such Confidential Information to others without the prior written approval of the source; (e) To return promptly any copies of such Confidential Information to the source at its request; and (f) To use such Confidential Information only for purposes of fulfilling work or services performed hereunder and for other purposes only upon such terms as may be agreed upon between the Parties in writing.

In order to protect such Confidential Information from improper disclosure, each Party agrees: (a) That all Confidential Information shall be and shall remain the exclusive property of the sourceowning party; (b) To limit access to such Confidential Information to authorized employees who have a need to know the Confidential Information for performance of this Agreement; (c) To keep such Confidential Information confidential and to use the same level of care to prevent disclosure or unauthorized use of the received Confidential Information as it exercises in protecting its own Confidential Information of a similar nature; (d) Not to copy, publish, or disclose such Confidential Information to others or authorize anyone else to copy, publish, or disclose such Confidential Information to others without the prior written approval of the sourceowning party; (e) To return promptly any copies of such Confidential Information to the source owning party at its request; and (f) To use such Confidential Information only for purposes of fulfilling work or services performed hereunder and for other purposes only upon such terms as may be agreed upon between the Parties in writing.

In order to protect such Confidential Information from improper disclosure, each Party agrees: (aA) That all Confidential Information shall be and shall remain the exclusive property of the source;source;‌ (bB) To limit access to such Confidential Information to authorized employees employees, consultants, or appropriate legal counsel who have a need to know the Confidential Information for performance of this Agreement; (cC) To keep such Confidential Information confidential and to use the same level of care to prevent disclosure or unauthorized use of the received Confidential Information as it exercises in protecting its own Confidential Information of a similar nature; (dD) Not to copy, publish, or disclose such Confidential Information to others or authorize anyone else to copy, publish, or disclose such Confidential Information to others without the prior written approval of the source; (eE) To return promptly any copies of such Confidential Information to the source at its request; and (fF) To use such Confidential Information only for purposes of fulfilling work or services performed hereunder and for other purposes only upon such terms as may be agreed upon between the Parties in writing.
