Common use of Handover Clause in Contracts

Handover. 11.1 It is a fundamental requirement by SANParks that the transfer of the Restaurant Facility is undertaken on the basis that: 11.1.1 there is no or minimal disruption in the provision of goods and services to visitors to the Park; 11.1.2 any structural alterations do not cause the Restaurant Facility to be closed to visitors to the Protected Area unless alternative Restaurant Facility are provided; 11.1.3 the handover shall be undertaken in such a manner to cause the least disruption and/or intrusion to SANParks, employees and visitors and then only in a manner which is mutually acceptable to both SANParks and the Private Party; 11.1.4 no decisions of any direct material import relating to the operation of the Business will be taken without the prior written approval of the Private Party; 11.1.5 the business of the Restaurant Facility will be conducted in the usual manner throughout the Handover Period; and 11.1.6 SANParks shall not be liable for any claims or actions which arise during the Handover Period irrespective of the cause or nature of same. 11.2 During the Handover Period: 11.2.1 the Private Party and SANParks shall co-operate and work together to achieve an effective transfer of the Restaurant Facility on the Effective Date; 11.2.2 SANParks shall retain responsibility for all operations, and expenses thereof, relating to the Facility; 11.2.3 the Private Party shall be entitled to nominate one or more representatives to be stationed at the Restaurant Facility, to work with SANParks management to effect a smooth handover. The Private Party’s representatives shall however have no authority in relation to SANParks operations or employees during the Handover Period. 11.3 On the Operation Commencement Date, the Private Party shall assume full responsibility under this PPP Agreement for the operations, and expenses thereof, relating to the Restaurant Facility, and be entitled to the fruits hereof.

Handover. 11.1 14.1 It is a fundamental requirement by SANParks that the transfer of the Restaurant AENP Xxxx Braai Facility is undertaken on the basis that: 11.1.1 14.1.1 there is no or minimal disruption in the provision of goods and services to visitors to the ParkProtected Area and includes use of vehicles for products on offer to visitors to the Protected Area; 11.1.2 14.1.2 any structural alterations do not cause the Restaurant AENP Xxxx Braai Facility to be closed to visitors to the Protected Area unless alternative Restaurant Facility alternatives are providedprovided (unless it was closed in any event); 11.1.3 14.1.3 the handover shall be undertaken in such a manner to cause the least disruption and/or intrusion to SANParks, SANParks and employees and visitors and then only in a manner which is mutually acceptable to both SANParks and the Private Party; 11.1.4 no decisions of any direct material import relating to the operation of 14.1.4 the Business will be taken without the prior written approval of the Private Party; 11.1.5 the business of the Restaurant Facility will be conducted in the usual manner throughout the Handover Period; and 11.1.6 14.1.5 SANParks shall not be liable for any claims or actions which arise during the Handover Period irrespective of the cause or nature of same. 11.2 14.2 During the Handover Period: 11.2.1 14.2.1 the Private Party and SANParks shall co-operate and work together to achieve an effective transfer of control and management of AENP Xxxx Braai Facility to the Restaurant Facility Private Party on the Effective Operation Commencement Date; 11.2.2 SANParks shall retain responsibility for all operations, and expenses thereof, relating to the Facility; 11.2.3 14.2.2 the Private Party shall be entitled to nominate one or more representatives to be stationed at the Restaurant FacilityAENP Xxxx Braai Facility , to work with SANParks management to effect a smooth handover. The Private Party’s representatives shall however have no authority in relation to SANParks operations or employees during the Handover Period. 11.3 14.3 On the Operation Commencement Date, the Private Party shall assume full responsibility under this PPP Agreement for the operations, and expenses thereof, relating to the Restaurant FacilityAENP Xxxx Braai Facility , and be entitled to the fruits hereof.

Specifically, the Current Operator, Private Party and SANParks shall co-ordinate their activities such that the stocktaking required in terms of the Sale of Business Agreement is undertaken and completed during the Handover Period; 11.2.2 SANParks Current Operator shall retain responsibility for all operations, and expenses thereof, relating to the FacilityFacilities as per Sales of Business Agreement; 11.2.3 the Private Party shall be entitled to nominate one or more representatives to be stationed at the Restaurant FacilityRetail Facilities, to work with Current Operator, and SANParks management to effect a smooth handover. The Private Party’s representatives shall however have no authority in relation to SANParks Current Operator’s operations or employees during the Handover Period. 11.3 11.2.4 On the Operation Commencement Date, the Private Party shall assume full responsibility under this PPP Agreement for the operations, and expenses thereof, relating to the Restaurant FacilityRetail Facilities, and be entitled to the fruits hereof.

Handover. 11.1 It is a fundamental requirement by SANParks that the transfer of the Restaurant Facility and Retail Facilities is undertaken on the basis that: 11.1.1 there is no or minimal disruption in the provision of goods and services to visitors to the Park; 11.1.2 any structural alterations do not cause the Restaurant Facility and Retail Facilities to be closed to visitors to the Protected Area unless alternative Restaurant Facility and Retail Facilities are provided; 11.1.3 the handover shall be undertaken in such a manner to cause the least disruption and/or intrusion to SANParks, employees and visitors and then only in a manner which is mutually acceptable to both SANParks and the Private Party; 11.1.4 no decisions of any direct material import relating to the operation of the Business will be taken without the prior written approval of the Private Party; 11.1.5 the business of the Restaurant Facility and Retail Facilities will be conducted in the usual manner throughout the Handover Period; and 11.1.6 SANParks shall not be liable for any claims or actions which arise during the Handover Period irrespective of the cause or nature of same. 11.2 During the Handover Period: 11.2.1 the Private Party and SANParks shall co-operate and work together to achieve an effective transfer of the Restaurant Facility and Retail Facilities on the Effective Date; 11.2.2 SANParks shall retain responsibility for all operations, and expenses thereof, relating to the FacilityFacilities; 11.2.3 the Private Party shall be entitled to nominate one or more representatives to be stationed at the Restaurant Facilityand Retail Facilities, to work with SANParks management to effect a smooth handover. The Private Party’s representatives shall however have no authority in relation to SANParks operations or employees during the Handover Period. 11.3 On the Operation Commencement Date, the Private Party shall assume full responsibility under this PPP Agreement for the operations, and expenses thereof, relating to the Restaurant Facilityand Retail Facilities, and be entitled to the fruits hereof.

The Private Party’s representatives shall however have no authority in relation to SANParks operations or employees during the Handover Period. 11.3 14.3 On the Operation Commencement Date, the Private Party shall assume full responsibility under this PPP Agreement for the operations, and expenses thereof, relating to the Restaurant FacilityNAMAQUA FLOWERS BEACH LUXURY MOBILE TENTED CAMP, and be entitled to the fruits hereof.

Handover. 11.1 13.1 It is a fundamental requirement by SANParks that the transfer of the Restaurant Phalaborwa Gate Xxxx Braai Facility is undertaken on the basis that: 11.1.1 13.1.1 there is no or minimal disruption in the provision of goods and services to visitors to the ParkProtected Area and includes use of vehicles for products on offer to visitors to the Protected Area; 11.1.2 13.1.2 any structural alterations do not cause the Restaurant Phalaborwa Gate Xxxx Braai Facility to be closed to visitors to the Protected Area unless alternative Restaurant Facility alternatives are providedprovided (unless it was closed in any event); 11.1.3 13.1.3 the handover shall be undertaken in such a manner to cause the least disruption and/or intrusion to SANParks, SANParks and employees and visitors and then only in a manner which is mutually acceptable to both SANParks and the Private Party; 11.1.4 no decisions of any direct material import relating to the operation of 13.1.4 the Business will be taken without the prior written approval of the Private Party; 11.1.5 the business of the Restaurant Facility will be conducted in the usual manner throughout the Handover Period; and 11.1.6 13.1.5 SANParks shall not be liable for any claims or actions which arise during the Handover Period irrespective of the cause or nature of same. 11.2 13.2 During the Handover Period: 11.2.1 13.2.1 the Private Party and SANParks shall co-operate and work together to achieve an effective transfer of control and management of Phalaborwa Gate Xxxx Braai Facility to the Restaurant Facility Private Party on the Effective Operation Commencement Date; 11.2.2 SANParks shall retain responsibility for all operations, and expenses thereof, relating to the Facility; 11.2.3 13.2.2 the Private Party shall be entitled to nominate one or more representatives to be stationed at the Restaurant Phalaborwa Gate Xxxx Braai Facility, to work with SANParks management to effect a smooth handover. The Private Party’s representatives shall however have no authority in relation to SANParks operations or employees during the Handover Period. 11.3 13.3 On the Operation Commencement Date, the Private Party shall assume full responsibility under this PPP Agreement for the operations, and expenses thereof, relating to the Restaurant Phalaborwa Gate Xxxx Braai Facility, and be entitled to the fruits hereof.

The Private Party’s representatives shall however have no authority in relation to SANParks operations or employees during the Handover Period. 11.3 14.2.3 On the Operation Commencement Date, the Private Party shall assume full responsibility under this PPP Agreement for the operations, and expenses thereof, relating to the Restaurant FacilityXxxx Braai Product, and be entitled to the fruits hereof.

The Private Party’s representatives shall however have no authority in relation to SANParks operations or employees during the Handover Period. 11.3 14.3 On the Operation Commencement Date, the Private Party shall assume full responsibility under this PPP Agreement for the operations, and expenses thereof, relating to the Restaurant FacilityGroote Xxxxxx Estate Tea Room and Restaurant, and be entitled to the fruits hereof.

Handover. 11.1 13.1 It is a fundamental requirement by SANParks that the transfer of the Restaurant Phabeni Gate Xxxx Braai Facility is undertaken on the basis that: 11.1.1 13.1.1 there is no or minimal disruption in the provision of goods and services to visitors to the ParkProtected Area and includes use of vehicles for products on offer to visitors to the Protected Area; 11.1.2 13.1.2 any structural alterations do not cause the Restaurant Phabeni Gate Xxxx Braai Facility to be closed to visitors to the Protected Area unless alternative Restaurant Facility alternatives are providedprovided (unless it was closed in any event); 11.1.3 13.1.3 the handover shall be undertaken in such a manner to cause the least disruption and/or intrusion to SANParks, SANParks and employees and visitors and then only in a manner which is mutually acceptable to both SANParks and the Private Party; 11.1.4 no decisions of any direct material import relating to the operation of 13.1.4 the Business will be taken without the prior written approval of the Private Party; 11.1.5 the business of the Restaurant Facility will be conducted in the usual manner throughout the Handover Period; and 11.1.6 13.1.5 SANParks shall not be liable for any claims or actions which arise during the Handover Period irrespective of the cause or nature of same. 11.2 13.2 During the Handover Period: 11.2.1 13.2.1 the Private Party and SANParks shall co-operate and work together to achieve an effective transfer of control and management of Phabeni Gate Xxxx Braai Facility to the Restaurant Facility Private Party on the Effective Operation Commencement Date; 11.2.2 SANParks shall retain responsibility for all operations, and expenses thereof, relating to the Facility; 11.2.3 13.2.2 the Private Party shall be entitled to nominate one or more representatives to be stationed at the Restaurant Phabeni Gate Xxxx Braai Facility, to work with SANParks management to effect a smooth handover. The Private Party’s representatives shall however have no authority in relation to SANParks operations or employees during the Handover Period. 11.3 13.3 On the Operation Commencement Date, the Private Party shall assume full responsibility under this PPP Agreement for the operations, and expenses thereof, relating to the Restaurant Phabeni Gate Xxxx Braai Facility, and be entitled to the fruits hereof.
