Common use of Handover Clause in Contracts

Handover. 14.1 It is a fundamental requirement by SANParks that the transfer of the AENP Xxxx Braai Facility is undertaken on the basis that: 14.1.1 there is no or minimal disruption in the provision of goods and services to visitors to the Protected Area and includes use of vehicles for products on offer to visitors to the Protected Area; 14.1.2 any structural alterations do not cause the AENP Xxxx Braai Facility to be closed unless alternatives are provided (unless it was closed in any event); 14.1.3 the handover shall be undertaken in such a manner to cause the least disruption and/or intrusion to SANParks and employees and then only in a manner which is mutually acceptable to both SANParks and the Private Party; 14.1.4 the Business will be conducted in the usual manner throughout the Handover Period; and 14.1.5 SANParks shall not be liable for any claims or actions which arise during the Handover Period irrespective of the cause or nature of same. 14.2 During the Handover Period: 14.2.1 the Private Party and SANParks shall co-operate and work together to achieve an effective transfer of control and management of AENP Xxxx Braai Facility to the Private Party on the Operation Commencement Date; 14.2.2 the Private Party shall be entitled to nominate one or more representatives to be stationed at the AENP Xxxx Braai Facility , to work with SANParks management to effect a smooth handover. The Private Party’s representatives shall however have no authority in relation to SANParks operations or employees during the Handover Period. 14.3 On the Operation Commencement Date, the Private Party shall assume full responsibility under this PPP Agreement for the operations, and expenses thereof, relating to the AENP Xxxx Braai Facility , and be entitled to the fruits hereof.

Handover. 14.1 11.1 It is a fundamental requirement by SANParks that the transfer of the AENP Xxxx Braai Restaurant Facility is undertaken on the basis that: 14.1.1 11.1.1 there is no or minimal disruption in the provision of goods and services to visitors to the Protected Area and includes use of vehicles for products on offer to visitors to the Protected AreaPark; 14.1.2 11.1.2 any structural alterations do not cause the AENP Xxxx Braai Restaurant Facility to be closed to visitors to the Protected Area unless alternatives alternative Restaurant Facility are provided (unless it was closed in any event)provided; 14.1.3 11.1.3 the handover shall be undertaken in such a manner to cause the least disruption and/or intrusion to SANParks SANParks, employees and employees visitors and then only in a manner which is mutually acceptable to both SANParks and the Private Party; 14.1.4 11.1.4 no decisions of any direct material import relating to the operation of the Business will be taken without the prior written approval of the Private Party; 11.1.5 the business of the Restaurant Facility will be conducted in the usual manner throughout the Handover Period; and 14.1.5 11.1.6 SANParks shall not be liable for any claims or actions which arise during the Handover Period irrespective of the cause or nature of same. 14.2 11.2 During the Handover Period: 14.2.1 11.2.1 the Private Party and SANParks shall co-operate and work together to achieve an effective transfer of control and management of AENP Xxxx Braai the Restaurant Facility to the Private Party on the Operation Commencement Effective Date; 14.2.2 11.2.2 SANParks shall retain responsibility for all operations, and expenses thereof, relating to the Facility; 11.2.3 the Private Party shall be entitled to nominate one or more representatives to be stationed at the AENP Xxxx Braai Facility Restaurant Facility, to work with SANParks management to effect a smooth handover. The Private Party’s representatives shall however have no authority in relation to SANParks operations or employees during the Handover Period. 14.3 11.3 On the Operation Commencement Date, the Private Party shall assume full responsibility under this PPP Agreement for the operations, and expenses thereof, relating to the AENP Xxxx Braai Facility Restaurant Facility, and be entitled to the fruits hereof.

Handover. 14.1 It is a fundamental requirement by SANParks that the transfer of the AENP Xxxx Braai Nkuhlu Precinct Facility is undertaken on the basis that: 14.1.1 there is no or minimal disruption in the provision of goods and services to visitors to the Protected Area and includes use of vehicles for products on offer to visitors to the Protected Area; 14.1.2 any structural alterations do not cause the AENP Xxxx Braai Nkuhlu Precinct Facility to be closed unless alternatives are provided (unless it was closed in any event); 14.1.3 the handover shall be undertaken in such a manner to cause the least disruption and/or intrusion to SANParks and employees and then only in a manner which is mutually acceptable to both SANParks and the Private Party; 14.1.4 the Business business of the Nkuhlu Precinct Facility will be conducted in the usual manner throughout the Handover Period; and 14.1.5 SANParks shall not be liable for any claims or actions which arise during the Handover Period irrespective of the cause or nature of same. 14.2 During the Handover Period: 14.2.1 the Private Party and SANParks shall co-operate and work together to achieve an effective transfer of control and management of AENP Xxxx Braai the Nkuhlu Precinct Facility to the Private Party on the Operation Commencement Date; 14.2.2 the Private Party shall be entitled to nominate one or more representatives to be stationed at the AENP Xxxx Braai Facility Nkuhlu Precinct Facility, to work with SANParks management to effect a smooth handover. The Private Party’s representatives shall however have no authority in relation to SANParks operations or employees during the Handover Period. 14.3 On the Operation Commencement Date, the Private Party shall assume full responsibility under this PPP Agreement for the operations, and expenses thereof, relating to the AENP Xxxx Braai Facility Nkuhlu Precinct Facility, and be entitled to the fruits hereof.

The Private Party’s Party‟s representatives shall however have no authority in relation to SANParks operations or employees during the Handover Period. 14.3 11.3 On the Operation Commencement Date, the Private Party shall assume full responsibility under this PPP Agreement for the operations, and expenses thereof, relating to the AENP Xxxx Braai Facility Restaurant Facility, and be entitled to the fruits hereof.

The Private Party’s representatives shall however have no authority in relation to SANParks operations or employees during the Handover Period. 14.3 On the Operation Commencement Date, the Private Party shall assume full responsibility under this PPP Agreement for the operations, and expenses thereof, relating to the AENP Xxxx Braai Facility Astronomy Facility, and be entitled to the fruits hereof.

The Private Party’s representatives shall however have no authority in relation to SANParks operations or employees during the Handover Period. 14.3 13.3 On the Operation Commencement Date, the Private Party shall assume full responsibility under this PPP Agreement for the operations, and expenses thereof, relating to the AENP Xxxx Braai Facility Spa Facility, and be entitled to the fruits hereof.

Handover. 14.1 11.1 It is a fundamental requirement by SANParks that the transfer of the AENP Xxxx Braai Facility Retail Facilities is undertaken on the basis that: 14.1.1 11.1.1 there is no or minimal disruption in the provision of goods and services to visitors to the Protected Area and includes use of vehicles for products on offer to visitors to the Protected AreaPark; 14.1.2 11.1.2 any structural alterations do not cause the AENP Xxxx Braai Facility Retail Facilities to be closed to visitors to the Protected Area unless alternatives alternative Retail Facilities are provided (unless it was closed in any event)provided; 14.1.3 11.1.3 the handover shall be undertaken in such a manner to cause the least disruption and/or intrusion to SANParks SANParks, employees and employees visitors and then only in a manner which is mutually acceptable to both SANParks and the Private Party; 14.1.4 11.1.4 no decisions of any direct material import relating to the operation of the Business will be taken without the prior written approval of the Private Party; 11.1.5 the business of the Retail Facilities will be conducted in the usual manner throughout the Handover Period; and 14.1.5 11.1.6 SANParks shall not be liable for any claims or actions which arise during the Handover Period irrespective of the cause or nature of same. 14.2 11.2 During the Handover Period: 14.2.1 11.2.1 the Private Party and SANParks shall co-operate and work together to achieve an effective transfer of control the Retail Facilities on the Effective Date. Specifically, the Current Operator, Private Party and management SANParks shall co-ordinate their activities such that the stocktaking required in terms of AENP Xxxx Braai Facility the Sale of Business Agreement is undertaken and completed during the Handover Period; 11.2.2 Current Operator shall retain responsibility for all operations, and expenses thereof, relating to the Private Party on the Operation Commencement DateFacilities as per Sales of Business Agreement; 14.2.2 11.2.3 the Private Party shall be entitled to nominate one or more representatives to be stationed at the AENP Xxxx Braai Facility Retail Facilities, to work with Current Operator, and SANParks management to effect a smooth handover. The Private Party’s representatives shall however have no authority in relation to SANParks Current Operator’s operations or employees during the Handover Period. 14.3 11.2.4 On the Operation Commencement Date, the Private Party shall assume full responsibility under this PPP Agreement for the operations, and expenses thereof, relating to the AENP Xxxx Braai Facility Retail Facilities, and be entitled to the fruits hereof.

Handover. 14.1 11.1 It is a fundamental requirement by SANParks that the transfer of the AENP Xxxx Braai Selati Precinct Facility is undertaken on the basis that: 14.1.1 11.1.1 there is no or minimal disruption in the provision of goods and services to visitors to the Protected Area and includes use of vehicles for products on offer to visitors to the Protected AreaPark; 14.1.2 11.1.2 any structural alterations do not cause the AENP Xxxx Braai Selati Precinct Facility to be closed to visitors to the Protected Area unless alternatives are provided (unless it was closed in any event)provided; 14.1.3 11.1.3 the handover shall be undertaken in such a manner to cause the least disruption and/or intrusion to SANParks SANParks, employees and employees visitors and then only in a manner which is mutually acceptable to both SANParks and the Private Party; 14.1.4 11.1.4 no decisions of any direct material import relating to the operation of the Business will be taken without the prior written approval of the Private Party; 11.1.5 the business of the Selati Precinct Facility will be conducted in the usual manner throughout the Handover Period; and 14.1.5 11.1.6 SANParks shall not be liable for any claims or actions which arise during the Handover Period irrespective of the cause or nature of same. 14.2 11.2 During the Handover Period: 14.2.1 11.2.1 the Private Party and SANParks shall co-operate and work together to achieve an effective transfer of control and management of AENP Xxxx Braai the Selati Precinct Facility to the Private Party on the Operation Commencement Effective Date; 14.2.2 11.2.2 SANParks shall retain responsibility for all operations, and expenses thereof, relating to the Facility; 11.2.3 the Private Party shall be entitled to nominate one or more representatives to be stationed at the AENP Xxxx Braai Facility Selati Precinct Facility, to work with SANParks management to effect a smooth handover. The Private Party’s representatives shall however have no authority in relation to SANParks operations or employees during the Handover Period. 14.3 11.3 On the Operation Commencement Date, the Private Party shall assume full responsibility under this PPP Agreement for the operations, and expenses thereof, relating to the AENP Xxxx Braai Facility Selati Precinct Facility, and be entitled to the fruits hereof.

The Private Party’s representatives shall however have no authority in relation to SANParks operations or employees during the Handover Period. 14.3 On the Operation Commencement Date, the Private Party shall assume full responsibility under this PPP Agreement for the operations, and expenses thereof, relating to the AENP Xxxx Braai Facility Spa Facility, and be entitled to the fruits hereof.

Handover. 14.1 11.1 It is a fundamental requirement by SANParks that the transfer of the AENP Xxxx Braai Facility KNP Fleet Workshops is undertaken on the basis that: 14.1.1 11.1.1 there is no or minimal disruption in the provision of goods and services to visitors to the Protected Area Park and includes use of vehicles for products on offer offered to visitors to the Protected AreaPark; 14.1.2 11.1.2 any structural alterations do not cause the AENP Xxxx Braai Facility KNP Fleet Workshops to be closed unless alternatives are provided (unless it was closed in any event)provided; 14.1.3 11.1.3 the handover shall be undertaken in such a manner to cause the least disruption and/or intrusion to SANParks and employees and then only in a manner which is mutually acceptable to both SANParks and the Private Party; 14.1.4 11.1.4 the Business business of the KNP Fleet Workshops will be conducted in the usual manner throughout the Handover Period; and 14.1.5 11.1.5 SANParks shall not be liable for any claims or actions which arise during the Handover Period irrespective of the cause or nature of same. 14.2 11.2 During the Handover Period: 14.2.1 11.2.1 the Private Party and SANParks shall co-operate and work together to achieve an effective transfer of control and management of AENP Xxxx Braai Facility to the Private Party KNP Fleet Workshops on the Operation Commencement Effective Date; 14.2.2 11.2.2 SANParks shall retain responsibility for all operations, and expenses thereof, relating to the Facility; 11.2.3 the Private Party shall be entitled to nominate one or more representatives to be stationed at the AENP Xxxx Braai Facility KNP Fleet Workshops, to work with SANParks management to effect a smooth handover. The Private Party’s representatives shall however have no authority in relation to SANParks operations or employees during the Handover Period. 14.3 13.3 On the Operation Commencement Date, the Private Party shall assume full responsibility under this PPP Agreement for the operations, and expenses thereof, relating to the AENP Phabeni Gate Xxxx Braai Facility Facility, and be entitled to the fruits hereof.

The Private Party’s representatives shall however have no authority in relation to SANParks operations or employees during the Handover Period. 14.3 On the Operation Commencement Date, the Private Party shall assume full responsibility under this PPP Agreement for the operations, and expenses thereof, relating to the AENP Xxxx Braai Facility Restaurant Facility, and be entitled to the fruits hereof.

Handover. 14.1 It is a fundamental requirement by SANParks that the transfer of the AENP Xxxx Braai Treehouse Camp Facility is undertaken on the basis that: 14.1.1 there is no or minimal disruption in the provision of goods and services to visitors to the Protected Area and includes use of vehicles for products on offer to visitors to the Protected Area; 14.1.2 any structural alterations do not cause the AENP Xxxx Braai Treehouse Camp Facility to be closed unless alternatives are provided (unless it was closed in any event); 14.1.3 the handover shall be undertaken in such a manner to cause the least disruption and/or intrusion to SANParks and employees and then only in a manner which is mutually acceptable to both SANParks and the Private Party; 14.1.4 the Business business of the Treehouse Camp Facility will be conducted in the usual manner throughout the Handover Period; and 14.1.5 SANParks shall not be liable for any claims or actions which arise during the Handover Period irrespective of the cause or nature of same. 14.2 During the Handover Period: 14.2.1 the Private Party and SANParks shall co-operate and work together to achieve an effective transfer of control and management of AENP Xxxx Braai the Treehouse Camp Facility to the Private Party on the Operation Commencement Date; 14.2.2 the Private Party shall be entitled to nominate one or more representatives to be stationed at the AENP Xxxx Braai Facility Treehouse Camp Facility, to work with SANParks management to effect a smooth handover. The Private Party’s representatives shall however have no authority in relation to SANParks operations or employees during the Handover Period. 14.3 On the Operation Commencement Date, the Private Party shall assume full responsibility under this PPP Agreement for the operations, and expenses thereof, relating to the AENP Xxxx Braai Facility Treehouse Camp Facility, and be entitled to the fruits hereof.

Handover. 14.1 11.1 It is a fundamental requirement by SANParks that the transfer of the AENP Xxxx Braai Facility Restaurant Facilities is undertaken on the basis that: 14.1.1 11.1.1 there is no or minimal disruption in the provision of goods and services to visitors to the Protected Area and includes use of vehicles for products on offer to visitors to the Protected AreaPark; 14.1.2 11.1.2 any structural alterations do not cause the AENP Xxxx Braai Facility Restaurant Facilities to be closed to visitors to the Protected Area unless alternatives alternative Restaurant Facilities are provided (unless it was closed in any event)provided; 14.1.3 11.1.3 the handover shall be undertaken in such a manner to cause the least disruption and/or intrusion to SANParks SANParks, employees and employees visitors and then only in a manner which is mutually acceptable to both SANParks and the Private Party; 14.1.4 11.1.4 no decisions of any direct material import relating to the operation of the Business will be taken without the prior written approval of the Private Party; 11.1.5 the business of the Restaurant Facilities will be conducted in the usual manner throughout the Handover Period; and 14.1.5 11.1.6 SANParks shall not be liable for any claims or actions which arise during the Handover Period irrespective of the cause or nature of same. 14.2 11.2 During the Handover Period: 14.2.1 11.2.1 the Private Party and SANParks shall co-operate and work together to achieve an effective transfer of control and management of AENP Xxxx Braai Facility to the Private Party Restaurant Facilities on the Operation Commencement Effective Date; 14.2.2 11.2.2 SANParks shall retain responsibility for all operations, and expenses thereof, relating to the Facilities; 11.2.3 the Private Party shall be entitled to nominate one or more representatives to be stationed at the AENP Xxxx Braai Facility Restaurant Facilities, to work with SANParks management to effect a smooth handover. The Private Party’s Party‟s representatives shall however have no authority in relation to SANParks operations or employees during the Handover Period. 14.3 11.3 On the Operation Commencement Date, the Private Party shall assume full responsibility under this PPP Agreement for the operations, and expenses thereof, relating to the AENP Xxxx Braai Facility Restaurant Facilities, and be entitled to the fruits hereof.

The Private Party’s representatives shall however have no authority in relation to SANParks operations or employees during the Handover Period. 14.3 On the Operation Commencement Date, the Private Party shall assume full responsibility under this PPP Agreement for the operations, and expenses thereof, relating to the AENP Xxxx Braai Facility Spa Facility, and be entitled to the fruits hereof.

Handover. 14.1 It is a fundamental requirement by SANParks that the transfer of the AENP Xxxx Braai Facility Groote Xxxxxx Estate Tea Room and Restaurant is undertaken on the basis that: 14.1.1 there is no or minimal disruption in the provision of goods and services to visitors to the Protected Area and includes use of vehicles for products on offer to visitors to the Protected Area; 14.1.2 any structural alterations do not cause the AENP Xxxx Braai Facility Groote Xxxxxx Estate Tea Room and Restaurant to be closed unless alternatives are provided (unless it was closed in any event); 14.1.3 the handover shall be undertaken in such a manner to cause the least disruption and/or intrusion to SANParks and employees and then only in a manner which is mutually acceptable to both SANParks and the Private Party; 14.1.4 the Business business of the Groote Xxxxxx Estate Tea Room and Restaurant will be conducted in the usual manner throughout the Handover Period; and 14.1.5 SANParks shall not be liable for any claims or actions which arise during the Handover Period irrespective of the cause or nature of same. 14.2 During the Handover Period: 14.2.1 the Private Party and SANParks shall co-operate and work together to achieve an effective transfer of control and management of AENP Xxxx Braai Facility the Groote Xxxxxx Estate Tea Room and Restaurant to the Private Party on the Operation Commencement Date; 14.2.2 the Private Party shall be entitled to nominate one or more representatives to be stationed at the AENP Xxxx Braai Facility Groote Xxxxxx Estate Tea Room and Restaurant, to work with SANParks management to effect a smooth handover. The Private Party’s representatives shall however have no authority in relation to SANParks operations or employees during the Handover Period. 14.3 On the Operation Commencement Date, the Private Party shall assume full responsibility under this PPP Agreement for the operations, and expenses thereof, relating to the AENP Xxxx Braai Facility Groote Xxxxxx Estate Tea Room and Restaurant, and be entitled to the fruits hereof.

Handover. 14.1 It is a fundamental requirement by SANParks that the transfer of the AENP Xxxx Braai Facility NAMAQUA FLOWERS BEACH LUXURY MOBILE TENTED CAMP is undertaken on the basis that: 14.1.1 there is no or minimal disruption in the provision of goods and services to visitors to the Protected Area and includes use of vehicles for products on offer to visitors to the Protected Area; 14.1.2 any structural alterations do not cause the AENP Xxxx Braai Facility NAMAQUA FLOWERS BEACH LUXURY MOBILE TENTED CAMP to be closed unless alternatives are provided (unless it was closed in any event); 14.1.3 the handover shall be undertaken in such a manner to cause the least disruption and/or intrusion to SANParks and employees and then only in a manner which is mutually acceptable to both SANParks and the Private Party; 14.1.4 the Business business of the NAMAQUA FLOWERS BEACH LUXURY MOBILE TENTED CAMP will be conducted in the usual manner throughout the Handover Period; and 14.1.5 SANParks shall not be liable for any claims or actions which arise during the Handover Period irrespective of the cause or nature of same. 14.2 During the Handover Period: 14.2.1 the Private Party and SANParks shall co-operate and work together to achieve an effective transfer of control and management of AENP Xxxx Braai Facility the NAMAQUA FLOWERS BEACH LUXURY MOBILE TENTED CAMP to the Private Party on the Operation Commencement Date; 14.2.2 the Private Party shall be entitled to nominate one or more representatives to be stationed at the AENP Xxxx Braai Facility NAMAQUA FLOWERS BEACH LUXURY MOBILE TENTED CAMP, to work with SANParks management to effect a smooth handover. The Private Party’s representatives shall however have no authority in relation to SANParks operations or employees during the Handover Period. 14.3 On the Operation Commencement Date, the Private Party shall assume full responsibility under this PPP Agreement for the operations, and expenses thereof, relating to the AENP Xxxx Braai Facility NAMAQUA FLOWERS BEACH LUXURY MOBILE TENTED CAMP, and be entitled to the fruits hereof.

Handover. 14.1 It is a fundamental requirement by SANParks that the transfer of the AENP Xxxx Braai Facility Geelbek Restaurant and with related tourism activities is undertaken on the basis that: 14.1.1 there is no or minimal disruption in the provision of goods and services to visitors to the Protected Area and includes use of vehicles for products on offer to visitors to the Protected Area; 14.1.2 any structural alterations do not cause the AENP Xxxx Braai Facility Geelbek Restaurant and with related tourism activities to be closed unless alternatives are provided (unless it was closed in any event); 14.1.3 the handover shall be undertaken in such a manner to cause the least disruption and/or intrusion to SANParks and employees and then only in a manner which is mutually acceptable to both SANParks and the Private Party; 14.1.4 the Business business of the Geelbek Restaurant and with related tourism activities will be conducted in the usual manner throughout the Handover Period; and 14.1.5 SANParks shall not be liable for any claims or actions actions, which arise during the Handover Period irrespective of the cause or nature of same. 14.2 During the Handover Period: 14.2.1 the Private Party and SANParks shall co-operate and work together to achieve an effective transfer of control and management of AENP Xxxx Braai Facility the Geelbek Restaurant and with related tourism activities to the Private Party on the Operation Commencement Date; 14.2.2 the Private Party shall be entitled to nominate one or more representatives to be stationed at the AENP Xxxx Braai Facility Geelbek Restaurant and with related tourism activities, to work with SANParks management to effect a smooth handover. The Private Party’s representatives shall however have no authority in relation to SANParks operations or employees during the Handover Period. 14.3 On the Operation Commencement Date, the Private Party shall assume full responsibility under this PPP Agreement for the operations, and expenses thereof, relating to the AENP Xxxx Braai Facility Geelbek Restaurant and with related tourism activities, and be entitled to the fruits hereof.

Handover. 14.1 11.1 It is a fundamental requirement by SANParks that the transfer of the AENP Xxxx Braai Picnic Site Facility is undertaken on the basis that: 14.1.1 11.1.1 there is no or minimal disruption in the provision of goods and services to visitors to the Protected Area and includes use of vehicles for products on offer to visitors to the Protected AreaPark; 14.1.2 11.1.2 any structural alterations do not cause the AENP Xxxx Braai Picnic Site Facility to be closed to visitors to the Protected Area unless alternatives are provided (unless it was closed in any event)provided; 14.1.3 11.1.3 the handover shall be undertaken in such a manner to cause the least disruption and/or intrusion to SANParks SANParks, employees and employees visitors and then only in a manner which is mutually acceptable to both SANParks and the Private Party; 14.1.4 11.1.4 no decisions of any direct material import relating to the operation of the Business will be taken without the prior written approval of the Private Party; 11.1.5 the business of the Picnic Site Facility will be conducted in the usual manner throughout the Handover Period; and 14.1.5 11.1.6 SANParks shall not be liable for any claims or actions which arise during the Handover Period irrespective of the cause or nature of same. 14.2 11.2 During the Handover Period: 14.2.1 11.2.1 the Private Party and SANParks shall co-operate and work together to achieve an effective transfer of control and management of AENP Xxxx Braai the Picnic Site Facility to the Private Party on the Operation Commencement Effective Date; 14.2.2 11.2.2 SANParks shall retain responsibility for all operations, and expenses thereof, relating to the Facility; 11.2.3 the Private Party shall be entitled to nominate one or more representatives to be stationed at the AENP Xxxx Braai Facility Picnic Site Facility, to work with SANParks management to effect a smooth handover. The Private Party’s representatives shall however have no authority in relation to SANParks operations or employees during the Handover Period. 14.3 11.3 On the Operation Commencement Date, the Private Party shall assume full responsibility under this PPP Agreement for the operations, and expenses thereof, relating to the AENP Xxxx Braai Facility Picnic Site Facility, and be entitled to the fruits hereof.

Handover. 14.1 It is a fundamental requirement by SANParks that the transfer of the AENP Xxxx Braai Facility Phalaborwa Safari Lodge is undertaken on the basis that: 14.1.1 there is no or minimal disruption in the provision of goods and services to visitors to the Protected Area and includes use of vehicles for products on offer to visitors to the Protected Area; 14.1.2 any structural alterations do not cause the AENP Xxxx Braai Facility Phalaborwa Safari Lodge to be closed unless alternatives are provided (unless it was closed in any event); 14.1.3 the handover shall be undertaken in such a manner to cause the least disruption and/or intrusion to SANParks and employees and then only in a manner which is mutually acceptable to both SANParks and the Private Party; 14.1.4 the Business business of the Phalaborwa Safari Lodge will be conducted in the usual manner throughout the Handover Period; and 14.1.5 SANParks shall not be liable for any claims or actions which arise during the Handover Period irrespective of the cause or nature of same. 14.2 During the Handover Period: 14.2.1 the Private Party and SANParks shall co-operate and work together to achieve an effective transfer of control and management of AENP Xxxx Braai Facility the Phalaborwa Safari Lodge to the Private Party on the Operation Commencement Date; 14.2.2 the Private Party shall be entitled to nominate one or more representatives to be stationed at the AENP Xxxx Braai Facility Phalaborwa Safari Lodge, to work with SANParks management to effect a smooth handover. The Private Party’s representatives shall however have no authority in relation to SANParks operations or employees during the Handover Period. 14.3 On the Operation Commencement Date, the Private Party shall assume full responsibility under this PPP Agreement for the operations, and expenses thereof, relating to the AENP Xxxx Braai Facility Phalaborwa Safari Lodge, and be entitled to the fruits hereof.

Handover. 14.1 11.1 It is a fundamental requirement by SANParks that the transfer of the AENP Xxxx Braai Facility Restaurant and Retail Facilities is undertaken on the basis that: 14.1.1 11.1.1 there is no or minimal disruption in the provision of goods and services to visitors to the Protected Area and includes use of vehicles for products on offer to visitors to the Protected AreaPark; 14.1.2 11.1.2 any structural alterations do not cause the AENP Xxxx Braai Facility Restaurant and Retail Facilities to be closed to visitors to the Protected Area unless alternatives alternative Restaurant and Retail Facilities are provided (unless it was closed in any event)provided; 14.1.3 11.1.3 the handover shall be undertaken in such a manner to cause the least disruption and/or intrusion to SANParks SANParks, employees and employees visitors and then only in a manner which is mutually acceptable to both SANParks and the Private Party; 14.1.4 11.1.4 no decisions of any direct material import relating to the operation of the Business will be taken without the prior written approval of the Private Party; 11.1.5 the business of the Restaurant and Retail Facilities will be conducted in the usual manner throughout the Handover Period; and 14.1.5 11.1.6 SANParks shall not be liable for any claims or actions which arise during the Handover Period irrespective of the cause or nature of same. 14.2 11.2 During the Handover Period: 14.2.1 11.2.1 the Private Party and SANParks shall co-operate and work together to achieve an effective transfer of control the Restaurant and management of AENP Xxxx Braai Facility to the Private Party Retail Facilities on the Operation Commencement Effective Date; 14.2.2 11.2.2 SANParks shall retain responsibility for all operations, and expenses thereof, relating to the Facilities; 11.2.3 the Private Party shall be entitled to nominate one or more representatives to be stationed at the AENP Xxxx Braai Facility Restaurant and Retail Facilities, to work with SANParks management to effect a smooth handover. The Private Party’s representatives shall however have no authority in relation to SANParks operations or employees during the Handover Period. 14.3 11.3 On the Operation Commencement Date, the Private Party shall assume full responsibility under this PPP Agreement for the operations, and expenses thereof, relating to the AENP Xxxx Braai Facility Restaurant and Retail Facilities, and be entitled to the fruits hereof.

The Private Party’s representatives shall however have no authority in relation to SANParks operations or employees during the Handover Period. 14.3 On the Operation Commencement Date, the Private Party shall assume full responsibility under this PPP Agreement for the operations, and expenses thereof, relating to the AENP Xxxx Braai Facility Boulders Retail Facility, and be entitled to the fruits hereof.
