Hardware and Third Party Software Refund. If the Supplier is obligated to refund to XL all or a portion of the Price for the failure of acceptance testing of Release 1 under clauses 11.4(b) or 12.1(f), the refund shall only include *** residing on *** of the Hardware portion of the refunded Price, with XL not being entitled to a refund of the remaining ***. The Supplier will be entitled to take possession of the portion of the Hardware and the portion of the Third Party Software residing on such Hardware ***. The Parties shall agree on the particular Hardware that each will retain or if no agreement is reached, the Hardware shall be divided equally by type (servers, routers, software, etc). For clarity, the Supplier will not be entitled to remove Third Party Software required to operate the Hardware retained by XL.
