Hardware/Software the fees and costs for Hardware and Software shall be itemized for each proposal and/or quote. Any purchase in excess of $5,000 (Five Thousand dollars) requires a 50% deposit at the time of order unless other terms are mutually agreed upon by the Parties on a case by case basis.
Hardware/Software. ABT will ensure that each Covered Dealer ------------------- has the ABT Software, any other required software, and all hardware and transmission capabilities necessary to perform the data entry and transmission described in Section 2.3. Except as provided in Section 2.4, [*] Confidential Treatment Requested prior to each Field Specialist initial appointment with each Covered Dealer, ABT will ensure that the foregoing components are properly installed, integrated, and configured, and that the system has been tested and is capable of performing the data entry and transmission described in Section 2.3. ABT shall be responsible for the installation of all required software, prior to deliver of the hardware to a Covered Dealer.
Hardware/Software. All hardware and software are the properties of AVS and should not be moved or altered without the consent of the Systems Administrator.

Where elements of the Service are deployed onto Customer infrastructure, the Supplier will assist the Customer to carry out tests that provide the necessary assurance that the system is clinically safe to deploy in a live patient environment. Both the Customer and the Supplier will draw up an acceptance test document which will be used to mark the acceptance of the delivery. The Suppliers Acceptance test documentation is shown in appendix 2.
Hardware/Software. 10.4.1. GCWW will provide for firewall hardware at GCWW. In the event of an outage impacting the firewall or network GCWW will notify AlexRenew.
10.4.2. AlexRenew will provide for firewall hardware at AlexRenew. In the event of an outage impacting the firewall or network AlexRenew will notify GCWW.
10.4.3. AlexRenew will provide for network monitoring.
10.4.4. GCWW will provide interactive voice response (IVR), GCWW billing system software and data base back up and disaster recovery systems.
10.4.4.1. GCWW will be responsible for hardware maintenance and support of hardware located at GCWW’s facilities.
10.4.5. Remote Access Connections - Included in the pricing agreement at 5 remote access licenses. Additional remote connections for AlexRenew employees will be provided at the prorated cost outlined in the Schedule of Fees and Rate – Exhibit C to the agreement per year over the five-year duration of this Agreement. All of GCWW’s and its providers’ remote access security policies must be followed.

The software transferred pursuant to this Agreement and subject to the License Agreement includes all software required to service the Contracts and to operate and maintain the Software (as defined in the License Agreement).
Hardware/Software. If the Service includes access to or the use of hardware or software provided by XxxXxxxxxx.xxxxx or its licensors ("XxxXxxxxxx.xxxxx Assets”), Customer: (a) will not assert any ownership interest whatsoever in the XxxXxxxxxx.xxxxx Assets; (b) will keep the XxxXxxxxxx.xxxxx Assets free and clear from all liens, claims and encumbrances; (c) shall use all XxxXxxxxxx.xxxxx Assets in accordance with the Agreement; and (d) comply with any applicable third party licensing terms or conditions and use of any such XxxXxxxxxx.xxxxx Assets shall be deemed Customer’s acceptance of such terms. Unless Managed Operating System or Managed Application services are purchased, Customer is responsible for selecting, installing and maintaining any software used in connection with the Service including any related applications, systems, or software.
Hardware/Software. Client is solely responsible for acquiring, installing and maintaining any computer hardware or software necessary for Client to receive the RCM Services. gMed will not provide maintenance for any of Client’s hardware or software unless otherwise specifically agreed upon in a separate agreement between Client and gMed.
