Harmony Property and License. Harmony will retain all right, title and interest in and to all Property developed by it, i) for its actual or potential clients generally, to the extent not inconsistent with Section 10.3.4, and ii) for internal purposes and not yet delivered to any client, including all copyright, patent, trade secret, trademark and other intellectual property rights created by Harmony in connection with such work (hereinafter the “Harmony Property”). EOHHS acknowledges that its possession, installation or use of Harmony Property will not transfer to it any title to such property. EOHHS acknowledges that Harmony Property contains or constitutes commercially valuable and proprietary trade secrets of Harmony, the development of which involved the expenditure of substantial time and money and the use of skilled development experts. EOHHS acknowledges that Harmony Property is being disclosed to EOHHS to be used only as expressly permitted under the terms herein. EOHHS will take no affirmative steps to disclose such information to third parties, and, if required to do so under the Commonwealth’s Public Records Law, M.G.L. c. 66 § 10, or by legal process, will promptly notify Harmony of the imminent disclosure so that Harmony can take steps to defend itself against such disclosure. Except as expressly authorized in herein, EOHHS will not copy, modify, distribute or transfer by any means, display, sublicense, rent, reverse engineer, decompile or disassemble Harmony Property. Harmony grants to EOHHS A non-exclusive, non-transferable, worldwide, irrevocable license to use, maintain, and enhance the XXXX system or any Harmony Property embedded in a Deliverable, if any, owned by EOHHS for its internal purposes during the Term of this Agreement and pays any fees due hereunder. This license includes a right for EOHHS to retain contractors to maintain and enhance the XXXX system or such Deliverables (and the Harmony Property embodied therein) for EOHHS’s benefit. This license does not include any right to Harmony Property other than as expressly described above. Notwithstanding anything contained herein to the contrary, and notwithstanding EOHHS’s use of Harmony Property under the license created herein, Harmony shall have all the rights and incidents of ownership with respect to Harmony Property, including the right to use such property for any purpose whatsoever and to grant licenses in the same to third parties.   • Intellectual Property and Ownership 11.1 AGI and its third party contributors respectively retain ownership of all rights, title and interest in and to all intellectual property rights associated with the Software and Documentation. This Agreement shall not be construed in any manner as transferring any rights of ownership or license to the Software, and/or to the features or information therein except as may be explicitly stated in writing in this Agreement.   • Taxes and Licenses Lessee must cause to be paid any and all taxes of whatever character, including ad valorem and intangible taxes, that may be levied or charged upon the Premises, leasehold improvements, or operations hereunder and upon Lessee's rights to use the Premises, whether the taxes are assessed against Lessee or City, prior to the past due date. Lessee shall cause to be paid any and all sales taxes arising in connection with the occupancy or use of the Premises whether the taxes are assessed against the Lessee, any sublessee or City. Lessee must obtain and pay for all licenses or permits necessary or required by law for the construction of improvements and must require any sublessee to must obtain and pay for all licenses and permits necessary or required by law for the installation of equipment and furnishings, and any other licenses necessary for the conduct of its operations hereunder. If Lessee or any sublessee wishes to contest any tax or charge, that contest will not be a default under the Lease so long as Lessee or sublessee diligently prosecutes the contest to conclusion and promptly pays whatever tax is ultimately owed. Further, Lessee shall cause any taxes not being contested to be paid prior to the past due date.

  • PROPERTY AND RISK 7.1 Risk in each Element of the Contracted Services shall pass to the Customer upon delivery to the Site.

  • Student Data Property of LEA All Student Data transmitted to the Provider pursuant to the Service Agreement is and will continue to be the property of and under the control of the LEA. The Provider further acknowledges and agrees that all copies of such Student Data transmitted to the Provider, including any modifications or additions or any portion thereof from any source, are subject to the provisions of this DPA in the same manner as the original Student Data.   • Property and Equipment All property and equipment purchased by CONTRACTOR with funds received under this Agreement, or purchased on behalf of CONTRACTOR for the program site(s) covered under this Agreement, shall be insured by CONTRACTOR at replacement value against fire, theft, and destruction equal to the full replacement cost.
