Information to Third Parties. Bank will disclose information about your Account to third parties as provided by the Bank Account Agreement and Disclosures. You authorize us to disclose information to third parties about your Account or the transfers you make or request, as necessary for completing the transfers, Services, or in order to verify the existence and condition of your Account for a third party, such as to a credit bureau, merchant, Biller, or other person necessary for the transaction to be completed as instructed by you.

Gatherer shall provide each Processing Plant operator, interstate pipeline and Shipper with (a) daily volume readings for Shipper’s Gas for each Delivery Point and (b) Gas quality information for Shipper’s Gas for each Delivery Point. Following the Execution Date, the Gathering System may be connected to multiple Processing Plants and interstate pipelines operated by one or more operators. Prior to Gatherer delivering a comingled gas stream including Shipper’s Gas to a Processing Plant other than MarkWest’s Majorsville Plant, Gatherer shall enter into an NGL balancing agreement by and among Gatherer and all plant operators to ensure that Shipper receives credit for the constituent makeup of Shipper’s Gas received into the Gathering System.

During the Exclusive Negotiation Period only the Non-Divesting Party will be allowed access to any data room containing Confidential Information regarding the Collaboration Product, and no Confidential Information will in any other way be disclosed to, and no term sheet discussions can take place with any Third Parties.
