HSR Act; Governmental Approvals. The required waiting period under the HSR Act applicable to the purchase and sale of the Purchased Assets and the Southern Entity Shares shall have expired or been earlier terminated, and all notices, reports and other filings required to be made prior to the Closing by the Parent or the Sellers or by CVS or the Purchaser with, and all material consents, registrations, approvals, permits and authorizations required to be obtained prior to the Closing from, any Governmental Entity in connection with the execution, delivery and performance of this Agreement and the consummation of the transactions contemplated hereby shall have been made or obtained; provided, however that the failure to obtain any or all Pharmacy Approvals by any party hereto shall not be a condition to Closing.

The waiting period applicable to ------------------------------- the Asset Purchase and the Stock Purchase under the HSR Act shall have expired or been terminated and all the Filings and Approvals shall have been made or obtained, as the case may be, except for any such Filings and Approvals the failure of which to make or obtain are not, individually or in the aggregate, material.
HSR Act; Governmental Approvals. (a) All required filings under the HSR Act shall have been completed and all applicable time limitations thereunder shall have expired without a request for further information by the relevant federal authorities under the HSR Act, or in the event of such a request for further information, the expiration of all applicable time limitations under the HSR Act shall have occurred without the objection of such federal authorities.
HSR Act; Governmental Approvals. The applicable waiting period under the HSR Act shall have expired or been terminated and all consents or approvals required to be obtained from any Governmental Authority required to consummate the transactions contemplated hereby or by any Ancillary Agreement (excluding any required registration with, or approval by, INPI of the Technology Agreement) shall have been duly filed, obtained and completed and be in full force and effect, in each case without the imposition of any Burdensome Condition with respect to BVMF.

The waiting period applicable to the Share Purchase under the HSR Act shall have expired or been terminated and all the notices, reports, registrations and other filings with, and all consents, approvals and authorizations from, any Governmental Entity shall have been made or obtained, as the case may be, except for any such filings and approvals the failure of which to make or obtain would not (i) have a Material Adverse Effect or (ii) materially adversely affect the ability of the Buyer or AHI to perform their obligations hereunder.

The waiting period applicable to the Asset Purchase and the Stock Purchase under the HSR Act shall have expired or been terminated and all the notices, reports, registrations and other filings with, and all consents, approvals and authorizations from, Governmental Entities listed in Schedule 3.4 of the Disclosure Schedule (collectively, "Governmental Filings and Approvals") shall have been made or obtained, as the case may be, except for any such Governmental Filings and Approvals the failure of which to make or obtain are not, individually or in the aggregate, material.

The waiting period applicable to the Xxxxxx Midwest Share Purchase, the Xxxxxx Springfield Asset Purchase and the other transactions contemplated by this Agreement under the HSR Act shall have expired or been terminated and all the notices, reports, registrations and other filings with, and all consents, approvals and authorizations from, any Governmental Authority shall have been made or obtained, as the case may be, except for any such filings and approvals the failure of which to make or obtain would not, or would not be reasonably expected to, individually or in the aggregate, have a Material Adverse Effect.
HSR Act; Governmental Approvals. The waiting period applicable to the Xxxxxx Midwest Share Purchase, the Xxxxxx Springfield Asset Purchase and the other transactions contemplated by this Agreement under the HSR Act, if applicable, shall have expired or been terminated and all the notices, reports, registrations and other filings with, and all consents, approvals and authorizations from, any Governmental Authority shall have been made or obtained, as the case may be, except for any such filings and approvals the failure of which to make or obtain would not, or would not be reasonably expected to, individually or in the aggregate, prohibit, restrict or delay, in any material respect, the performance by Buyer of Buyer’s obligations hereunder or the consummation of the transactions contemplated hereby.
HSR Act; Governmental Approvals. The required waiting period under ------------------------------- the HSR Act and insurance Laws applicable to the purchase and sale of the Shares and the Other Assets shall have expired or been earlier terminated, and all notices, reports and other filings required to be made prior to the Closing by any DMS Company or any DMS Subsidiary or by the Purchaser with, and all consents, registrations, approvals, permits and authorizations required to be obtained prior to the Closing from, any Governmental Entity in connection with the execution and delivery of this Agreement and the Marketing Services Agreement and the consummation of the transactions contemplated hereby shall have been made or obtained without the imposition of any conditions that would reasonably be expected to have a Material Adverse Effect.
HSR Act; Governmental Approvals. (i) All applicable waiting periods (and any extensions thereof) under the HSR Act will have expired or otherwise been terminated, (ii) the DPH and the NRC shall have been provided notification regarding the Transaction and (iii) the Parties will have received or have been deemed to have received all other necessary pre-closing authorizations, consents, clearances, waivers and approvals of all Governmental Entities in connection with the execution, delivery and performance of this Agreement and the Transactions set forth on Section 8.1(c) of the Company Disclosure Letters.
