Inability to Correct. If Contractor is unable to correct a Priority 1 condition within two (2) calendar days or a Priority 2 condition within ten (10) calendar days after the date Contractor is notified of the condition, District may, in its sole discretion, (i) withhold payment of any amount due under this Agreement until the condition is corrected; (ii) reject the System Deliverable or Final Deliverable or any part thereof or revoke acceptance thereof; (iii) immediately terminate, under Section 21.2 herein (but without any requirement of a 30-day cure period), this Agreement or any portion thereof, along with, in District’s sole discretion; or (iv) exercise any other remedy available at law, in equity, by statute, under this Agreement or otherwise.

Inability to Correct. If SISW is unable to correct a material nonconformity between the CNC Shopfloor Management Software and its Documentation within a reasonable time, Customer may, as its sole remedy, terminate the Support Services and receive a refund of the remaining, unused balance of the fees for Support Services under the terms of the Agreement.

Thereafter, the obligation of the Lenders to make or maintain Eurodollar Rate Loans shall be suspended until the Administrative Agent (upon the instruction of the Required Lenders) revokes such notice. Upon receipt of such notice, the Borrower may revoke any pending request for a Borrowing of, conversion to or continuation of Eurodollar Rate Loans or, failing that, will be deemed to have converted such request into a request for a Borrowing of Base Rate Loans in the amount specified therein.

  • Warranty of Ability to Perform The Contractor warrants that, to the best of its knowledge, there is no pending or threatened action, proceeding, or investigation, or any other legal or financial condition, that would in any way prohibit, restrain, or diminish the Contractor’s ability to satisfy its Contract obligations. The Contractor warrants that neither it nor any affiliate is currently on the convicted vendor list maintained pursuant to section 287.133 of the Florida Statutes, or on any similar list maintained by any other state or the federal government. The Contractor shall immediately notify the Customer in writing if its ability to perform is compromised in any manner during the term of the Contract.
