COMPLIANCE WITH SECTION 16(A) OF THE SECURITIES EXCHANGE ACT OF 1934, AS AMENDED Section 16(a) of the Securities Exchange Act of 1934, as amended (the "Exchange Act"), requires the Company's executive officers, directors and persons who own more than 10% of a registered class of our equity securities to file reports with the SEC regarding ownership and changes in ownership of such equity securities. Executive officers, directors and greater than 10% stockholders are required by SEC regulations to furnish to us copies of all reports that they file pursuant to Section 16(a). Based solely on our review of the copies of such forms furnished between October 1, 2002 and December 31, 2003, and on our discussions with directors and executive officers, we believe that, during the fiscal year ended September 30, 2003, and the three months ended December 31, 2003, all applicable Section 16(a) filing requirements were met. PROPOSAL NO. 1: ELECTION OF DIRECTORS GENERAL Our Certificate of Incorporation provides that the number of directors that constitutes the whole Board of Directors is to be fixed by, or in the manner provided in, our Bylaws. The Certificate of Incorporation also provides that the Board of Directors is to be divided into three classes, designated as Class I, Class II and Class III. Our Bylaws provide that the Board of Directors is to consist of between three and nine directors, with the exact number to be fixed by action of the Board. The Board has fixed the current number of directors at five. The terms of the Class III Directors--Drs. Xxxxxxxxx X. Xxxxxx, Xxx X. Link and Xxxx Xxxxxx--will expire with the election and qualification of successor directors at the Annual Meeting, and each has been nominated to stand for re-election to a three-year term. The terms of the Class I Director--Xx. Xxxxxx Xxxxx--will expire with the election and qualification of directors at the annual meeting of stockholders in 2005. The term of the Class II Director--Xx. Xxxx X. Pace--will expire with the election and qualification of directors at the annual meetings of stockholders in 2006.
