Incorporated Provisions. Copies of the applicable Scopic Clause, the LSSA Clauses and Lloyd’s Procedural Rules in force at the date of this agreement may be obtained from (i) the Contractors or (ii) the Salvage Arbitration Branch at Lloyd’s, Xxx Xxxx Xxxxxx, Xxxxxx XX0X 0XX.
Incorporated Provisions. Although this agreement is not a Loan Document, the provisions of Sections 1 and 14 of the Credit Agreement applicable to Loan Documents are incorporated into this instrument by reference the same as if this agreement were a Loan Document and those provisions were set forth in this agreement verbatim.
Incorporated Provisions. Each Guarantor acknowledges, agrees to, and agrees to perform, as applicable, all of the representations, warranties, covenants, waivers and other provisions pertaining to it as a Guarantor or Subsidiary contained in any Transaction Document.
Incorporated Provisions. The provisions of Section 6 of the MSC are incorporated by reference herein as if set forth in full herein, except to the extent such Section 6 is superseded by Utility's Tariff Rule 4.
Incorporated Provisions. The provisions of Section 8.12 (“Jurisdiction, Etc.”) and Section 8.13 (“Waiver of Jury Trial”) of the Credit Agreement are hereby incorporated by reference into this Agreement, mutatis mutandis.
Incorporated Provisions. Sections 10.01 – 10.14 and Section 10.20 of the Facility Agreement are incorporated herein mutandis mutatis.
Incorporated Provisions. The terms and provisions of Sections 9.14, 9.15, 9.16 and 9.17 of the DIP Credit Agreement are hereby incorporated by reference herein, mutatis mutandis, and shall apply to this Amendment with the same force and effect as if originally set forth herein.
Incorporated Provisions. The provisions set forth in Section 10.1 (No- tices), Section 10.3 (Expenses; Indemnification), Section 10.5 (Governing Law; Jurisdiction; Consent to Service of Process), Section 10.6 (Waiver of Jury Trial) and Section 10.10 (Severability) of the Existing Credit Agreement shall be incorporated by reference herein, mutatis mutandis, as if fully set forth herein.
Incorporated Provisions. 39.1. The Parties agree that the provisions contained in the Purchase Order and AQL, as amended from time to time:
39.1.1. hereby form part of this Agreement with the same force and effect as if the provisions set out therein had been set out in full in this Agreement;
39.1.2. will be binding on the Parties.
Incorporated Provisions. The following paragraphs of the Master Lease are hereby incorporated into this Sublease, except to the extent expressly contradicted by the provisions of this Sublease: Section 2.02; Section 2.03; Section 5.01; Section 5.02(c); Section 5.03, except for the first sentence; Section 5.05, except as provided in Section 35(ii) of this Sublease; Section 5.06, provided that Sublessee shall be bound by all rules and regulations to the same extent that Sublessor is bound; Article 6; Sections 7.01 through 7.05; Article 8; Article 9; Article 10; Section 11.01, Section 11.03, Section 11.05; Article 12; Article 13; Article 14 (excluding subsection (ii) thereof), except that in exercising any right of entry, Sublessor shall comply with Sublessee’s reasonable security measures and operating procedures and shall minimize any disruption to Sublessee; Article 15; Article 16; Section 17.01; Section 17.02; Section 17.03; Section 17.05, except that the reference to exhibits therein shall mean and refer only to the exhibits to this Sublease; Section 17.06; Section 17.07; Section 17.09(a), except that this Section shall not apply if Sublessee continues in occupancy past the expiration of the Term pursuant to the Future Lease; Section 17.10; Section 17.11; Section 17.12, excluding the reference to Article 16; Section 17.13 (excluding the last sentence); Section 17.16; Section 17.18; Section 17.19; Section 17.20; Section 17.21; Section 17.22, except that in Section 17.22(c), Sublessor shall not withhold approval of any Hazardous Materials use that is approved by Master Lessor, and Sublessee shall not be required to remove Hazardous Materials at the end of the Term if Sublessee continues in occupancy pursuant to the Future Lease; Section 17.23; Section 17.26; and Exhibits A, I, J, K, L and M.
