Indebtedness Issuance. If the Borrower shall, subject to the written consent of the Required Lenders, issue indebtedness for borrowed money or incur Capitalized Lease Liabilities not otherwise permitted to be issued or incurred pursuant to SECTION 7.2.2, the Borrower shall promptly upon, and in no event later than five Business Days following, receipt by the Borrower of Net Issuance Proceeds of such issuance or incurrence, make a mandatory prepayment of the Term Loans in an aggregate amount equal to the amount of such Net Issuance Proceeds.
