Indemnification by Hovione. HOVIONE shall indemnify, defend and hold harmless ACHAOGEN, its Affiliates, and their respective directors, officers, employees, agents, successors, and assigns from and against any Claims made by any third party to the extent arising out of: (a) any breach of any representation or warranty made by HOVIONE in this Agreement; (b) any failure by HOVIONE to perform any covenant, agreement, or undertaking on the part of HOVIONE contained in this Agreement; (c) the gross negligence or willful misconduct of HOVIONE or its Affiliates (or their respective directors, officers, employees, agents, and contractors); or (d) any [***]. Notwithstanding the foregoing, HOVIONE shall have no such indemnity obligation to the extent that such third party claims are based on, arise out of, or are caused by: (x) the gross negligence or willful misconduct of ACHAOGEN or its Affiliates (or their respective directors, officers, employees, agents, successors, and assigns); (y) any breach of any representation or warranty made by ACHAOGEN in this Agreement; or (z) any failure to perform any covenant, agreement, or undertaking on the part of ACHAOGEN contained in this Agreement.

Indemnification by Hovione. Hovione will indemnify, defend and hold harmless Customer and its Affiliates, and its and their directors, officers, employees, successors, assigns and agents (“Customer Indemnitees”) from and against any and all damages, liabilities, claims, costs, charges, judgments and expenses, including reasonable attorneys’ fees (collectively “Losses”) that may be sustained, suffered or incurred by a Customer Indemnitee in connection with any and all actions, claims or demands that may be brought or instituted against a Customer Indemnitee by any Third Party, in each case only to the extent such Losses arise directly from or by reason of (a) the material breach by Hovione of any warranty, representation or covenant of Hovione in this Agreement, (b) any failure by Hovione to perform any covenant, agreement, or undertaking on the part of Hovione contained in this Agreement; (c) the gross negligence or willful misconduct of Hovione or its Affiliates (or their respective directors, officers, employees, agents, and contractors); or (d) any infringement of any intellectual property or other rights of any Third Party based on the use of Hovione Technology and/or Hovione Improvements. Notwithstanding the foregoing, Hovione shall have no such indemnity obligation to the extent that such Third Party claims are based on, arise out of, or are caused by: (x) the gross negligence or willful misconduct of Customer or its Affiliates (or their respective directors, officers, employees, agents, successors, and assigns); (y) any breach of any representation or warranty made by Customer in this Agreement; or (z) any failure to perform any covenant, agreement, or undertaking on the part of Customer contained in this Agreement. *** Certain information on this page has been omitted and filed separately with the Commission. Indemnification by Hovione. HOVIONE shall indemnify, defend and hold harmless CYDEX and its AFFILIATES, employees, officers and directors and its successors and assigns (each, a “CYDEX INDEMNIFIED PARTY”), from and against any and all LIABILITIES which the CYDEX INDEMNIFIED PARTY may incur, suffer or be required to pay resulting from or arising in connection with the breach of this AGREEMENT by HOVIONE or its AFFILIATES, except to the extent that any such LIABILITY is due to the negligence or wrongful act(s) of a CYDEX INDEMNIFIED PARTY.
Indemnification by Hovione. HOVIONE shall indemnify, defend and hold COMPANY, its Affiliates their respective Licensees, and its and their respective directors, officers, employees, contractors, agents, successors and assigns (“COMPANY Indemnitees”) harmless from and against any damages, judgments, liabilities, costs and expenses (including, but not limited to, reasonable attorneys’ fees) resulting from any third party claim, suit or action, to the extent arising out of: (i) any breach by HOVIONE Indemnitees of any representation, warranty, covenant, agreement or undertaking made by HOVIONE in this Agreement; (ii) the gross negligence or willful misconduct of HOVIONE Indemnitees; or (iii) the use of the HOVIONE Technology or HOVIONE Improvements in the provision of services under this Agreement except, in each case, to the extent that such claim, suit or action results from or arises out of any act or omission described in clause (i) or (ii) of Section 12.1.
Indemnification by Hovione. Effective as of the Amendment Effective date, Section 8.2 is hereby amended and restated in its entirety to read in full as follows:
Indemnification by Hovione. Hovione shall indemnify and hold harmless Tesaro and its Affiliates, and its and their directors, officers, employees and agents (“Tesaro Indemnitees”) from and against any and all damages, liabilities, claims, costs, charges, judgments and expenses, including reasonable attorneys’ fees (collectively “Losses”) that may be sustained, suffered or incurred by a Tesaro Indemnitee in connection with any and all actions, claims or demands that may be brought or instituted against a Tesaro Indemnitee by any third party, in each case only to the extent such Losses arise directly from or by reason of (a) the breach by Hovione of any warranty, representation or covenant of Hovione in this Agreement, or (b) Hovione’s gross negligence or willful misconduct, except in each case to the extent Customer is obligated to indemnify Hovione under Section 2b below.

In no event shall the liability of a selling Holder be greater in amount than the dollar amount of the proceeds (net of all expenses paid by Holder in connection with any claim relating to this Section 5 and the amount of any damages Holder has otherwise been required to pay by reason of such untrue statement or omission) received by Holder upon the sale of the Registrable Securities included in the Registration Statement giving rise to such indemnification obligation.

Notwithstanding the foregoing, in no event shall the liability of any selling Holder be greater in amount than such Holder’s Maximum Contribution Amount (as defined below).

To the extent any Purchaser Indemnitee is entitled to collect Purchaser Damages, Purchaser shall, at its option and subject to the terms of the Escrow Agreement, be entitled to withdraw sufficient funds from the Escrow Fund pursuant to the Escrow Agreement in lieu of payment directly from Seller, and to the extent the amount due any Purchaser Indemnitee exceeds the balance of the funds held under the Escrow Agreement, Purchaser shall be entitled to collect such balance owned to Purchaser Indemnitee directly from Seller.
