Indemnification by Landmark. (a) From and after the Closing, subject to the limitations set forth in this Article VIII, Landmark shall indemnify, protect, defend and hold harmless PRLP and its Affiliates and their respective officers, partners, directors, stockholders, members, shareholders, agents, employees and tenants (collectively, the “PRLP Indemnified Parties”), from and against, and reimburse the PRLP Indemnified Parties with respect to, any and all claims, demands, causes of action, losses, damages, liabilities, costs and expenses (including reasonable attorneys’ fees and court costs) (but not including punitive, consequential, treble or other similar damages) (“Losses”) which the PRLP Indemnified Parties shall at any time suffer or incur, or become subject to, as a result of or arising out of: (i) a breach of any representation or warranty of Landmark set forth in this Agreement, (ii) any breach of any covenant, agreement or undertaking made by Landmark under this Agreement, (iii) any inaccuracy in the Merger Consideration Spreadsheet with respect to the amount of the Minority Interest Merger Consideration due and payable to any Minority Partner at the Closing (including any claims of any Minority Partner related to the foregoing) and (iv) any personal injury, property damage or any other liability related to the ownership, construction, maintenance, management, use or operation of the Property first existing or occurring prior to the Closing.
Indemnification by Landmark. Following the Closing Date, Landmark agrees to indemnify First Capital and the Bank against, and hold First Capital and the Bank harmless from any liability or obligation of any nature and any loss, damage, cost or expense (including reasonable attorneys’ fees and costs and expenses of litigation) that is incurred or suffered by First Capital or the Bank and that: (a) is based upon or pertains to the operation of the Resulting Bank by Landmark after the Effective Time (excluding any liability or obligation of any nature pertaining to the Merger), including any failure by Landmark to fulfill the liabilities and obligations associated with the assets and assumed by Landmark in the Merger; or (b) arises from any Breach of Landmark’s covenants and obligations or any inaccuracy of any representation set forth in this Agreement.
Indemnification by Landmark. Landmark shall indemnify and hold NetVoice and its affiliates and their directors, officers, employees, shareholders, agents, successors and permitted assigns harmless from and against any and all claims, losses, orders, liabilities, debts, obligations, costs, damages, deficiencies, actions, suits, proceedings, demands, assessments, orders, judgments, writs, decrees, or other expenses, including reasonable attorneys' fees, or diminution of value, whether or not involving a third party claim, of any nature or of any kind whatsoever, arising, directly or indirectly, out of or in any manner connected with (a) any misrepresentation or breach or failure of any representation or warranty of Landmark hereunder, or (b) the nonfulfillment of any covenant, agreement or obligation of Landmark hereunder.

  • Indemnification by Landlord Landlord shall protect, defend, indemnify and hold Tenant, its agents, employees and contractors harmless from and against any and all claims, damages, demands, penalties, costs, liabilities, losses and expenses (including reasonable attorneys’ fees and expenses at the trial and appellate levels) to the extent arising out of or relating to any act, omission, negligence or willful misconduct of Landlord or Landlord’s agents, employees or contractors. Nothing contained in this Section 8.03 shall limit (or be deemed to limit) the waivers contained in Section 8.06 below. In the event of any conflict between the provisions of Section 8.06 below and this Section 8.03, the provisions of Section 8.06 shall prevail. This Section 8.03 shall survive the expiration or earlier termination of this Lease.

  • Indemnification by Owner To the fullest extent permitted by law, Owner shall indemnify and hold harmless Engineer, Engineer’s officers, directors, partners, agents, employees, and Consultants from and against any and all claims, costs, losses, and damages (including but not limited to all fees and charges of engineers, architects, attorneys, and other professionals, and all court, arbitration, or other dispute resolution costs) arising out of or relating to the Project, provided that any such claim, cost, loss, or damage is attributable to bodily injury, sickness, disease, or death or to injury to or destruction of tangible property (other than the Work itself), including the loss of use resulting therefrom, but only to the extent caused by any negligent act or omission of Owner or Owner’s officers, directors, partners, agents, consultants, or employees, or others retained by or under contract to the Owner with respect to this Agreement or to the Project.

  • Indemnification by Tenant Except to the extent caused by the sole negligence, gross negligence or willful misconduct of any of the Indemnified Landlord Parties, Tenant shall defend, indemnify and save harmless Landlord and Landlord’s trustees, and their respective officers, managers, agents directors, employees, subsidiaries, affiliates, successors and assigns (collectively, the “Indemnified Landlord Parties”) against all costs (including reasonable attorneys’ fees, charges and disbursements), damages, liabilities, losses, suits or claims (collectively, “Claims”), for bodily or personal injury or property damage occurring during the Term on the Property caused by Tenant or its officers, managers, agents, directors, subsidiaries, affiliates, successors, assigns, invitees, visitors or contractors, and shall, at its own expense, defend, indemnify and save harmless Landlord and the other Indemnified Landlord Parties against all Claims brought against Landlord and/or the other Indemnified Landlord Parties, for which Tenant is responsible for indemnification hereunder, and if Tenant fails to do so, Landlord or any Indemnified Landlord Party (at its option, but without being obligated to do so) may, at the reasonable cost and expense to Tenant and upon notice to Tenant in the manner set forth in Section 18, defend such Claims and Tenant shall pay and discharge any and all judgments, costs, liabilities, losses, and expenses, including reasonable attorneys’ fees, charges and disbursements, that arise therefrom. In no event shall Tenant be liable to Landlord or any Indemnified Landlord Party under this Lease or at law or in equity for punitive damages.

  • Indemnification by Dalmore Dalmore shall indemnify and hold Client, Client’s affiliates and Client’s representatives and agents harmless from any Losses resulting from or arising out of Proceedings to the extent they are based upon (i) a breach of this Agreement by Dalmore or (ii) the wrongful acts or omissions of Dalmore or its failure to comply with any applicable federal, state, or local laws, regulations, or codes in the performance of its obligations under this Agreement.

Licensor’s obligation to indemnify Licensee shall be conditioned on (a) Licensee’s provision to Licensor of prompt notice of such an Action (except where any delay does not materially prejudice Licensor); (b) Licensee’s reasonable cooperation with Licensor in the defense and settlement of such an Action at Licensor’s cost; and (c) Licensor having exclusive control of the defense, settlement and/or compromise of such an Action (provided that Licensor may not settle any Action in a manner that adversely affects Licensee without Licensee’s prior written consent, not to be unreasonably withheld or delayed).

NOTWITHSTANDING ANYTHING CONTAINED IN THIS LEASE TO THE CONTRARY, IN NO EVENT SHALL LESSEE BE LIABLE FOR INCIDENTAL, INDIRECT, SPECIAL, PUNITIVE, EXEMPLARY OR CONSEQUENTIAL DAMAGES, LOST PROFITS OR OTHER BUSINESS INTERRUPTION DAMAGES IN TORT, CONTRACT OR OTHERWISE UNDER OR ON ACCOUNT OF THIS LEASE, EXCEPT THOSE PAYABLE TO THIRD PARTIES FOR WHICH LESSEE WOULD BE LIABLE UNDER THIS SECTION.
