Indemnification of Broker. Prospective Buyer indemnifies and holds Broker and Practice harmless for any claim, loss or damages including expense of defense arising from any transaction entered into by Prospective Buyer, including but not limited to court costs, reasonable attorneys’ fees, and investigation expenses which, in any manner, arise out of or result from any practice purchase, employment, affiliation, or arising from a breach by Prospective Buyer of Sections 1 or 4 of this Agreement.
Indemnification of Broker. Client agrees to indemnify Broker and to hold harmless on account of any and all costs or damage arising out of this agreement, provided Broker is not at fault, including, but not limited to, attorneys’ fees reasonably incurred by Xxxxxx.
Indemnification of Broker. Buyer hereby indemnifies Broker and shall hold Broker harmless on account of any and all loss or damage arising out of the Agency Agreement, including, but not limited to, attorney’s fees reasonably incurred by the Broker.
Indemnification of Broker. Dealer and Associated Insurance Agency by Prudential Annuities is subject to the condition that Broker-Dealer and Associated Insurance Agency promptly notify Prudential Annuities of any claim or suit made against Broker-Dealer or Associated Insurance Agency and that Broker-Dealer and Associated Insurance Agency allow Prudential Annuities to make such investigation, settlement, or defense thereof as Prudential Annuities deems prudent.
Indemnification of Broker. Buyer hereby indemnifies and holds Broker and Buyer’s Designated Agent harmless from 68 and against any and all claims, disputes, litigation, judgments, costs, and legal fees arising from (i) misrepresentations by Buyer or other 69 incorrect or incomplete information supplied by Buyer; (ii) xxxxxxx money handled by anyone other than Broker; and (iii) injuries to persons 70 on the Property and/or loss or damage to the Property or any portions of the Property.
Indemnification of Broker. Buyer promises to disclose to Broker whether Xxxxx has signed any agency agreement with any other Broker, or has been given prior information about any property that is the subject of this Contract by any other Broker or salesperson, or has previously been shown any such property by any other broker or salesperson. If Xxxxx fails to tell Xxxxxx about such other broker’s or salesperson’s involvement, and Xxxxxx incurs any loss or damage as a result of any claim being brought against him on account of such involvement, due to no fault of Xxxxxx, then Buyer shall pay Broker all such losses and damages incurred by Xxxxxx because of such claim.
Indemnification of Broker. Indemnification of Broker. KING and each of the Individuals represent and warrant to RSI that no broker, finder, agent, banker or similar intermediary has acted on their behalf in connection with this Agreement or the transactions contemplated hereby and, there are no brokerage commissions, finders' fees, investment banking fees or similar fees or commissions payable in connection therewith based on any Agreement, arrangement or understanding with the RSI. KING and each of the Individuals agrees jointly and severally to indemnify and save RSI harmless from any claim or demand for commissions or other compensation by any broker, finder, agent, investment banker or similar intermediary, claiming to have been employed by or on behalf of any of them and to bear the cost of legal expenses incurred in defending against any such claim.
Indemnification of Broker. (a) Each Pledgor agrees to indemnify and hold harmless the Broker, its directors, officers, agents and employees against any and all claims, causes of action, liabilities, lawsuits, demands and damages, including, without limitation, any and all court costs and reasonable attorney's fees, in any way related to or arising out of or in connection with this Agreement or any action taken or not taken pursuant hereto, except to the extent resulting from the Broker's gross negligence or willful misconduct.
Indemnification of Broker. Dealer and Associated Insurance Agency by American Skandia is subject to the condition that Broker-Dealer and Associated Insurance Agency promptly notify American Skandia of any claim or suit made against Broker-Dealer or Associated Insurance Agency and that Broker-Dealer and Associated Insurance Agency allow American Skandia to make such investigation, settlement, or defense thereof as American Skandia deems prudent.
