Prior Information. The information is encompassed by the ideas and inventions listed on Schedule A hereto or was in Employee’s possession at the time of disclosure, as shown by written records in existence prior to such time, and such information has not been transferred to Employer, and was not acquired, directly or indirectly, from the Employer; or

Prior Information. I agree to inform Company of any apparent conflicts between my work for Company and any pre-existing obligations I may have to preserve the confidentiality of another’s proprietary information or materials. Otherwise, by signing this Agreement and accepting employment with Company, Company may conclude that no such conflict exists, and I agree thereafter to make no such claim against Company. I agree not to disclose to Company or any of its Affiliates or use in Company’s business any information or material relating to the business of any third person and intended by that person not to be disclosed to Company or its Affiliates.
Prior Information. The information was in Executive's possession prior to the Effective Date, as shown by written records in existence prior to the Effective Date; or
Prior Information. This section applies to Technology previously provided by either party to the other prior to the Effective Date of this Agreement. Any and all such prior information shall be deemed to be included in this Agreement and subject to the Confidentiality provisions of this Agreement.
Prior Information. During the Term of this Agreement, Solution Provider shall send written notice to DS of its intent:
(i) to participate to any program similar to the CATIA V5 Galaxy Program that could be set up by any third party, prior to entering into such program, and/or
(ii) to develop, manufacture, market, offer and/or distribute or have developed, manufactured, marketed, offered and/or distributed, any computer software program(s) which functionalities or purpose is similar to that of any then existing DS Group Product, prior to starting such development, manufacture, marketing, offering and/or distributing.
Prior Information. The Tenant acknowledges and agrees that no prior information provided or statements made by the Landlord or its agent(s) ("Prior Information"), including, without limitation, estimated gross sales and common area maintenance calculations, any other financial matters, and any matters related to: (i) any of the premises on the Property; (ii) the Property itself; or (iii) the number or kind of tenants on the Property, have in any way induced the Tenant to enter into this Lease. The Tenant acknowledges that prior to entering into this Lease, the Tenant has satisfied itself of all its concerns by conducting an independent investigation of the validity of such Prior Information.

The Employee hereby represents and warrants that (a) the Employee’s performance under this Contract and her duties as an employee of the Company will not breach or be in conflict with any confidentiality, intellectual property assignment, non-competition or other agreement with any former employer or other third party and (b) there is no other agreement or duty on the Employee’s part now in existence that would conflict with any provision contained herein. The Employee will not use or disclose to the Company any trade secret or other confidential technical or business information of any previous employer or other third party to whom the Employee has an obligation of secrecy unless the Employee is authorized to do so by such previous employer or other third party or the information has become publicly available through no fault of the Employee. In addition, the Employee will not bring onto any premises of the Company or use any unpublished documents or any property belonging to any former employer or other third party, in violation of any agreements with such former employer or third party.
Prior Information. Xxxxxxx notifies the contemplated audit scope, the list of audit operations and the measuring tools that it is considering using (notably system commands and scripts), and all licence and maintenance contracts and order forms concerned by its request.
