Indemnitors’ Obligation to Perform Corrective Work. (a) The Indemnitor shall have the obligation to promptly commence and perform any corrective work required to address any Environmental Damages or Contamination, including any actions required by the Indemnitor under Section 6 (“Corrective Work”) after the occurrence of any of the following: (i) the Indemnitor obtains actual knowledge of any Contamination on, in, under, affecting, or migrating to or from the Property or any surrounding areas; or (ii) an event occurs for which the Administrative Agent can seek indemnification from the Indemnitor pursuant to Section 6.

Indemnitors’ Obligation to Perform Corrective Work. (a) Indemnitor shall have the obligation to promptly commence and perform any cleanup, remediation, removal, response, abatement, containment, closure, restoration, treatment, investigation, monitoring or corrective work required to address any actual or alleged violation of Environmental Law, Release or threatened Release, and Environmental Damages, including any actions required by Indemnitor under Section 6 (“Corrective Work”) after the occurrence of any of the following: (i) Indemnitor obtains actual knowledge of any such Release, threatened Release, violation or Environmental Damages on, in, under, affecting, or migrating to or from the Property or any surrounding areas; or (ii) an event occurs for which any Indemnified Party can seek indemnification from Indemnitor pursuant to Section 6 hereof.
Indemnitors’ Obligation to Perform Corrective Work. (a) Indemnitors shall have the obligation to promptly commence and perform any corrective work required to address any Environmental Damages, including any actions required by Indemnitors under this Agreement (“Corrective Work”) after the occurrence of any of the following: (i) Indemnitors obtain actual knowledge of any Contamination on, in, under, affecting, or migrating to or from the Property or any surrounding areas not previously disclosed by the Environmental Reports; or (ii) an event occurs for which Lender can seek indemnification from Indemnitors pursuant to Section 6 hereof. Notwithstanding the foregoing, Indemnitors may diligently and in good faith contest any alleged obligation to perform Corrective Work or failure to perform Corrective Work by appropriate legal proceedings which shall operate to prevent the enforcement of the same, provided that Indemnitors maintain adequate reserves therefor in accordance with GAAP.

  • Right to Perform Obligations If Customer shall fail to do any act or thing which it has covenanted to do under this Loan Agreement or any representation or warranty on the part of Customer contained in this Loan Agreement shall be breached, MLBFS may, in its sole discretion, after 5 Business Days written notice is sent to Customer (or such lesser notice, including no notice, as is reasonable under the circumstances), do the same or cause it to be done or remedy any such breach, and may expend its funds for such purpose. Any and all reasonable amounts so expended by MLBFS shall be repayable to MLBFS by Customer upon demand, with interest at the Interest Rate during the period from and including the date funds are so expended by MLBFS to the date of repayment, and all such amounts shall be additional Obligations. The payment or performance by MLBFS of any of Customer's obligations hereunder shall not relieve Customer of said obligations or of the consequences of having failed to pay or perform the same, and shall not waive or be deemed a cure of any Default.

  • LANDLORD’S RIGHT TO PERFORM TENANT’S DUTIES If Tenant fails timely to perform any of its duties under this Lease, Landlord shall have the right (but not the obligation), to perform such duty on behalf and at the expense of Tenant without prior notice to Tenant, and all sums expended or expenses incurred by Landlord in performing such duty shall be deemed to be additional Rent under this Lease and shall be due and payable upon demand by Landlord.

  • Landlord’s Right to Perform Except as specifically provided otherwise in this Lease, all covenants and agreements by Tenant under this Lease shall be performed by Tenant at Tenant’s sole cost and expense and without any abatement or offset of Rent. If Tenant shall fail to pay any sum of money (other than Base Rent) or perform any other act on its part to be paid or performed hereunder and such failure shall continue for three (3) days with respect to monetary obligations (or ten (10) days with respect to non-monetary obligations, except in case of emergencies, in which such case, such shorter period of time as is reasonable under the circumstances) after Tenant’s receipt of written notice thereof from Landlord, Landlord may, without waiving or releasing Tenant from any of Tenant’s obligations, make such payment or perform such other act on behalf of Tenant. All sums so paid by Landlord and all necessary incidental costs incurred by Landlord in performing such other acts shall be payable by Tenant to Landlord within five (5) days after demand therefor as Additional Rent.
