Indemnity by Partner. Partner shall indemnify, defend and hold harmless F5 and its Affiliates and their officers, directors and employees (“F5 Parties”) against all Claims made against F5 Parties by a third party to the extent arising out of resulting from: (i) any acts or omissions of Partner relating to its activities in connection with this Agreement; (ii) Partner’s failure to comply with applicable laws; or (iii) Partner’s misrepresentations relating to F5, the Products, or this Agreement, regardless of the form of action. Partner shall be solely responsible for any claims, warranties or representations made by Partner or its employees or agents which differ from the warranty provided by F5 in the limited warranty included in the packaging of each Product sold or licensed hereunder, or which differ from written documentation provided by F5.
Indemnity by Partner. Partner will defend, indemnify, and hold harmless Amgen, its Affiliates, and their respective directors, officers, employees, agents and representatives (collectively, “Amgen Indemnitees”), at Partner’s cost and expense, from and against any and all liabilities, losses, costs, damages, fees or expenses (including reasonable legal expenses and attorneys’ fees) (collectively, “Losses”) arising out of any Third Party Claims brought against any Amgen Indemnitee to the extent such Losses result from: [*]. Indemnity by Partner. Partner shall indemnify, defend and hold harmless F5 and its Affiliates and their officers, directors and employees (“F5 Parties”) against all Claims made against F5 Parties by a third party to the extent arising out of resulting from: (i) any acts or omissions of Partner relating to its activities in connection with this Agreement; (ii) Partner’s failure to comply with applicable laws; (iii) Partner’s failure to conduct adequate “know your customer” screening pursuant to section 4.2; (iv) Partner’s misrepresentations relating to F5, the Products, or this Agreement, regardless of the form of action; (v) for any claims, warranties or representations made by Partner or its employees or agents which differ from the warranty provided by F5 in the limited warranty included in the packaging of each Product sold or licensed hereunder, or which differ from written documentation provided by F5; (vi) an alleged breach by Partner of the agreement between Partner and the End User pursuant to which the Managed Services are provided; or (vii) any allegation that an End User’s use of the Products in violation of the applicable End User agreement infringes, misappropriates or violates any Intellectual Property Rights or other proprietary rights (including privacy rights).
Indemnity by Partner. (a) The Partner agrees and undertakes to continuously indemnify Global Prime and its Affiliates (for each of whom Global Prime holds the benefit of this indemnity on trust, acknowledged by the Partner as being enforceable as against the Partner by Global Prime on behalf of as trustee for the Affiliate)) (each is an Indemnified Person), from and against any and all losses (including consequential losses), damages, and liabilities to which the Indemnified Person becomes subject at any time arising out of, or in connection, with:
Indemnity by Partner. Partner shall defend, indemnify and hold harmless Company against any loss, liability, damage or expense incurred by Company as a result of claims, actions or proceedings brought by any third party arising from (a) Partner's failure to perform its obligations under this Agreement, including any failure to obtain Required Consents, (b) a claim for personal injury, damage or other liability to any agent or employee of Partner occurring on Company's premises, except for personal injury or property damage attributable in part to a negligent, reckless or willful act or omission of Partner, (c) Partner's activities which are not in accordance with the provisions of this Agreement; (d) Partner's activities which are not in compliance with applicable laws and regulations; (e) Partner's activities which are based upon any unapproved assertions, errors, omissions or misrepresentations of Partner, including but not limited to those defined in the Representations and Warranties Section above; (f) Partner's activities which are based upon the operation of Partner's business; and (g) Partner's activities which are based upon agreements between Partner and third parties. Company shall promptly notify Partner if any such claim is brought. Partner shall indemnify Company against its reasonable attorneys' fees and any money damages or costs awarded in respect of any such claim(s) and any suit raising any such claim(s). Company agrees to cooperate with said defense by complying with Partner's reasonable instructions and requests to Company in erection with said defense. The indemnification provided in this section shall not extend to any infringement of intellectual property rights resulting in the use of work not reasonably contemplated or authorized by Partner, or through army modification or alteration to said work made by Company without Partner's written consent.

To the extent any Purchaser Indemnitee is entitled to collect Purchaser Damages, Purchaser shall, at its option and subject to the terms of the Escrow Agreement, be entitled to withdraw sufficient funds from the Escrow Fund pursuant to the Escrow Agreement in lieu of payment directly from Seller, and to the extent the amount due any Purchaser Indemnitee exceeds the balance of the funds held under the Escrow Agreement, Purchaser shall be entitled to collect such balance owned to Purchaser Indemnitee directly from Seller.

Landlord reserves the right to settle, compromise or dispose of any and all actions, claims and demands related to the foregoing indemnity. The foregoing indemnity shall not operate to relieve Indemnitees of liability to the extent such liability is caused by the willful and wrongful act of Indemnitees. Further, the foregoing indemnity is subject to and shall not diminish any waivers in effect in accordance with Section 16.04 by Landlord or its insurers to the extent of amounts, if any, paid to Landlord under its “All-Risks” property insurance.
