Indemnity Insurance and Sureties. 12.1 Indemnity and Insurance - The Developer agrees to have every Contractor performing work on the Facilities fully comply with the all of the requirements in Exhibit D. To the extent that any indemnity or insurance coverage provided by any such Contractor does not fully indemnify the District for any and all claims as defined in Exhibit D, Xxxxxxxxx agrees to indemnify, hold harmless, and defend the District, its directors, officers, employees, representatives, and authorized volunteers. Coverages required by Exhibit D shall be maintained throughout the term of this Agreement. Every Contractor shall file with the District prior to the commencement of any work under this Agreement, and as policy renewals occur, Certificates of Insurance evidencing that the insurance coverages required herein have been obtained and are currently in full force and effect.

To the extent that any third party claim brought against the District exceeds the policy limits of the insurance required to be maintained by such Contractor pursuant to Exhibit D, then Developer agrees that it (or its insurance) shall be responsible for such deficit; provided, however, in no event shall the foregoing be deemed to require Developer to pay any amount resulting from claims excluded from the coverage afforded by the policies required to be maintained under Exhibit D. Coverages required by Exhibit D shall be maintained throughout the term of this Agreement.
