Information on the agreement. Company name of the entity directly or indirectly involved: L’Oréal SA (632 012 100 RCS Paris) - Nature of the relationship with Sanofi: At the date the Agreement was signed, L'Oréal held more than 10% of Sanofi's voting rights. - Date of the Agreement: The Agreement was entered into on February 2, 2025 following the meeting of the Board of Directors held on February 2, 2025. The price of the Transaction has been set at 2,999,999,975 euros for all the shares repurchased, i.e. a unit price of 101.5 euros per share, representing a discount of 2.8% to the closing price on January 31, 2025. This price was set by mutual agreement between the parties. The prior authorization of the Board of Directors was given after considering the report of the independent expert on the financial terms of the Transaction, Finexsi, which concluded that the price was fair.

Information on the agreement. JET holds a Manufacturing License issued by the Ministry of International Trade & Industries, Malaysia to design, research and development, manufacture, fabricate, construct, tooling and assemble aircrafts and aircraft parts and components for business aircrafts. Pursuant to the Agreement, JET agrees to engage MPT to be the sole and exclusive manufacturer and producer of parts, equipment and components for all the aircrafts to be produced by JET (“the Products”). The Agreement shall continue for a period of 10 years subject to further extension mutually agreeable to MPT and JET. Pursuant to the Agreement, JET shall disclose to MPT the technology as is necessary to enable MPT to manufacture the Products in accordance with the specification. JET shall from time to time during the period of the Agreement consult with MPT pertaining to the process of manufacturing of the Products and the use of JET’s Technology. MPT will only need to modify their existing machineries to meet up with the specification of the JET’s requirements. JET shall issue purchase order to MPT as and when JET requires the supply of the Products from MPT and the value of the order will then be determined at that point of time.

  • Entirety of the Agreement The terms and conditions of this Agreement and any of the attachments expressly incorporated by reference in this Agreement embody the entire agreement and understanding between the parties hereto, and there are no other agreements and understandings, oral or written, with reference to the subject matter hereof that are not merged herein and superseded hereby. No alteration, change or modification of the terms of the Agreement shall be valid unless made in a writing signed by both parties hereto and approved by the District’s governing body, the elected School Board, or its designee pursuant to official board policy.
