Initial Capital Contributions and Units. The Founder has contributed (and each subsequent Member will, upon the execution of this Agreement in connection with its acknowledgement that it has become a Member, contribute) to the Company the agreed upon initial Capital Contribution and, in return, such Member shall receive ownership of the number of Units ascribed to such Member on Schedule A (as the same may be amended, modified, supplemented and/or replaced from time to time).
Initial Capital Contributions and Units. Initial contributions shall be as set forth in Schedule A attached hereto, and each Partner shall receive the number of units shown on Schedule A. If any additional General or Limited Partner shall be subsequently admitted, the General Partner shall determine the capital contribution required of such additional Partner and the number of units to be assigned to such additional Partner, based on a good-faith determination of the fair market value of units at such time.
Initial Capital Contributions and Units. The initial Partners shall make initial capital contributions upon commencement of the Partnership term and shall be issued Units in exchange therefor as set forth in attached Schedule A, as it originally appears. The initial Partners agree that the fair market value of the property initially contributed by them is as set forth in such schedule.
Initial Capital Contributions and Units. (i) On the Effective Date, Southcross shall contribute the Southcross ED Contribution pursuant to the Contribution Agreement, and Southcross shall receive solely in exchange therefor the number of Class A Units set forth opposite Southcross’ name on Exhibit A.

  • Capital Contributions of the Partners (a) The Partners have made the Capital Contributions as set forth in Exhibit A.

Notices for Capital Contributions must be made to all Members in accordance with their Sharing Ratios.

  • Capital Contributions and Capital Accounts (a) The value of the interests contributed by the Class A Certificateholders and the Class I Certificateholders shall equal the amount paid by such Certificateholders for such interests, respectively, and such amounts shall constitute the opening balance in their Capital Accounts (as hereinafter defined). The value of the interests contributed by the Class IC Certificateholder shall equal the fair market value of the Receivables contributed to the Tax Partnership less the value attributed to the Class A Certificateholders and the Class I Certificateholders, as described above. Such amount shall constitute the opening balance in the Class IC Certificateholder's Capital Account.
