During the Operation Period the Concessionaire shall, no later than 10 (ten) days after the close of each month, furnish a monthly management report which shall include a summary of: (a) key performance indicators achieved in the month, along with an analysis of reasons for failures, if any, and proposals to remedy the same; (b) key operational hurdles and deliverables in the succeeding month along with strategies for addressing the same and for otherwise improving the Project’s operational performance; and (c) key financial parameters for the month, as benchmarked against the monthly budget and the reasons for shortfall, if any, and proposals to remedy the same.

During the Operation Period. During the Operation Period, the compensation for any increase/decrease in revenues shall be determined and effective from such date, as decided by the Appropriate Commission whose decision shall be final and binding on both the Parties, subject to rights of appeal provided under applicable Law. Provided that the above mentioned compensation shall be payable only if the increase/decrease in revenues or cost to the TSP is in excess of an amount equivalent to one percent (1%) of Transmission Charges in aggregate for a Contract Year.

During the Operation Period. During the operation period, if as a result of Change in Law, the TSP suffers or is benefited from a change in costs or revenue, the aggregate financial effect of which exceeds 0.30% (zero point three percent) of the Annual Transmission Charges in aggregate for a Contract Year, the TSP may notify so to the Nodal Agency and propose amendments to this Agreement so as to place the TSP in the same financial position as it would have enjoyed had there been no such Change in Law resulting in change in costs or revenue as aforesaid.
During the Operation Period a. CEA shall communicate in writing to the DEVELOPER that the APP shall be terminated in an anticipated manner due to causes of general interest, describing, justifying and evidencing the reasons of general interest, mentioning the term that the DEVELOPER shall have to deliver the SYSTEM, which shall not be less than 90 (ninety) BUSINESS DAYS. b. Within the term granted to the DEVELOPER, it shall proceed to prepare an inventory of the assets that comprise the SYSTEM at that moment, which it shall deliver to CEA, in coordination with the SUPERVISION and a representative of CEA. c. CEA shall pay to the DEVELOPER the expenses and investments made by the DEVELOPER or incurred and pending amortization, as calculated based in the corresponding evidence submitted by the DEVELOPER arising from the rendering of the services subject matter of this APP, which shall include the reimbursement to the DEVELOPER of the debt service incurred by the DEVELOPER (concepts not included in the T1). d. CEA shall continue paying the amount of the T1 tariff pursuant to EXHIBIT 13 “Adjustments to the Amount of the CONSIDERATION”, plus the amount of the insurances and the cost of the ADMINISTRATION TRUST, in the understanding that such payments shall be carried out monthly for the remaining term until the conclusion of the 444 (four hundred and forty four) months counted as from the date of the APP EFFECTIVENESS COMMENCEMENT. e. In the event of controversy over the expenses and investments to be reimbursed to the DEVELOPER, the PARTIES shall recur to the procedure for resolution of controversies contained in CLAUSE THIRTY FOURTH of this APP. In any event of early termination of this APP pursuant to the provisions of sections I through IV above, and notwithstanding the applicable provisions of the LAPPEBC, the PARTIES agree that the relevant items of the procedure for DELIVERY of the SYSTEM contained in EXHIBIT 17 shall be applicable. In the event of early termination of the APP, pursuant to the provisions of section V above, the PARTIES agree that the provisions of Clause Thirty Third of this APP shall be applicable.
During the Operation Period i. Carry out audits at the Storage Facility to establish quantity and quality parameters in accordance with the Standards and Specifications and if required, assess the magnitude of damages to be paid by the Concessionaire to the Authority; ii. Ensure calibration of weighment equipments at periodic intervals as per requirements; iii. Carry out quarterly and annual audits at the Storage Facility in respect of operational performance parameters as stipulated in the Concession Agreement; iv. Carry out annual audits to verify that term and conditions of the Concession Agreement are complied with by both the Parties; v. Carry out all duties specified in the Concession Agreement; and vi. If required mediate and assist in resolving disputes between both the Parties to the Concession Agreement

During the Operation Period the Concessionaire shall undertake the maintenance and repair of the Port Facility and the Equipment such that they shall be: (a) in good working condition (subject only to fair wear and tear); (b) maintained in compliance with Technical Specifications, Applicable Law, Permits and Good Industry Practice and the Manufacturer's Recommendations where applicable, and the other requirements of this Agreement; and (c) capable of being used for the performance of the Services in accordance with Technical Specifications, Minimum Service and Equipment Investment Requirements, Concessionaire E&S Obligations, Applicable Law, Permits, Good Industry Practice and the other requirements of this Agreement.
During the Operation Period the Contractor shall operate and maintain the Project in accordance with this Agreement either by itself, or through the O&M Contractor and if required, modify, repair or otherwise make improvements to the Project to comply with the provisions of this Agreement, Applicable Laws and Applicable Permits, and conform to Specifications and Standards and Good Industry Practice. The obligations of the Contractor hereunder shall include: a) Procuring and ensuring safe, smooth and uninterrupted use of the Project, including prevention of loss or damage thereto, during normal operating conditions; b) Minimizing disruption in the event of accidents or other incidents affecting the safety and use of the Project by providing a rapid and effective response and maintaining liaison with emergency services of the State; c) Carrying out periodic preventive maintenance of the Project; d) undertaking routine maintenance including prompt repairs of cracks, joints, drains, embankments, structures, markings, lighting, signage and other control devices; e) Undertaking major maintenance such as resurfacing, repairs to structures, and repairs and refurbishment of system and equipment; f) Preventing, with the assistance of concerned law enforcement agencies, any unauthorized use of the Project; g) Preventing, with the assistance of the concerned law enforcement agencies, any encroachments on, or unauthorized entry to the Project; h) Protection of the environment and provision of equipment and materials thereof; i) operation and maintenance of all communication, control and administrative systems necessary for the efficient operation of the Project and for providing safe, smooth and uninterrupted use of the Project; j) Maintaining a public relations unit to interface with and attend to suggestions from the Users, government agencies, media and other agencies; and k) Complying with Safety Requirements in accordance with Article 18.

  • Transition Period Due to the nature of our purchasing process, the District often requires an existing service provider to continue to provide goods and/or services while the District is in the process of advertising, evaluating, and awarding a contract for the provision of the same goods and/or services in the future. To accommodate this process, the Contractor shall agree to maintain the same terms and conditions set forth in this Agreement for a period up to ninety (90) days after the automatic termination of this Agreement at the end of its term, if requested by the District, as a transition period. In addition, if the Contractor is not the successful bidder for a future solicitation for the same or similar services, he or she shall agree to provide the same goods and/or services provided in this Agreement for a period up to ninety (90) days to allow for an orderly transition to the new provider. The District and the Contractor may mutually agree to a longer transition period.

  • Vacation Period ‌ The choice of vacation periods shall be granted to employees on the basis of seniority with the Employer except where the period requested would be detrimental to the operation of the Employer.

  • Construction Period During the construction period, Redeveloper agrees to keep the construction area, including completed operations insured against loss or damage by fire, and such other risks, casualties, and hazards as are customarily covered by builders’ risk or extended coverage policies in an amount not less than the replacement value but allowing for reasonable coinsurance clauses and deductibles. In the event of any insured damage or destruction, Redeveloper agrees to use its good faith efforts to commence restoration of the Private Improvements to its prior condition within nine (9) months from the date of the damage or destruction, and shall diligently pursue the same to completion.
