Inspection Rights; Appraisals. Permit representatives and independent contractors of the Administrative Agent to visit and inspect any of its properties, to conduct field examinations, to conduct appraisals, to examine its corporate, financial and operating records, and make copies thereof or abstracts therefrom, and to discuss its affairs, finances and accounts with its officers, and independent public accountants, all at the reasonable and documented expense of the Borrowers and at such reasonable times during normal business hours and as often as may be reasonably desired, upon reasonable advance notice to the Borrowers; provided, that, for the avoidance of doubt, only the Administrative Agent on behalf of the Lenders may exercise rights under this Section 6.10. Subject to the proviso below, the Administrative Agent has the right to conduct one (1) field examination and one (1) Inventory Appraisal during any twelve-month period at the expense of the Borrowers; provided, that (i) when Excess Availability for five (5) consecutive Business Days is less than the greater of (A) fifteen percent (15%) of the Line Cap or (B) $30,000,000 (and until Excess Availability has exceeded the greater of such amount for twenty (20) consecutive days), the Administrative Agent may conduct up to each of two (2) field examinations and two (2) Inventory Appraisals during any twelve-month period at the expense of the Borrowers at any time during normal business hours and upon reasonable advance notice to the Borrowers; or (ii) in the Permitted Discretion of the Administrative Agent and upon the occurrence and during the continuation of a Specified Event of Default, the Administrative Agent may conduct up to each of four (4) field examinations and four (4) Inventory Appraisals during any twelve-month period at the expense of the Borrowers at any time during normal business hours and upon reasonable advance notice to the Borrowers (it being understood that such limit on the number of field exams and Inventory Appraisals is inclusive of any already undertaken during the course of such twelve-month period). The Administrative Agent and the Lenders shall give the Borrowers the opportunity to be present (or available by telephone) to participate in any discussions with the Borrowers’ accountants. Notwithstanding anything herein to the contrary, the Administrative Agent shall not conduct additional field examinations pursuant to the proviso of the sentence appearing two sentences above in this Section 6.10 during ...

Inspection Rights; Appraisals. (a) Permit the Administrative Agent or its designees or representatives from time to time, subject (except when a Default or Event of Default exists) to reasonable notice and normal business hours, to conduct Field Exams and/or appraisals of Inventory; provided that representatives of the Borrowers shall be given the opportunity to participate in any discussions with the independent accountants. Lenders may participate in any such Field Exams at their own expense. Neither the Administrative Agent nor any Lender shall have any duty to any Borrower to make any Field Exam, nor to share any results of any Field Exam with any Borrower, other than results of appraisals, which may be shared with the Borrower Agent upon request. The Borrowers acknowledge that all Field Exams, appraisals and reports are prepared by or for the Administrative Agent and Lenders for their purposes, and Borrowers shall not be entitled to rely upon them.
Inspection Rights; Appraisals. (a) Permit representatives, officers, employees and independent contractors of the Administrative Agent and each Lender, from time to time, to visit and inspect the Properties of any Borrower, to examine any Borrower’s or Subsidiary’s corporate, financial and operating records, and make copies thereof or abstracts therefrom, to conduct field audits (in the name of the Administrative Agent, or any designee of the Administrative Agent or the Borrowers) of the financial affairs and Collateral of the Borrowers, and to discuss such Borrower’s or Subsidiary’s affairs, finances and accounts with its directors, officers, employees, agents and independent public accountants, during normal business hours and upon reasonable advance notice to the Borrower Agent (and Borrowers shall cooperate fully with the Administrative Agent in an effort to facilitate and promptly conclude such inspections and field audits); provided, however, that when a Default or an Event of Default exists the Administrative Agent or any Lender (or any of their respective representatives or independent contractors) may do any of the foregoing at any time and without advance notice.

Inspection Rights; Appraisals. (a) Each Loan Party shall, and shall cause each of its Subsidiaries to, permit representatives and independent contractors of Administrative Agent and each Lender, from time to time upon prior reasonable notice, (i) to examine, inspect, review, evaluate and make physical verifications and appraisals of the Inventory and other Collateral in any manner and through any medium that Administrative Agent or such Lender considers advisable, (ii) to visit and inspect its Properties, (iii) to examine its corporate, financial and operating records, and make copies thereof or abstracts therefrom and (iv) to discuss its affairs, business, operations, financial condition and accounts with its directors, officers, employees and independent certified public accountants, at such reasonable times during normal business hours and as often as may be reasonably requested and the Borrowers shall pay the reasonable and documented fees and expenses of Administrative Agent and such professionals with respect to such examinations and evaluations; provided that, other than with respect to such visits and inspections during the continuance of an Event of Default, (x) only Administrative Agent on behalf of the Lenders may exercise rights under this clause (a) and (y) Administrative Agent shall not exercise such rights more often than two (2) times during any calendar year; provided, further, that when an Event of Default exists Administrative Agent or any Lender (or any of their respective representatives or independent contractors) may do any of the foregoing under this Section at the expense of Borrowers and at any time during normal business hours and without advance notice.
