Company may examine Seller’s financial records, if any, and Seller’s operating procedures, equipment manuals, Operating Records and data kept by Seller relating to transactions under and administration of this PPA, at any time during the period the records are required to be maintained, from time to time upon reasonable request and during normal business hours.
Buyer shall retain all Operating Records (whether in electronic form or otherwise) relating to the Auctioned Assets on or prior to the Closing Date.
Subject to applicable Law, during the Interim Period, the Seller shall (a) give the Buyer and its Representatives reasonable access during normal business hours to the Facility, Employees and Operating Records and (b) cooperate reasonably with the Buyer in its investigation of the Facility.
