Inspection Rights of Customer. PanAmSat shall give Customer reasonable notice of the commencement of pre-commercial service in-orbit testing for PAS-6B. Subject to the consent of PanAmSat's manufacturer, which PanAmSat shall seek to obtain and Customer's execution of any additional proprietary data agreement that the applicable manufacturer may require, Customer shall be given access to the test data from such tests that are relevant to the Service Specifications of Service Transponders and Customer shall be allowed to be present during such in-orbit testing. In addition, again subject to the consent of the manufacturer and the execution of any necessary proprietary data agreement that the manufacturer may require, PanAmSat shall give Customer access to pre-commercial service test information and reports relevant to the PAS-6B Service Transponders, allow Customer to inspect the work in progress at reasonable times and upon reasonable notice, and allow Customer to be present during pre-commercial service testing for which PanAmSat also has access. It is understood, in this regard, that the implementation of this paragraph is intended to be implemented at a cooperative level largely between the respective engineers of the parties and that formal notice of events or information will not be required. This Section 14.2 does not apply to PAS-3 and has already been implemented for PAS-6.

Inspection Rights of Customer. If the Customer's Transponder Capacity fails to meet the Performance Specifications sufficient to amount to a Confirmed Outage and such failure is directly caused by the failure of PanAmSat to provide telemetry, tracking and control ("TT&C"), and if PanAmSat is unable to provide information as to other causes for such Confirmed Outage, then Customer shall have the right to inspect the primary TT&C station for Galaxy 18 upon reasonable notice to PanAmSat during normal business hours accompanied by an employee of PanAmSat. Customer shall not have the right to inspect the TT&C station at any time or in any manner that could cause disruption to the operation of such TT&C station.

Subject to the consent of Intelsat’s vendors (which Intelsat shall use reasonable efforts to obtain) and Applicable Law, and subject to Customer’s execution of any additional proprietary data agreement that the applicable vendor may require, Intelsat shall provide Customer access to, and authorized Customer representatives shall be entitled to attend, all major Satellite and launch vehicle program events consisting of the preliminary and critical design reviews, pre-shipment review, and IOT data review conducted for the satellite procurement, and the preliminary mission analysis review, final mission analysis review and launch readiness review conducted for the launch vehicle procurement (or analogous or similar milestone events as designated and identified in the launch services contract).   • Inspection Rights Permit representatives and independent contractors of the Administrative Agent and each Lender to visit and inspect any of its properties, to examine its corporate, financial and operating records, and make copies thereof or abstracts therefrom, and to discuss its affairs, finances and accounts with its directors, officers, and independent public accountants (subject to such accountants’ customary policies and procedures), all at the reasonable expense of the Borrower and at such reasonable times during normal business hours and as often as may be reasonably desired, upon reasonable advance notice to the Borrower; provided that, excluding any such visits and inspections during the continuation of an Event of Default, only the Administrative Agent on behalf of the Lenders may exercise rights of the Administrative Agent and the Lenders under this Section 6.10 and the Administrative Agent shall not exercise such rights more often than two times during any calendar year and only one (1) such time shall be at the Borrower’s expense; provided, further, that when an Event of Default exists, the Administrative Agent or any Lender (or any of their respective representatives or independent contractors) may do any of the foregoing at the expense of the Borrower at any time during normal business hours and upon reasonable advance notice. The Administrative Agent and the Lenders shall give the Borrower the opportunity to participate in any discussions with the Borrower’s independent public accountants. Notwithstanding anything to the contrary in this Section 6.10, none of the Borrower nor any Restricted Subsidiary shall be required to disclose, permit the inspection, examination or making copies or abstracts of, or discussion of, any document, information or other matter that (i) constitutes non-financial trade secrets or non-financial proprietary information, (ii) in respect of which disclosure to the Administrative Agent or any Lender (or their respective representatives or contractors) is prohibited by Law or (iii) is subject to attorney-client or similar privilege or constitutes attorney work-product.

  • Information and Inspection Rights The Company shall permit, and shall cause each of its Subsidiaries to permit, the Purchaser, its representatives or any independent auditor or legal counsel appointed by the Purchaser, during normal business hours following reasonable notice by the Purchaser to the Company, to (i) visit and inspect any of the properties of the Company or any of its Subsidiaries, (ii) examine the books of account and records of the Company or any of its Subsidiaries, and (iii) discuss the affairs, finances and accounts of the Company or any of its Subsidiaries with the directors, officers, and management employees of the Company or any of its Subsidiaries.

  • Audit and Inspection Rights Alberta Innovates shall be entitled at any time and from time to time during the Term and the Retention Period, upon reasonable prior Notice to the Applicant, to have its authorized agents attend at the Applicant's premises or at the location where the Project is being carried out, to: (a) audit or examine the Records ("Audit"); and/or (b) inspect the premises and assets pertaining to the Project ("Inspection"); to assess whether the Applicant has been and is complying with this Investment Agreement. The costs of any Audit or Inspection shall be paid by Alberta Innovates unless such Audit or Inspection reveals a Default or a failure by the Applicant to maintain proper Records or comply with this Investment Agreement, in which case the costs shall be paid by the Applicant. The Applicant shall provide Alberta Innovates’ authorized agents with all such assistance as may be reasonably required during such Audit or Inspection, Including making and providing Alberta Innovates with copies of any Records as requested by Alberta Innovates. For clarity, such right of Audit and Inspection shall be limited to the purpose of ascertaining whether this Investment Agreement has been complied with, and Alberta Innovates will not have any general right to obtain custody or copies of the records of the Applicant except as contemplated by this Section.

  • Books and Records; Inspection Rights The Borrower will, and will cause each of its Subsidiaries to, keep proper books of record and account in which full, true and correct entries are made of all dealings and transactions in relation to its business and activities.
