Interconnection Agreement. On or before December 31, 2015, Wholesale Market Participant must enter into an Interconnection Agreement with the Transmission Owner in order to effectuate the WMPA. Wholesale Market Participant shall demonstrate the occurrence of each of the foregoing milestones to Transmission Provider’s reasonable satisfaction. Transmission Provider may reasonably extend any such milestone dates, in the event of delays that Wholesale Market Participant (i) did not cause and (ii) could not have remedied through the exercise of due diligence. If (i) the Wholesale Market Participant suspends work pursuant to a suspension provision contained in an interconnection and/or construction agreement with the Transmission Owner or (ii) the Transmission Owner extends the date by which Wholesale Market Participant must enter into an interconnection agreement relative to this WMPA, and (iii) the Wholesale Market Participant has not made a wholesale sale under this WMPA, the Wholesale Market Participant may suspend this WMPA by notifying the Transmission Provider and the Transmission Owner in writing that it wishes to suspend this WMPA, with the condition that, notwithstanding such suspension, the Transmission System shall be left in a safe and reliable condition in accordance with Good Utility Practice and Transmission Provider’s safety and reliability criteria. Interconnection Agreement. On The Parties agree that from and after the Effective Date, until this Agreement is terminated, they will work cooperatively together and exercise Commercially Reasonable Efforts to bring about the execution of the Interconnection Agreement to be effective upon the Closing, it being understood that, subject to the foregoing, nothing herein shall require either Party or before December 31, 2015, Wholesale Market Participant must enter into an any other Person to execute any Interconnection Agreement with which it disagrees. In the Transmission Owner event that the Interconnection Agreement is not effective upon the Closing, and the Parties nevertheless close the transactions contemplated by this Agreement in order accordance with Section 9.10 hereof, (a) the Parties will continue to effectuate work cooperatively together and exercise Commercially Reasonable Efforts to bring about the WMPA. Wholesale Market Participant shall demonstrate the occurrence of each execution of the foregoing milestones Interconnection Agreement to Transmission Provider’s reasonable satisfaction. Transmission Provider be effective as soon as possible following the Closing, it being understood that, subject to the foregoing, nothing herein shall require either Party or any other Person to execute any Interconnection Agreement with which it disagrees, (b) pending the execution of the Interconnection Agreement, Seller will not take any action or exercise any voting right with respect to the Facilities Switchyard without consulting with Purchaser prior to such vote and taking the Purchaser's views into account in good faith, (c) subject to Seller's rights and obligations under the Facilities Switchyard Agreement, pending execution of the Interconnection Agreement, Seller will permit Purchaser to use the Facilities Switchyard to the full extent of Seller's rights thereto and Purchaser shall not be obligated to pay Seller any transmission tariff ,unless required by Law; provided, however, that Purchaser shall pay Seller's share of the operation and maintenance costs of the Facilities Switchyard allocable to such period as a Facilities Switchyard Owner, other than costs which may reasonably extend any such milestone datesbe recovered by Seller through transmission tariffs; provided further, in the event that Purchaser is subject to Seller's transmission tariff, Seller shall pay Purchaser a reasonable return on capital with respect to the portion of delays that Wholesale Market Participant (i) did not cause and (ii) could not have remedied through the exercise of due diligence. Interconnection Agreement. On or before December October 31, 20152021, Wholesale Market Participant must enter into an Interconnection Agreement with the Transmission Owner in order to effectuate the WMPA. This WMPA shall automatically terminate upon the termination of the two-party Interconnection Agreement between the Wholesale Market Participant and Transmission Owner. Wholesale Market Participant shall demonstrate the occurrence of each of the foregoing milestones to Transmission Provider’s reasonable satisfaction. Transmission Provider may reasonably extend any such milestone dates, in the event of delays that Wholesale Market Participant (i) did not cause and (ii) could not have remedied through the exercise of due diligence. Interconnection Agreement. Interconnection Agreement. On or before December March 31, 20152017, Wholesale Market Participant must enter into an Interconnection Agreement with the Transmission Owner in order to effectuate the WMPA. Wholesale Market Participant shall demonstrate the occurrence of each of the foregoing milestones to Transmission Provider’s reasonable satisfaction. On or before December beforeMarch 31, 20152014, Wholesale Market Participant must enter into an Interconnection Agreement with the Interconnected Transmission Owner in order to effectuate the WMPA. Wholesale Market Participant shall demonstrate the occurrence of each of the foregoing milestones to Transmission Provider’s reasonable satisfaction. Interconnection Agreement. On or before December 31September 1, 20152012April 30, 2014, Wholesale Market Participant must enter into an Interconnection Agreement with the Interconnected Transmission Owner in order to effectuate the WMPA. Wholesale Market Participant shall demonstrate the occurrence of each of the foregoing milestones to Transmission Provider’s reasonable satisfaction. Transmission Provider may reasonably extend any such milestone dates, in the event of delays that Wholesale Market Participant (i) did not cause and (ii) could not have remedied through the exercise of due diligence.
