Common use of Interconnection and Delivery Services Clause in Contracts

Interconnection and Delivery Services. (a) Seller shall be responsible for all costs associated with Network Upgrades, including, but not limited to, interconnection of the Facility at the Interconnection Point at a level that is capable of satisfying both the Network Capability Interconnection Standard and the equivalent of the Capacity Capability Interconnection Standard under the ISO-NE Rules (including the construction of those facilities described in Exhibit F), consistent with all standards and requirements set forth by the FERC, ISO-NE, any other applicable Governmental Entity and the Interconnecting Utility. Seller shall be responsible for procuring delivery service to the Delivery Point and all costs associated with it. (b) Seller shall defend, indemnify and hold Buyer harmless against any and all liabilities, fees, costs and expenses, including but not limited to reasonable attorneys’ fees arising due to Seller’s performance or failure to perform under the Interconnection Agreement or any agreement for delivery service associated with Seller’s performance of its obligations under this Agreement.

Seller shall be responsible for procuring delivery service to the Delivery Point and all costs associated with it.
