Interdependency. The Parties acknowledge and agree that if a Service has been terminated and, as a consequence thereof, other Services can no longer be provided because of the interdependency between these Services, such other Service shall be terminated as well.
Interdependency. (a) The obligations of:
(i) the parties in respect of Completion; and
(ii) the parties in the Interdependent Sale Agreement in respect of ‘Completion’, as defined in that agreement, will be interdependent. Neither the Seller nor the Buyer is obliged to Complete under this document unless the other is ready, willing and able to Complete under the Interdependent Sale Agreement simultaneously on the Completion Date.
(b) All actions at Completion under this document and ‘Completion’ as defined in the Interdependent Sale Agreement will be deemed to take place simultaneously and no delivery or payment under this document at Completion or under the Interdependent Sale Agreement in respect of ‘Completion’ as defined in that agreement will be deemed to have been made, and Completion under this document will not be taken to have occurred, until all such deliveries and payments under this document and under the Interdependent Sale Agreement have been made.
(c) If any action which is required to occur at Completion under this document or at ‘Completion’ as defined under the Interdependent Sale Agreement does not occur at Completion then:
(i) there is no obligation on any party to take any other such actions; and
(ii) to the extent that any such actions have already occurred, the parties must do everything reasonably required to reverse those actions, including returning any delivery or payment, in each case without prejudice to any other rights that any party may have in respect the action not having occurred. (d) Termination of this document by the Buyer in accordance with its terms before Completion will entitle the Buyer to terminate the Interdependent Sale Agreement. Termination of this document by the Seller in accordance with its terms before Completion will entitle the Seller to terminate the Interdependent Sale Agreement.
(e) Termination of the Interdependent Sale Agreement in accordance with its terms by the Buyer before Completion will entitle the Buyer to terminate this document. Termination of the Interdependent Sale Agreement in accordance with its terms by the Seller before Completion will entitle the Seller to terminate this document.
Interdependency. 11.1 The parties’ obligations at Completion are interdependent and must be carried out contemporaneously. No delivery or payment will be deemed to have been made until all deliveries and payments under clauses 9 and 10 have been made and all actions under clauses 9 and 10 on Completion will be deemed to take place simultaneously.
11.2 If the Seller or the Buyer does not comply with all of their obligations at Completion, the other party may require, upon which each party must:
(a) return every thing delivered, and repay every amount paid, to them at Completion; and
(b) do all things necessary to reverse any action taken at Completion.
Interdependency. (a) This XXXX is subject to and conditional on the Platform Agreement (where one applies).
(b) If your organisation breaches any provision of the Platform Agreement (where one applies), we will have the option to automatically terminate the XXXX.
Interdependency. Subject always to clause 4.3:
(a) notwithstanding any provision of a Linked Transaction Agreement, the obligations of the parties to the Linked Transaction Agreements in respect of the Australian Assets Completion, the Australian Shares Completion, the New Zealand Completion, the UK Completion, the USA Completion, the Indonesia Completion, the Fiji Completion, the Hong Kong Completion, the Malaysia Completion and the Novare Completion are interdependent; and
(b) all actions at the Australian Assets Completion, the Australian Shares Completion, the New Zealand Completion, the UK Completion, the USA Completion, the Indonesia Completion, the Fiji Completion, the Hong Kong Completion, the Malaysia Completion and the Novare Completion will take place simultaneously and no delivery or payment will be deemed to have been made until all deliveries and payments under the Linked Transaction Agreements due to be made at Completion have been made.
Interdependency. The obligations of the parties to the relevant Completion Date are interdependent. Those obligations will be taken for all purposes not to have occurred unless and until all deliveries and payments required by clauses 7.3 and 7.4 have been made.
Interdependency. Many elements of infrastructure take the form of networks which provide service by allowing flows of water, passengers, information, electric power, fuels, etc. These networked infrastructures create many different dependencies within and between infrastructure sectors. It is essential that these interdependencies are both understood and managed to improve the resilience of infrastructure (DEFRA, 2011; XXXxx, 2011; Xxxxxxxx et al., 2012). A useful classification for infrastructures recognizes three main categories of dependencies, geographical, physical and logical (Xxxxx, 2010; Xxxxxxx et al., 2001).
Interdependency. All of the Completion obligations of the parties under this agreement are interdependent and each Completion event, and each document referred to in or contemplated by clauses 1,2,3 and 3A, is conditional upon all of the Completion obligations of all of the parties having been performed.
Interdependency. The parties’ obligations at Closing are interdependent so that a thing done at Closing by a party is conditional on, and not taken as done until all things required on Completion are done.
Interdependency. The Parties acknowledge that all of the actions intended to occur pursuant to SCHEDULE 5 are interdependent on the occurrence of all of the other actions intended to occur pursuant to SCHEDULE 5 (save in respect of (i) the payment of the Shareholder Loan 1 Debt and the Employee Bonus Payments where the provisions of Clauses 2.2 and 2.3 shall apply and (ii) the actions set forth in Paragraph 8 of SCHEDULE 5). Without prejudice to Clauses 5.2 and 5.4, in the event that any action required to occur pursuant to SCHEDULE 5 fails to occur and is not waived by the relevant Party, then none of them shall be deemed to have occurred and Clause 5.4 below shall apply.
