Australian Shares definition
Australian Shares means all of the issued shares in the capital of the Australian Company as at the Completion Date.
Australian Shares means 2000 fully paid founder shares and 3,538,957 fully paid ordinary shares, being all shares on issue in the capital of the Australia Entity.
Australian Shares means the Equity Interests of PQ Holdings Australia Pty Limited and Potters Industries Acquisition Pty Ltd.

It is understood that the Selling Shareholder is concurrently offering (i) a total of 79,500,000 Shares (the "New Zealand Shares") by way of a public offering in New Zealand (the "New Zealand Offering") and (ii) a total of 59,600,000 Shares (the "Australian Shares") by way of a public offering in Australia (the "Australian Offering").
The U.S. Shares, the Rest of the World Shares, the New Zealand Shares and the Australian Shares, whether in the form of Shares or ADSs, are herein collectively called the "Offered Shares".
For the avoidance of doubt, the Australian Shares and Assets shall not be charged by way of fixed or floating charge under this Debenture.
