Investment Experience and Status. Such Company Stockholder has such knowledge and experience in financial and business matters that such Company Stockholder is capable of evaluating the merits and risks of an investment in Parent Common Stock and protecting such Company Stockholder’s own interests in connection with such investment.

Such Initial Holder has such knowledge and experience in financial and business matters that such Initial Holder is capable of evaluating the merits and risks of an investment in the Common Stock and protecting such Initial Holder’s own interests in connection with such investment.

Each Seller acknowledges that it is able to fend for itself, can bear the economic risk of owning its Note and the Common Stock, and has such knowledge and experience in investing in companies at Purchaser’s stage of development and in financial or business matters that it is capable of evaluating the merits and risks of owning its Note and the Common Stock. Each Seller acknowledges that it is able, without materially impairing its financial condition, to hold its Note and the Common Stock for an indefinite period of time and to suffer a complete loss of its investment. Each Seller is an “accredited investor” as such term is defined in Section 501 under Regulation D.

The Founder acknowledges that he is able to fend for himself, can bear the economic risk of owning his Note and the Common Stock, and has such knowledge and experience in investing in companies at Purchaser’s stages of development and in financial or business matters that he is capable of evaluating the merits and risks of owning his Note and the Common Stock. The Founder acknowledges that he is able, without materially impairing his financial condition, to hold his Note and the Common Stock for an indefinite period of time and to suffer a complete loss of his investment. (a) Such Principal Company Shareholder has such knowledge and experience in financial and business matters that such Principal Company Shareholder is capable of evaluating the merits and risks of such Principal Company Shareholder's investment in shares of Issuer Common Stock pursuant to this Agreement, such Principal Company Shareholder is experienced in evaluating and investing in companies and such Principal Company Shareholder can bear the economic risk of its investment in shares of Issuer Common Stock pursuant to this Agreement for an indefinite period of time.
Investment Experience and Status. Such Seller has such knowledge and experience in financial and business matters that such Seller is capable of evaluating the merits and risks of an investment in Buyer Common Stock and protecting such Seller's own interests in connection with such investment.
Investment Experience and Status. Such Buyer has such knowledge and experience in financial and business matters that such Buyer is capable of evaluating the merits and risks of an investment in the Shares and protecting such Buyer’s own interests in connection with such investment.
Investment Experience and Status. The Principal, either has such knowledge or experience in financial and business matters that the Principal is capable of evaluating the merits and risks of an investment in Parent Common Stock and protecting the Principal’s own interests in connection with such investment.
Investment Experience and Status. Such Significant Shareholder has such knowledge and experience in financial and business matters that it is capable of evaluating the merits and risks of its investment in shares of Parent Common Stock pursuant to this Agreement and protecting such Significant Shareholder's own interests in connection with such transaction. Such Significant Shareholder has the financial ability to bear the economic risk of such Significant Shareholder's investment in shares of Parent Common Stock pursuant to this Agreement and such Significant Shareholder has no need for liquidity with respect to such Significant Shareholder's investment therein at this time.
Investment Experience and Status. Such Investor has such knowledge and experience in financial and business matters that such Investor is capable of evaluating the merits and risks of an investment in Common Stock and protecting such Investor’s own interests in connection with such investment.
