Investment Suitability. The Purchaser has such knowledge and experience in financial and business affairs as to be capable of evaluating the merits and risks of the investment hereunder in the Purchaser’s Securities and is able to bear the economic risk of total loss of such investment; and
Investment Suitability. The Subscriber and any beneficial purchaser on whose behalf the Subscriber is acting hereunder have such knowledge and experience in financial and business affairs as to be capable of evaluating the merits and risks of the investment hereunder in Debentures and Warrants (and the Underlying Securities in respect thereof) and are able to bear the economic risk of loss of such investment. The Subscriber and any beneficial purchaser on whose behalf the Subscriber is acting hereunder acknowledge and agree that the Subscriber and such beneficial purchaser are responsible for obtaining such legal advice as the Subscriber or such beneficial purchaser considers appropriate in connection with the execution, delivery and performance by the Subscriber of this agreement and the transactions contemplated hereunder.
Investment Suitability. The Subscriber and any beneficial purchaser referred to in subsection 7(f) hereof has such knowledge and experience in financial and business affairs as to be capable of evaluating the merits and risks of the investment hereunder in the Flow-Through Shares and is able to bear the economic risk of loss of such investment;
Investment Suitability. The Subscriber has such knowledge and experience in financial and business affairs as to be capable of evaluating the merits and risks of the investment hereunder in Convertible Notes (and the Underlying Securities in respect thereof) and is able to bear the economic risk of loss of such investment. The Subscriber acknowledges and agrees that the Subscriber is responsible for obtaining such legal advice as the Subscriber considers appropriate in connection with the execution, delivery and performance by the Subscriber of this agreement and the transactions contemplated hereunder.
Investment Suitability. The Subscriber has such knowledge and experience in financial and business affairs as to be capable of evaluating the merits and risks of the investment hereunder in Units and is able to bear the economic risk of loss of such investment. The Subscriber is aware of the characteristics of the Units and of the risks associated with an investment in the Units. The Subscriber is not relying on the Manager to ensure than an investment in the Fund by the Subscriber is suitable for the Subscriber, and based on the advice of the Subscriber’s own advisers, the Subscriber has made that determination.
Investment Suitability. The Purchaser represents that an investment in the Shares are a suitable investment for the Purchaser, taking into consideration the restrictions on transferability affecting the Shares.
Investment Suitability. The Purchaser and each Beneficial Purchaser, if any, for whom the Purchaser is acting as trustee or agent, has such knowledge and experience in financial and business affairs as to be capable of evaluating the merits and risks of the investment hereunder in the FT Shares and is able to bear the economic risk of total loss of such investment;
Investment Suitability. Such Buyer has sufficient knowledge and ---------------------- experience in financial and business matters so as to be capable of evaluating the merits and risks of its investment in the Shares, and such Buyer is capable of bearing the economic risks of such investment, including a complete loss of its investment in the Shares.
Investment Suitability. Each of the Pescios has such knowledge and experience in financial and business matters as to be capable of evaluating the merits and risks of his or her investment in the Newco Shares and it is able to bear the economic risks and complete loss of such investment in the Newco Shares.
Investment Suitability. 2.2.1 Purchaser has such knowledge and experience in financial and business matters so as to be capable of evaluating the merits and risks of an investment in the Company and to protect his or her own interests in connection with the contemplated transaction.
2.2.2 Purchaser hereby represents and warrants that Purchaser qualifies as an “accredited investor” within the meaning of Regulation D promulgated under the Securities Act of 1933, as amended, and, if a corporation, partnership or similar entity, that each equity owner therein as of the date hereof satisfies such requirements.
