Investments, Associations and Branches. Neither the Issuer nor any other member of the Group:
(a) is the holder or beneficial owner of, and has not agreed to acquire, any share or other capital of any other company or corporation (wherever incorporated) other than those of the other members of the Group;
(b) is, and has not agreed to become, a member of any partnership, joint venture, consortium or other unincorporated association, body or undertaking in which it is to participate with any other in any business or investment;
(c) has any branch, agency or place of business outside the jurisdiction of its incorporation and no permanent establishment (as that expression is defined in the relevant double taxation relief orders current at the date of this Agreement) outside the jurisdiction of its incorporation.
Investments, Associations and Branches. OMAR:-
(a) is not the holder or beneficial owner of, and has not agreed to acquire, any share or other capital of any other company or corporation (incorporated in Macau or elsewhere);
(b) is not, and has not agreed to become, a member of any partnership, joint venture, consortium or other unincorporated association, body or undertaking in which it is to participate with any other in any business or investment (with exception to a commitment with SJM to operate a casino at the premises of building at Lot 19) ; and
(c) has no branch, agency, establishment, operations or place of business outside Macau.
Investments, Associations and Branches. 12.1 The Company is not the holder or beneficial owner of and has not agreed to acquire any class of shares or other capital of any other company or corporation (whether established or incorporated in Bolivia or elsewhere) other than Easy Gain Investments Limited, Full Profit Investments Limited, and Antay Company.
12.2 100% of the equity interests of the Antay Company are directly and wholly owned by the Company and is free from any liens, charges, equities, encumbrances or interests in favour of any other person.
12.3 No Group Company is or has agreed to become a member of any partnership, joint venture, consortium or other unincorporated association. None of the Group Companies has granted any right to call for the issue of or agreed to issue at any time after Completion any share or loan or registered capital. And that none of the members of the Group is under any contract, options, warrants or any other obligations regarding any part of its capital, issued or unissued, or for the issue of any shares, debentures, warrants, options, or other similar securities or has agreed to acquire any share or interest or loan capital in any company.
Investments, Associations and Branches. 12.1 The Company is not the holder or beneficial owner of and has not agreed to acquire any class of shares or other capital of any other company or corporation (whether established or incorporated in the PRC or elsewhere) other than Feishang Copper.
12.2 100% of the equity interests of the Feishang Copper are directly and wholly owned by the Company and is free from any liens, charges, equities, encumbrances or interests in favour of any other person.
12.3 No Group Company is or has agreed to become a member of any partnership, joint venture, consortium or other unincorporated association. None of the Group Companies has granted any right to call for the issue of or agreed to issue at any time after Completion any share or loan or registered capital. And that none of the members of the Group is under any contract, options, warrants or any other obligations regarding any part of its capital, issued or unissued, or for the issue of any shares, debentures, warrants, options, or other similar securities or has agreed to acquire any share or interest or loan capital in any company.
Investments, Associations and Branches. 18.1 At Completion, the Company is not the holder or beneficial owner of, or has agreed to acquire, any class of shares or other capital of any other company or corporation (whether incorporated in Hong Kong or elsewhere) save for the Subsidiaries.
18.2 Save as disclosed in this Agreement, no Group Company is, or has agreed to become, a member of any partnership, joint venture, consortium or other unincorporated association.
Investments, Associations and Branches. 20.1 The Company is not the holder or beneficial owner of any class of shares or other capital of any other company or corporation (whether incorporated in Hong Kong or elsewhere), or interest in any partnership, joint venture, consortium, sole proprietorship or other unincorporated association.
20.2 the Company is not or has not agreed to become a member of any company, corporation (wherever incorporated) partnership, joint venture, consortium or other unincorporated association.
Investments, Associations and Branches. No Group Company:-
(a) is the holder or beneficial owner of, and has agreed to acquire, any class of the share or other capital of any other company or corporation (whether incorporated in Ireland or elsewhere);
(b) is and has agreed to become a member of any partnership, joint venture, consortium or other unincorporated association; and
(c) has a branch or permanent establishment (as that expression is defined in the relevant double taxation relief orders current at the date hereof) outside Ireland.

E19.2.1 is the holder or beneficial owner of, or has agreed to acquire, any share or other capital of any company or corporation (whether incorporated in the United Kingdom or elsewhere);
E19.2.2 is or has agreed to become a member of any partnership, joint venture, consortium or other unincorporated association;
E19.2.3 has any branch, agency or place of business outside the United Kingdom or any permanent establishment (as that expression is defined in the respective Double Taxation Relief Orders current at the date of this agreement) outside the United Kingdom; and
E19.2.4 has outstanding or potential liability in respect of any of the matters specified in this paragraph E19.2.
Investments, Associations and Branches. The Company is not and/or has not been a party to any joint venture or consortium or any partnership arrangement or agreement or to any agreement or arrangement for sharing commissions or other income relating to the Business. The Company does not conduct and/or has not conducted any part of the Business through a branch, agency, subsidiary, associated company or permanent establishment either within or outside Singapore. The Company is not a member of any partnership trade association society or other group whether formal or informal which is relevant to or has any material influence over the Business as now carried on.
