ITEMS TO BE DELIVERED AT CLOSING BY BUYER. At Closing, Buyer shall, unless waived in writing by Seller, deliver the following items, each in form and substance reasonably acceptable to Seller and Seller's counsel, to Seller:

At the Closing, Buyer shall deliver to USD (i) a bank cashier's check or certified check in the amount of the Purchase Price (or a wire transfer of immediately available funds pursuant to wire instructions provided on or before the Closing Date), and (ii) an officer's certificate of Buyer that the representations and warranties contained in Article 3 of this Agreement are true and correct in all material respects at and as of the Closing Date as if made on the Closing Date (except for representations and warranties specifically relating to a time or times other than the Closing Date, which shall be true and correct in all material respects at such time or times).
ITEMS TO BE DELIVERED AT CLOSING BY BUYER. At the Closing, Buyer shall deliver to Seller the Cash Payment and a certificate representing the Buyer Shares.
