Knowledge and Disclosure. Any reference in this Agreement to the "knowledge" or the "awareness" of QLT means to the best of the actual knowledge, information and belief of the QLT Senior Management, in their capacities as officers or directors of QLT and not in their personal capacities or in any other capacity, after making reasonable inquiry regarding the relevant matter, and does not include any knowledge or awareness of any other individual. Any reference in this Agreement to the "knowledge" or the "awareness" of Auxilium means to the best of the actual knowledge, information and belief of Auxilium Senior Management, in their capacities as officers or directors of Auxilium and not in their personal capacities or in any other capacity, after making reasonable inquiry regarding the relevant matter, and does not include any knowledge or awareness of any other individual.

Any reference in this Agreement to the “knowledge” or the “awareness” of Parent means the actual knowledge, information and belief of the Parent Senior Management, in their capacities as officers or directors of Parent and not in their personal capacities or in any other capacity, after making reasonable inquiry regarding the relevant matter, and does not include any knowledge or awareness of any other individual. Any reference in this Agreement to the “knowledge” or the “awareness” of Pozen means the actual knowledge, information and belief of Pozen Senior Management, in their capacities as officers or directors of Pozen and not in their personal capacities or in any other capacity, after making reasonable inquiry regarding the relevant matter, and does not include any knowledge or awareness of any other individual.

Any reference in this Agreement to the “knowledge” or the “awareness” of Auxilium means to the best of the actual knowledge, information and belief of Auxilium Senior Management, in their capacities as officers or directors of Auxilium and not in their personal capacities or in any other capacity, after making reasonable inquiry regarding the relevant matter, and does not include any knowledge or awareness of any other individual.

Any reference in this Agreement to the “knowledge” or the “awareness” of PLx means to the actual knowledge of PLx Senior Management, in their capacities as officers or directors of PLx and not in their personal capacities or in any other capacity, after making reasonable inquiry regarding the relevant matter, and does not include any knowledge or awareness of any other individual.

Any reference in this Agreement to the “knowledge” or the “awareness” of the Company means to the best of the actual knowledge, information and belief of Xxxxxxx Xxxxx, in his capacity as an officer of the Company and not in his personal capacity or in any other capacity, as of the date of this Agreement without undertaking inquiry regarding the relevant matter, and does not include any knowledge or awareness of any other individual or any constructive, implied or imputed knowledge or awareness. Any reference in this Agreement to the “knowledge” or the “awareness” of the Purchaser or the Parent means to the best of the actual knowledge, information and belief of Xxxx Xxxxx, in her capacity as an officer and sole member of the Board of Directors of the Parent and not in her personal capacity or in any other capacity, as of the date of this Agreement without undertaking inquiry regarding the relevant matter, and does not include any knowledge or awareness of any other individual or any constructive, implied or imputed knowledge or awareness.
Knowledge and Disclosure. Any reference in this Agreement to the “knowledge” of Acasti means to the actual knowledge of the Acasti Senior Management in their capacities as officers of Acasti and not in their personal capacities or in any other capacity, after making due inquiry regarding the relevant matter in the ordinary course of the performance of their employment responsibilities, and does not include any knowledge of any other individual. Any reference in this Agreement to the “knowledge” of Grace means to the actual knowledge of Grace Senior Management in their capacities as officers of Grace and not in their personal capacities or in any other capacity, after making due inquiry regarding the relevant matter in the ordinary course of the performance of their employment responsibilities, and does not include any knowledge of any other individual.
Knowledge and Disclosure. 6.1 The Sellers shall not be liable for any Warranty Claim or Tax Warranty Claim to the extent that the Parent had actual knowledge of (i) the facts, matters, events or circumstances which give rise to the Warranty Claim or Tax Warranty Claim and (ii) the fact that such facts, matters, events or circumstances constitute or may constitute a Warranty Claim or Tax Warranty Claim.
6.2 For the purposes of paragraph 6.1, the knowledge of the Parent shall mean the actual knowledge of Axxxxx Xxxxxxx, Bxx Xxxxxx, Dxx Xxxxxxx and Bxx Xxxxxxx-Xxxxx.
6.3 The Sellers shall not be liable for any Warranty Claim or Tax Warranty Claim in respect of any fact, matter, event or circumstance to the extent that such fact, matter, event or circumstance has been Disclosed.

Any reference in this Agreement to the “knowledge” or the “awareness” of Parent means to the best of the actual knowledge, information and belief of Parent Senior Management, in their capacities as officers of Parent and not in their personal capacities or in any other capacity, as of the date of this Agreement after making reasonable inquiry regarding the relevant matter, and does not include any knowledge or awareness of any other individual.

Any reference in this Agreement to the “knowledge” or the “awareness” of U.S. Merger Partner means to the best of the actual knowledge, information and belief of U.S. Merger Partner Senior Management, in their capacities as officers of U.S. Merger Partner and not in their personal capacities or in any other capacity, as of the date of this Agreement after making reasonable inquiry regarding the relevant matter, and does not include any knowledge or awareness of any other individual.
