Lead Based Paint Disclaimer. Licensee, by acceptance of this license, is hereby notified and informed and shall assume that the Licensed Area contains lead- based paint. Licensee shall be prepared to perform localized abatement. Licensee accepts the Licensed Area in its “As-Is” condition and shall hold harmless, indemnify, and defend Trustees and Trustees’ officers, agents and employees from all liability, damages, and claims which may occur to any real or personal property or persons by: (A) any Release of lead on the Site or the Licensed Area caused by Licensee or its affiliates, officers, agents and employees (“Licensee Indemnitors”); or (B) any environmental claim from any third party with regard to any violation or alleged violation of any Environmental Laws that dictate handling of lead by Licensee or the Licensee Indemnitors, or any actual, threatened or alleged Release of lead affecting the Site or the Licensed Area by the Licensee or Licensee Indemnitors. If lead based paint containment and/or removal will be required solely as a result of Licensee’s installation of the System at the Licensed Area, Licensee shall not install the System until all lead-based paint containment and/or removal work is performed and certified as completed by a licensed lead-based paint contractor approved by Trustees. Licensee shall submit copies of the certification of completion of any and all lead-based paint work to Trustees pursuant to the Notice provisions in Section 19.9 prior to the installation of the System at the Licensed Area. Licensee hereby initials this Section to verify this indemnity and agreement.

Lead Based Paint Disclaimer. Except as disclosed by HOST, LICENSEE, by acceptance of this SLA, is hereby notified and informed and shall assume that the Licensed Area contains lead-based paint. LICENSEE shall be prepared to perform localized abatement in the Licensed Area. LICENSEE accepts the Licensed Area in its “As-Is, Where-Is” condition and shall hold harmless, indemnify, and defend the DGS and HOST, their officers, agents and employees from all liability, damages, claims which may occur to any real or personal property or persons by the presence of any lead-based paint currently in or at the Licensed Area. If lead based paint containment and/or removal will be required solely as a result of LICENSEE’s installation of the System, LICENSEE shall not install the System until all lead based paint containment and/or removal work is performed and certified as completed by a licensed lead based paint contractor approved by the DGS. LICENSEE shall submit copies of the certification of completion of any and all lead based paint work to the DGS and HOST pursuant to the Notice provisions in Section 16.1 prior to the installation of the System at the Licensed Area.   • LEAD-BASED PAINT DISCLOSURE If the Property was constructed prior to 1978, Sublessee acknowledges receipt of the form entitled “LEAD-BASED PAINT DISCLOSURE” which contains disclosure of information on lead-based paint and/or lead-based paint hazards.

  • LEAD-BASED PAINT The Owner shall be responsible for providing information about the Property in regard to lead-based paint. It is understood that in accordance with 42 U.S. Code § 4852d that all occupants of residential property must be made aware of the existence of lead-based paint in residential dwellings built prior to January 1, 1978.

  • SELLER’S LEAD-BASED DISCLOSURE Pursuant to the Residential Lead-Based Paint Hazard Reduction Act of 1992 [42 USC §4852d] to the extent the Property is residential real property on which a residential dwelling was built prior to 1978, Buyer is notified that such Property may present exposure to lead from lead-based paint that may place young children at risk of developing lead poisoning. Lead poisoning in young children may produce permanent neurological damage, including learning disabilities, reduced intelligence quotient, behavioral problems, and impaired memory. Lead poisoning also poses a particular risk to pregnant women. For such reasons, the US government recommends the buyer obtain a risk assessment or inspection for lead-based paint hazards of any residential dwelling was built prior to 1978. To the extent the Property constitutes a residential dwelling built prior to 1978:

  • LEAD PAINT DISCLOSURE (a) Lead Warning Statement. Housing built before 1978 may contain lead based paint. Lead from paint, paint chips, and dust can pose health hazards if not taken care of properly. Lead exposure is especially harmful to young children and pregnant women. Before renting pre 1978 housing, landlords must disclose the presence of known lead based paint and lead based paint hazards in the dwelling.

  • Defendant’s Representations The defendant acknowledges that he has entered into this plea agreement freely and voluntarily after receiving the effective assistance, advice and approval of counsel. The defendant acknowledges that he is satisfied with the assistance of counsel, and that counsel has fully advised him of his rights and obligations in connection with this plea agreement. The defendant further acknowledges that no threats or promises, other than the promises contained in this plea agreement, have been made by the United States, the Court, his attorneys or any other party to induce him to enter his plea of guilty.

  • ENVIRONMENTAL WARRANTY, DISCLOSURES AND INDEMNIFICATION To the best of Seller's knowledge, there are no areas of the Property where hazardous substances or hazardous wastes, as such terms are defined by applicable Federal, State, and Local statutes and regulations, have been disposed of, released, or found. No claim has been made against Seller with regard to hazardous substances or wastes as set forth herein, and Seller is not aware that any such claim is current or ever has been threatened. Seller shall inform Buyer, to the best of Seller's knowledge, of any hazardous materials or release of any such materials into the environment, and of the existence of any underground structures or utilities which are or may be present on the Property.

  • Limited Warranty; Disclaimer JCI warrants that the Service will perform substantially in conformance with its Documentation throughout the Term. Except to the extent prohibited by applicable law, JCI’s sole obligation and your sole and exclusive remedy for breach of the foregoing warranty shall be that JCI will use commercially reasonable efforts to correct the non-conforming Service functionality without charge. JCI shall not be liable for warranty nonconformance caused by use or combination with hardware and software not provided by JCI, misuse of the Service, or your negligence or willful misconduct. EXCEPT AS PROVIDED IN THIS SECTION, THE SERVICES, TRIAL SERVICES, SOFTWARE, THIRD PARTY SOFTWARE AND ANY DATA, INFORMATION OR RESULTS OBTAINED THROUGH THE SERVICES OR TRIAL SERVICES ARE PROVIDED ON AN “AS AVAILABLE,” “AS IS” BASIS. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY JCI OR ANY OF ITS PERSONNEL OR AGENTS WILL CREATE ANY ADDITIONAL WARRANTIES OR IN ANY WAY INCREASE THE SCOPE OF JCI’S OBLIGATIONS HEREUNDER. SOME JURISDICTIONS DO NOT ALLOW THE FOREGOING EXCLUSIONS. IN SUCH AN EVENT, SUCH EXCLUSION WILL NOT APPLY TO YOUR SOLELY TO THE EXTENT PROHIBITED BY APPLICABLE LAW.

  • Client Representations Client represents and warrants to Consultant that;

  • Disclosure to Representatives Recipient agrees that it shall maintain the Confidential Information in strict confidence and that the Confidential Information shall not, without Provider’s prior written consent, be disclosed by Recipient or by its affiliates, or their respective officers, directors, partners, employees, agents, or representatives (collectively, “Representatives”) in any manner whatsoever, in whole or in part, and shall not be used by Recipient or by its Representatives other than in connection with the Solicitation and the evaluation or negotiation of the Agreement; provided that, PG&E may use Confidential Information, consolidated with other market information and not specifically attributed to the Provider, to analyze or forecast market conditions or prices, for its own internal use or in the context of regulatory or other proceedings. Moreover, Recipient agrees to transmit the Confidential Information only to such of its Representatives who need to know the Confidential Information for the sole purpose of assisting Recipient with such permitted uses, as applicable; provided that, Recipient shall inform its Representatives of this Confidentiality Agreement and secure their agreement to abide in all material respects by its terms. In any event, Recipient shall be fully liable for any breach of this Confidentiality Agreement by its Representatives as though committed by Recipient itself.
