LEGAL STANDING. AMPER has the legal capacity to formalize and fulfill its obligations under this Contract.
LEGAL STANDING. Buyer is a limited liability company duly organized, validly existing and in good standing under the limited liability company laws of the State of New York. Buyer has full power and authority to own and perform its obligations under this Agreement.
LEGAL STANDING. The appearing parties state that the legal standing that they claim is currently effective, due to the fact that it has not been revoked in any way whatsoever, and that their clients have the capacity to execute this official act, and they documented that fact, as well as the legal existence of the parties they represent, by means of the documents cited hereinafter:
LEGAL STANDING. A. Cadillac Area Public Schools expects the vendor to perform as an Independent Contractor.
B. The vendor will be solely responsible for compensating its employees or subcontractors and fulfilling all employment or unemployment compensation obligations.
C. Cadillac Area Public Schools will not establish or interpret the arrangement to provide qualified Trainers for its schools, as an employee-employer arrangement.
LEGAL STANDING. Owner/Servicer to maintain legal standing as Servicer, so long as the Subservicer is acting as subservicer hereunder. Termination provisions: Servicer and Subservicer shall each have the right to terminate the agreement upon certain events (which shall be set forth in the Subservicing Agreement and shall generally be consistent with market standard provisions in other agreements).
LEGAL STANDING. The Purchaser is a corporation duly organized, validly existing and in good standing under the laws of the jurisdiction of its organization.
LEGAL STANDING. This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario.
LEGAL STANDING. This Memorandum of Understanding does not create a legally binding relationship between the parties, nor does it confer the right for either party to represent or act on behalf of the other. Nothing in this Memorandum of Understanding shall create an association or partnership between the Parties and both Parties shall remain free to negotiate with third parties on any area mentioned in this Memorandum of Understanding.
LEGAL STANDING. This agreement reflects a commitment by ASHRAE and CIBSE to continue and enhance their working relationship and individual efforts toward achieving mutual objectives described above. It does not create a binding obligation or legal agreement between the two organizations, and neither organization has an obligation to negotiate toward or enter into a binding written agreement. In addition, this agreement does not create a partnership, joint venture, fiduciary relationship or similar relationship between ASHRAE and CIBSE. Furthermore, it is understood that this agreement is conceived as a dynamic document, meant to change as circumstances and priorities warrant. It may be modified or amended by written agreement between both organizations.
LEGAL STANDING. The VFD shall maintain current incorporation or charitable trust and tax-exempt status with the California Secretary of State and shall provide such documentation to the COUNTY when asked. The VFD shall comply with all applicable statutory and regulatory requirements.
