Common use of LEGISLATIVE CHANGE Clause in Contracts

LEGISLATIVE CHANGE. The Supplier shall neither be relieved of its obligations under this Framework Agreement nor be entitled to an increase the Framework Prices as the result of: a General Change in Law; or a Specific Change in Law where the effect of that Specific Change in Law on the Services is reasonably foreseeable at the Framework Commencement Date. If a Specific Change in Law occurs or will occur during the Framework Period (other than as referred to in Clause 18.2.1(b)), the Supplier shall: notify the Authority as soon as reasonably practicable of the likely effects of that change including whether any Variation is required to the Services, the Framework Prices or this Framework Agreement; and provide the Authority with evidence: that the Supplier has minimised any increase in costs or maximised any reduction in costs, including in respect of the costs of its Sub-Contractors; as to how the Specific Change in Law has affected the cost of providing the Services; and demonstrating that any expenditure that has been avoided, for example which would have been required under the provisions of Framework Schedule 12 (Continuous Improvement and Benchmarking) , has been taken into account in amending the Framework Prices. Any change in the Framework Prices or relief from the Supplier's obligations resulting from a Specific Change in Law (other than as referred to in Clause 18.2.1(b) shall be implemented in accordance with Clause 18.1(Variation Procedure).

LEGISLATIVE CHANGE. The Supplier shall neither be relieved of its obligations under this Framework Agreement nor be entitled to an increase the Framework Prices Charges as the result of: a General Change in Law; or a Specific Change in Law where the effect of that Specific Change in Law on the Goods and Services is reasonably foreseeable known at the Framework Commencement Date. If a Specific Change in Law occurs or will occur during the Framework Period Term (other than as those referred to in Clause 18.2.1(b33.2.1(b)), the Supplier shall: shall notify the Authority as soon as reasonably practicable of the likely effects of that change change, including whether any Variation change is required to the Goods and Services (or Ordered Goods and Services, as appropriate), the Framework Prices or this Framework Agreement; . As soon as practicable after any notification in accordance with Clause 33.2.2, the Parties shall discuss and provide agree the Authority with evidencematters referred to in that Clause and any ways in which the Supplier can mitigate the effect of the Specific Change of Law, including: providing evidence that the Supplier has minimised any increase in costs or maximised any reduction in costs, including in respect of the costs of its Sub-Contractors; demonstrating that a foreseeable Specific Change in Law had been taken into account by the Supplier before it occurred; giving evidence as to how the Specific Change in Law has affected the cost of providing the Goods and Services (or Ordered Goods and Services; and demonstrating that any expenditure that has been avoided, for example which would have been required under the provisions of Framework Schedule 12 (Continuous Improvement and Benchmarking) , has been taken into account in amending the Framework Pricesas appropriate). Any change increase in the Framework Prices or relief from the Supplier's obligations resulting from a Specific Change in Law (other than as referred agreed by the Parties pursuant to in Clause 18.2.1(b) 33.2.3 shall be implemented in accordance with Clause 18.1(Variation Procedure)by a written variation agreement signed by the Authority Representative and the Supplier’s Representative.

Any change in the Framework Prices or relief from the Supplier's obligations resulting from a Specific Change in Law (other than as referred to in Clause 18.2.1(b17.2.1(b) shall be implemented in accordance with Clause 18.1(Variation 17.1(Variation Procedure).

Any change in the Framework Prices or relief from the Supplier's obligations resulting from a Specific Change in Law (other than as referred to in Clause 18.2.1(b19.2.1(b) shall be implemented in accordance with Clause 18.1(Variation 19.1 (Variation Procedure).

Any change in the Framework Prices or relief from the Supplier's obligations resulting from a Specific Change in Law (other than as referred to in Clause 18.2.1(b50.2.1(b) shall be implemented in accordance with Clause 18.1(Variation 50.1(Variation Procedure).

The Supplier shall neither be relieved of its obligations under this Framework Agreement nor be entitled to an increase a reduction in the Framework Prices Support Rates or increase in Other Charges as the result of: a General Change in Law; or a Specific Change in Law where the effect of that Specific Change in Law on the Goods and/or Services is reasonably foreseeable at the Framework Commencement Date. If a Specific Change in Law occurs or will occur during the Framework Period (other than as referred to in Clause 18.2.1(b)46.2.3), the Supplier shall: notify the Authority as soon as reasonably practicable of the likely effects of that change including whether any Variation is required to the Goods and/or Services, the Framework Prices Support Rates, Other Charges or this Framework Agreement; and provide the Authority with evidence: that the Supplier has minimised any increase in costs or maximised any reduction in costs, including in respect of the costs of its Sub-Contractors; as to how the Specific Change in Law has affected the cost of providing the Goods and/or Services; and demonstrating that any expenditure that has been avoided, for example which would have been required under the provisions of Framework Schedule 12 (Continuous Improvement and Benchmarking) ), has been taken into account in amending the Framework PricesSupport Rates and/or Other Charges. Any change in the Framework Prices Support Rates and/or Other Charges or relief from the Supplier's obligations resulting from a Specific Change in Law (other than as referred to in Clause 18.2.1(b) 46.2.3 shall be implemented in accordance with Clause 18.1(Variation 46.1(Variation Procedure).

If a Specific Change in Law occurs or will occur during the Framework Commercial Agreement Period (other than as referred to in Clause 18.2.1(b))B9.1(b) above, the Supplier shall: notify the Authority as soon as reasonably practicable of the likely effects of that change including whether any Variation is required to the Services, the Framework Prices or this Framework AgreementService Fees, the Commercial Agreement and/or Enabling Agreements; and provide the Authority with evidence: that the Supplier has minimised any increase in costs or maximised any reduction in costs, including in respect of the costs of its Sub-ContractorsContractor; as to how the Specific Change in Law has affected the cost of providing the Services; and demonstrating that any expenditure that has been avoided, avoided (for example expenditure which would have been required under the provisions of Framework Schedule 12 (Continuous Improvement and Benchmarkingrelating to continuous improvement in termination(Value for Money)) , has been taken into account in amending the Framework PricesService Fees. Any change in the Framework Prices Service Fees or relief from the Supplier's obligations resulting from a Specific Change in Law (other than as referred to in Clause 18.2.1(bB9.1(b)) shall be implemented in accordance with Clause 18.1(Variation ProcedureSchedule 16 (Variation of Commercial Agreement Form).
