Lessee's Certificate. Lessee shall at any time and from time to time upon not less than three (3) days prior written notice from Lessor execute, acknowledge and deliver to Lessor a statement in writing (a) certifying that this Lease is unmodified and in full force and effect (or, if modified, stating the nature of such modification and certifying that this Lease as so modified is in full force and effect), and the date to which the rental and other charges are paid in advance, if any; and (b) acknowledging that there are not, to Lessee's knowledge, any uncured defaults on the part of the Lessor or Lessee hereunder, or specifying such defaults if any are claimed; and (c) setting forth the date of commencement of rents and expiration of the Lease Term hereof. Any such statement may be relied upon by any prospective purchaser on encumbrancer of all or any portion of the Premises of which the Premises are a part.

Lessee's Certificate. The Lessee's Certificate is attached as Exhibit 3.
Lessee's Certificate. Lessee shall, upon not less than ten (10) days prior Notice from Lessor, execute, acknowledge and deliver to Lessor Lessee’s Certificate containing then-current facts. It is intended that any Lxxxxx’s Certificate delivered pursuant hereto may be relied upon by Lxxxxx, any prospective tenant or purchaser of the Leased Properties, any mortgagee or prospective mortgagee and any other party who reasonably may rely on such statement. Lxxxxx’s failure to deliver the Lessee’s Certificate within such time shall constitute an Event of Default. In addition, if Lessee fails to deliver the Lessee’s Certificate within the ten (10) day period referred to above, Lessee hereby authorizes Lessor to execute and deliver a certificate to the effect (if true) that Lessee represents and warrants that (a) this Lease is in full force and effect without modification, and (b) Lessor is not in breach or default of any of its obligations under this Lease.

Lessee's Certificate. Either party shall, at any time and from time to time, within five (5) business days after written notice from the other party execute, acknowledge and deliver to Lessor a statement in writing (a) certifying that this Lease is unmodified and in full force and effect (or, if modified, stating the nature of such modification and certifying that this Lease as so modified is in full force and effect), and the date to which the rental and other charges are paid in advance, if any; and (b) acknowledging that there are not, to such party's knowledge, any uncured defaults on the part of the Lessor or Lessee hereunder, or specifying such defaults if any are claimed; and (c) setting forth the date of commencement of rents and expiration of the Lease Term hereof; and, (d) such other information as such party shall reasonably require. Any prospective purchaser, lender, assignee, sublease, or encumbrancer of all or any portion of the Premises of which the Premises are a part or any affiliate of either party may rely upon any such statement.
Lessee's Certificate. Within 90 days after substantial completion of any alteration financing pursuant to this SECTION 9.3, Lessee shall deliver to Lessor an Officer's Certificate stating the actual cost of such Modification.

Lessee's Certificate. Section 17.1. Lessee shall, without charge, at any time and from time to time, within fifteen (15) calendar days after request by Lessor, deliver a written instrument to Lessor or any other person, firm or corporation specified by Lessor duly executed and acknowledged, certifying: (a) that this Lease is unmodified and in full force and effect, or if there has been any modification, that the same is in full force and effect and stating any such modification; (b) whether the Lessor or the Lessee is in default under the Lease, and if so, specifying the nature of the default; (c) whether there are then existing any setoffs or defenses against the enforcement of any of the agreements, terms, covenants or conditions of the this Lease and any modifications thereof upon the part of Lessee to be performed or complied with, and, if so, specifying the same; and (d) the dates to which the rent, additional rent and other charges hereunder have been paid. Such certificate shall, and Lessee so acknowledges, be deemed to remain current (but not more than 30 days after its date) and unchanged unless the party to which it is addressed receives telephonic or telegraphic notice to the contrary at a telephone number or address specified to Lessee by the party to which the certificate is addressed.
Lessee's Certificate. Lessee shall have delivered to the Administrative Agent a Certificate dated as of the Initial Advance Date in the form of Exhibit C-1 hereto.

THE LESSEE'S FAILURE TO DELIVER THE LESSEE'S CERTIFICATE WITHIN SUCH TIME SHALL CONSTITUTE AN EVENT OF DEFAULT. IN ADDITION, IT SHALL CONSTITUTE THE LESSOR'S AUTHORITY TO EXECUTE AND DELIVER A CERTIFICATE TO THE EFFECT THAT THE LESSEE REPRESENTS AND WARRANTS THAT: 20.2.1. THIS LEASE IS IN FULL FORCE AND EFFECT WITHOUT MODIFICATION; 20.2.2. THE LESSOR IS NOT IN BREACH OR DEFAULT OF ANY OF ITS OBLIGATIONS UNDER THIS LEASE. LESSOR'S CERTIFICATE 20.3. THE LESSOR SHALL PROVIDE AND DELIVER TO THE LESSEE AN EQUIVALENT CERTIFICATE (MUTATIS MUTANDIS) TO THE LESSEE'S CERTIFICATE REFERRED TO IN CLAUSE 20.1 AND ON THE SAME TERMS AND CONDITIONS AS SET OUT IN SUCH CLAUSE. THE LESSOR SHALL ALSO FROM TIME TO TIME DELIVER TO THE LESSEE AT THE LESSEE'S REQUEST A RECEIPT FOR THE MOST RECENTLY PAID INSTALLMENT OF RENT.
