License Holders Committee. Upon the execution and delivery of this Agreement there shall be established a License Holders Committee by the Parties, the composition of which shall be as provided in Section 1 (Definitions) of this Agreement. The License Holders Committee shall meet at least on a quarterly basis on a weekday during the first month of each calendar quarter (i.e., January, April, July and October). The meeting dates for each quarterly meeting shall be fixed by vote or agreement of the License Holders Committee members. Special meetings of the License Holders Committee may be called on 2 days’ notice to each License Holders Committee member by the “Chairman”, who shall be selected by, from time to time, majority vote of the License Holders Committee members. At all meetings of the License Holders Committee, a majority of the committee members shall constitute a quorum for transaction of business.
