Licensing and Approvals. Contractor shall assist District in obtaining all local and State licenses, permits, requirements, and approvals including, but not limited to, approval from the Division of the State Architect (“DSA”), approval from the Department of General Services, and the requirements of the California Environmental Quality Act.
Licensing and Approvals. The Sellers, and to the Knowledge of the Sellers, any predecessor in interest, have at all relevant times been (i) in material compliance with all applicable licensing requirements of the state in which the Mortgaged Property relating to a Purchased Loan is located, and (ii) duly organized and qualified to do business under the laws of such states, except (in the case of this clause (ii)) where the failure to be so qualified would not reasonably be expected to have a Material Adverse Effect.
Licensing and Approvals. Except as set forth on Section 3.13(c) of the Company Disclosure Letter, in each state in which the Mortgaged Property relating to a Loan Held For Sale is located, the Company and its Subsidiaries have at all relevant times been (i) in compliance in all material respects with all, and is not in default under any, applicable licensing requirements of such states and (ii) duly organized and qualified to do business under the laws of such states.
Licensing and Approvals. From the date hereof up to and including the date on which all the Notes have been fully redeemed or repaid and all the obligations of the Obligors under the Transaction Documents have been fully performed and discharged (the “Effective Period”), the Company shall, and shall procure each Group Member to:
(a) obtain, in accordance with the applicable Law, all material Approvals necessary for conducting its business and operations; and
(b) maintain at all times the validity of, and comply with all legal and regulatory requirements with respect to, the Approvals that it has obtained for the conduct of its business and operations (if applicable) for performing its obligations under the Transaction Documents, and to ensure the legality, validity, enforceability and admissibility in evidence in proceedings of any Transaction Document.
