Licensing and Approvals. The Sellers, and to the Knowledge of the Sellers, any predecessor in interest, have at all relevant times been (i) in material compliance with all applicable licensing requirements of the state in which the Mortgaged Property relating to a Purchased Loan is located, and (ii) duly organized and qualified to do business under the laws of such states, except (in the case of this clause (ii)) where the failure to be so qualified would not reasonably be expected to have a Material Adverse Effect.

Licensing and Approvals. From the date hereof up to and including the date on which all the Notes have been fully redeemed or repaid and all the obligations of the Obligors under the Transaction Documents have been fully performed and discharged (the “Effective Period”), the Company shall, and shall procure each Group Member to: (a) obtain, in accordance with the applicable Law, all material Approvals necessary for conducting its business and operations; and (b) maintain at all times the validity of, and comply with all legal and regulatory requirements with respect to, the Approvals that it has obtained for the conduct of its business and operations (if applicable) for performing its obligations under the Transaction Documents, and to ensure the legality, validity, enforceability and admissibility in evidence in proceedings of any Transaction Document.

  • Licenses and Approvals Contractor shall obtain and keep current all necessary licenses, approvals, permits and authorizations required by Applicable Laws to provide the Work. Contractor will be responsible for all fees and taxes associated with obtaining such licenses, approvals, permits and authorizations, and for any fines and penalties arising from its noncompliance with any Applicable Law.

  • Authorizations and Approvals Each Borrower shall promptly obtain, from time to time at its own expense, all such Governmental Approvals as may be required to enable such Borrower to comply with its obligations, under the Loan Documents and its Constituent Documents, and to conduct its business in the customary fashion.
