Limit on Government Contacts. Notwithstanding any provision in this Agreement to the contrary, except in connection with the preparation of a so-called “Phase Ienvironmental report with respect to the Property, Buyer’s Representatives shall not contact any governmental official or representative regarding hazardous materials on or the environmental condition of the Property without Seller’s prior written consent thereto, which consent shall not be unreasonably withheld, conditioned or delayed. In addition, if Seller’s consent is obtained by Buyer, Seller shall be entitled to receive at least five (5) days prior written notice of the intended contact and to have a representative present when any Buyer’s Representatives has any such contact with any governmental official or representative.

As used herein, the term "HAZARDOUS MATERIAL" shall mean any substance, chemical, waste or material that is or becomes regulated by any federal, state or local governmental authority because of its toxicity, infectiousness, radioactivity, explosiveness, ignitability, corrosiveness or reactivity, including, without limitation, asbestos or any substance containing more than 0.1 percent asbestos, the group of compounds known as polychlorinated biphenyls, flammable explosives, oil, petroleum or any refined petroleum product.

In addition, if Seller’s consent is obtained by Buyer, Seller shall be entitled to receive at least five (5) days prior written notice of the intended contact and to have a representative present when any Buyer’s Representative has any such contact with any governmental official or representative.

In addition, if Prudential's consent is obtained by Meridian, Prudential shall be entitled to receive at least five (5) days prior written notice of the intended contact and to have a representative present when Meridian has any such contact with any governmental official or representative.

In addition, if Prudential's consent is obtained by REIT OP, Prudential shall (a) be entitled to review, modify and approve any written communication to such official or representative and (b) receive at least five (5) Business Days prior written notice of any intended contact and to have a representative present when REIT OP has any such contact with any governmental official or representative.

In addition, if Seller's consent is obtained by Buyer, Seller shall be entitled to receive at least five (5) days prior written notice (which notice period shall be shortened to the extent that less time remains in the Due Diligence Period) of the intended contact and to have a representative present when Buyer has any such contact with any governmental official or representative. Where practical, Buyer shall provide reasonable advance notice to Seller of contact with any governmental official or representative relating to the Properties, so as to enable Seller to make a determination of whether it wishes to be present for such contact.

Limit on Government Contacts. Except in connection with (a) the preparation of a so-called “Phase Ienvironmental report with respect to the Property, (b) the performance of customary due diligence regarding the zoning, building, tax or other compliance with the Property with applicable Laws, or (c) the determination of applicability of regulatory restrictions, availability of government incentive programs, and any potential redevelopment opportunities with regard to Buyer's potential purchase and operation of the Property, Seller shall be entitled to receive at least five (5) calendar days prior written notice of any intended contact with governmental officials or representatives.
