Common use of Limitation on Applicability Clause in Contracts

Limitation on Applicability. A. No Petroleum Operations may be conducted in furtherance of the EPCC except as Joint Petroleum Operations under Article 7 or as Exclusive Petroleum Operations under this Article. No Exclusive Petroleum Operation shall be conducted (other than the tie-in of Exclusive Petroleum Operation facilities with existing production facilities pursuant to Article 8.10) which conflicts with a previously approved Joint Petroleum Operation or with a previously approved Exclusive Petroleum Operation. Except for Exclusive Petroleum Operations relating to geophysical operations in excess of the work required to fulfil the Exploration work commitment during any particular Exploration sub-period pursuant to the EPCC, and Deepening, Testing, Completing, Sidetracking, Plugging Back, Recompletions or Reworking of a Well originally drilled to fulfil the Exploration work obligations, no Exclusive Petroleum Operations may be proposed or conducted until the Exploration work obligations for all Exploration sub-period are fulfilled. Operations which are required to fulfil the Exploration work commitment during any particular Exploration sub-period must be proposed and conducted as Joint Petroleum Operations under Article 7, and may not be proposed or conducted as Exclusive Petroleum Operations under this Article. No Concessionaire may propose or conduct an Exclusive Petroleum Operation under this Article unless and until such Concessionaire has properly exercised its right to propose an Exclusive Petroleum Operation pursuant to Article 6.13, or is entitled to conduct an Exclusive Petroleum Operation pursuant to Article 11. Any Petroleum Operation that may be proposed and conducted as a Joint Petroleum Operation, other than Petroleum Operations pursuant to an approved Development Plan, may be proposed and conducted as an Exclusive Petroleum Operation, subject to the terms of this Article. Any operation to be proposed as an Exclusive Petroleum Operation must be initially proposed as a Joint Petroleum Operation. For the avoidance of doubt, the following Petroleum Operations may, subject to the applicable Petroleum law, the EPCC and provisions of this Agreement, be carried out as Exclusive Petroleum Operations. Such Petroleum Operations may include, but is not necessarily limited to: Drilling, and/or Testing of Exploration Xxxxx and Appraisal Xxxxx; Completion of Exploration Xxxxx and Appraisal Xxxxx not then completed as productive of Petroleum; Deepening, Sidetracking, Plugging Back and/or Recompletion of Exploration Xxxxx and Appraisal Xxxxx; Development of a Commercial Discovery in accordance with a Development Plan submitted pursuant to the EPCC; and Seismic or other geological or geophysical operations For the avoidance of doubt, no Exclusive Petroleum Operation may be conducted in a Zone from which there has been Production testing or Production of Crude Oil or Natural Gas, other than a Development of a Discovery by one or more Consenting Concessionaires. For the avoidance of doubt, if ENH is a Consenting Concessionaire in an Exclusive Operation, the Carry obligations of the other Consenting Concessionaires shall remain limited to ENH’s Participating Interest as set forth in Article 4.4(A) (i.e. they shall not extend to the incremental part of such interest resulting from ENH being a Consenting Concessionaire).

C) No Exclusive Operation shall be conducted: 1) until it has been proposed as a Joint Operation; 2) which are required conflicts or would interfere with a Joint Operation; 3) which relates to fulfil a Zone which the Exploration work commitment during Parties have agreed to appraise or develop under an approved Work Program and Budget; 4) which relates to a currently producing Zone or to any particular Exploration sub-period must previously discovered Zone which is capable of producing Hydrocarbons in commercial quantities; 5) which relates to a Zone which is above the stratigraphic equivalent of the deepest Zone producing or capable of producing Hydrocarbons in commercial quantities; and 6) if a well proposed thereunder is to be proposed drilled at substantially the same location, to the same subsurface target or into the same Zone as a well included in an approved Work Program and conducted as Joint Petroleum Operations under Article 7, and may not be proposed or conducted as Exclusive Petroleum Operations under this Article. Budget. D) No Concessionaire Party may propose or conduct an Exclusive Petroleum Operation under this Article unless and until such Concessionaire Party has properly exercised its right to propose an Exclusive Petroleum Operation pursuant to Article 6.135.13(A), or is entitled to conduct an Exclusive Petroleum Operation pursuant to Article 11.
