Limitations of Activities. The Company shall comply with the provisions provided in Exhibit “I” attached hereto and incorporated herein by reference (the “Special Purpose Provisions”) which are being adopted to comply with certain provisions required to qualify the Company as a “single purpose entity”. Notwithstanding anything to the contrary in this Agreement or in any other document governing the formation, management or operation of the Company, for so long as any Obligation is outstanding, neither Member nor the Company shall amend, alter, change any of Exhibit “I” or any other provision of this or any other document governing the formation, management or operation of the Company in a manner that is inconsistent with any of the Special Purpose Provisions, unless the Lender consents in writing. Subject to this Section 5.1G, provisions contained in this Agreement may be amended, altered or changed in accordance with Section 11.7. In the event of any conflict between any of the Special Purpose Provisions and any other provision of this or any other document governing the formation, management or operation of the Company, the Special Purpose Provisions shall control.
Limitations of Activities. 5.1 Representative shall not make any representations, warranties or other statements about Avaya or Avaya Services, prices or business practices, except in the same manner and to the same extent as Avaya does in the most up-to-date version of Avaya marketing materials and websites, as amended from time to time. Representative may forward to potential Customers (a) unmodified marketing materials provided by Avaya and (b) references to Company’s standard conditions of sale, as published by Avaya on its website or otherwise. Representative is solely responsible for using the current version of Avaya marketing materials and standard conditions of sale, and for confirming the consistency of Representative’s statements therewith.

  • Limitations of Actions No lawsuit relating to this Agreement may be filed before a written claim is filed with the Administrator and is denied or deemed denied as provided in the Plan and any lawsuit must be filed within one year of such denial or deemed denial or be forever barred.

  • Limitation of Actions Any claim or cause of action by Borrower against Silicon, its directors, officers, employees, agents, accountants or attorneys, based upon, arising from, or relating to this Loan Agreement, or any other present or future document or agreement, or any other transaction contemplated hereby or thereby or relating hereto or thereto, or any other matter, cause or thing whatsoever, occurred, done, omitted or suffered to be done by Silicon, its directors, officers, employees, agents, accountants or attorneys, shall be barred unless asserted by Borrower by the commencement of an action or proceeding in a court of competent jurisdiction by the filing of a complaint within one year after the first act, occurrence or omission upon which such claim or cause of action, or any part thereof, is based, and the service of a summons and complaint on an officer of Silicon, or on any other person authorized to accept service on behalf of Silicon, within thirty (30) days thereafter. Borrower agrees that such one-year period is a reasonable and sufficient time for Borrower to investigate and act upon any such claim or cause of action. The one-year period provided herein shall not be waived, tolled, or extended except by the written consent of Silicon in its sole discretion. This provision shall survive any termination of this Loan Agreement or any other present or future agreement.

  • Actions of Others The knowledge and/or actions, or failure to act, of any director, officer, agent or employee of the Enterprise shall not be imputed to Indemnitee for purposes of determining the right to indemnification under this Agreement.
