Limitations; Termination. Sections 1 and 2 shall not be binding upon Stockholder if the Merger Agreement is amended to materially decrease the Merger Consideration or change the form thereof. This Agreement shall automatically terminate upon the termination of the Merger Agreement in accordance with its terms; provided, that nothing in this Agreement shall relieve any party from liability for any fraud or willful breach by it of this Agreement prior to the effectiveness of such termination.

Limitations; Termination. Notwithstanding that a Force Majeure Event otherwise exists, the provisions of this Section 14 shall not excuse (i) the obligation to pay money in a timely manner for Product actually delivered or other liabilities actually incurred that arose before the occurrence of the Force Majeure Event causing the suspension of performance; or (ii) any late delivery of Product, equipment, materials, supplies, tools, or other items caused solely by negligent acts or omissions on the part of such party. Should a Force Majeure Event prevent a party's performance under this Agreement for a period in excess of thirty (30) days, then the other party, in its sole discretion, may elect to terminate this Agreement by written notice thereof to the other party.
Limitations; Termination. If the Seller's employment is terminated by CP&I for any reason prior to the fourth anniversary of the Closing Date, or if CP&I is sold, liquidated or closed or its operations suspended or terminated (in whole or in part) without the Seller's consent (in each case, a "CP&I Termination"), then Operating Earnings with respect to the twelve month period in which such CP&I Termination occurred, and Operating Earnings for each subsequent period, shall in no event be less than the Operating Earnings for the four fiscal quarters prior to such CP&I Termination; provided, however, if the CP&I Termination occurs after (A) the end of the first fiscal quarter in any fiscal year, the annualized Operating Earnings for the twelve month period in which the CP&I Termination occurs shall be twice the Operating Earnings for the last fiscal quarter of the prior year and the first fiscal quarter of the year in question; and (B) the end of the second fiscal quarter in any fiscal year, the annualized Operating Earnings for the period in which the CP&I Termination occurs shall be 4/3 times the Operating Earnings for the last fiscal quarter of the prior year and the first two fiscal quarters of the year in question.

  • Cross-Termination Notwithstanding any other provision of this Agreement, (1) BNY Mellon may terminate this Agreement by written notice to Voya if the accounting agreement between the Voya Funds and The Bank of New York Mellon is terminated by either the Voya Funds or The Bank of New York Mellon, effective on the date of termination of such accounting agreement, and (2) Voya may terminate this Agreement if the Voya Funds terminate their accounting agreement with The Bank of New York Mellon for cause, effective on the date of termination of such accounting agreement.

  • Benefits Termination Except for any right the Executive may have under the federal law known as “COBRA” or other applicable law to continue participation in the Company’s group health and dental plans at his cost, the Executive’s participation in all employee benefit plans shall terminate in accordance with the terms of the applicable benefit plans based on the date of termination of his employment, without regard to any continuation of the Base Salary or other payment to the Executive following termination of his employment, and the Executive shall not be eligible to earn vacation or other paid time off following the termination of his employment.

  • Rights in Event of Termination of Employment Absent Change in Control (a) In the event that Executive's employment is involuntarily terminated by HMS without Cause and no Change in Control shall have occurred as of the date of such termination, upon execution of a mutual release, HMS will provide Executive with the following pay and benefits: (i) a payment in an amount equal to the greater of: that portion of the Executive’s Agreed Compensation for the then existing Employment Period that has not been paid to Executive as of the date his employment terminates, or 1.0 times the Executive’s Agreed Compensation. If Executive is no longer eligible to participate in an employee benefit plan because he is no longer an employee, HMS will pay Executive the amount of money that it would have cost HMS to provide the benefits to Executive. However, in the payments described herein, when added to all other amounts or benefits provided to or on behalf of the Executive in connection with his termination of employment, would result in the imposition of an excise tax under Code Section 4999, such payments shall be retroactively (if necessary) reduced to the extent necessary to avoid such imposition. Upon written notice to Executive, together with calculations of HMS's independent auditors, Executive shall remit to HMS the amount of the reduction plus such interest as may be necessary to avoid the imposition of such excise tax. Notwithstanding the foregoing or any other provision of this Agreement to the contrary, if any portion of the amount herein payable to the Executive is determined to be non-deductible pursuant to the regulations promulgated under Section 280G of the Code, then HMS shall be required only to pay to Executive the amount determined to be deductible under Section 280G.

  • Termination for Cause; Voluntary Termination If at any time during the Term the Executive’s employment with the Company is terminated pursuant to Section 4.6 or 4.7, the Executive shall be entitled to only the following:
