Limited Use; Nondisclosure. Except as expressly set forth in this Article, Contractor shall not disclose any Confidential Information to any individual or entity other than a Contractor Party, provided that such Contractor Party agrees to abide by the terms of this Article as if such Contractor Party were the Contractor hereunder. Contractor shall use, and shall cause each Contractor Party to use, the Confidential Information solely for the purpose of performing the Work. Contractor shall not, and shall not permit any Contractor Party to, use the Confidential Information for their own benefit other than for the limited purpose set forth herein. To prevent unauthorized use or disclosure of the Confidential Information, Contractor agrees to use the higher of (a) the same degree of care Contractor uses with respect to its own proprietary or confidential information, and (b) a reasonable standard of care. Contractor shall cause each Contractor Party receiving Confidential Information to become familiar with and abide by the terms of this Article as if such Contractor Party were the Contractor hereunder. Contractor shall be responsible for any breach of this Article by any Contractor Party.
Limited Use; Nondisclosure. Xxxxxxx.xxx hereby agrees that it shall use the Confidential Information solely for the purpose of performance under this or other SEMPRA ENERGY contracts and not in any way detrimental to SEMPRA ENERGY, its present and future direct or indirect parent company(ies), affiliates and/or subsidiaries. Neither Xxxxxxx.xxx nor its Representatives shall use the Confidential Information for their own benefit. Xxxxxxx.xxx agrees to use the higher of the same degree of care it uses with respect to its own proprietary or confidential information or a reasonable standard of care to prevent unauthorized use or disclosure of the Confidential Information. Expect as otherwise provided herein, Xxxxxxx.xxx and its Representatives shall keep confidential and not disclose the Confidential Information. Xxxxxxx.xxx shall cause each of its Representatives to become familiar with, and abide by, the terms of this Agreement.
Limited Use; Nondisclosure. CSD hereby agrees that it shall use the Confidential Information solely for the purpose of enrolling and providing notifications to CSD residents in a County-operated or city-operated public emergency warning system consistent with the provisions of Government Code section 8593.4. CSD shall ensure the confidentiality of the Confidential Information is protected under reasonable security procedures, and shall not disclose Confidential Information to any individual other than a Representative. Except as otherwise provided herein, CSD will keep confidential and not disclose the Confidential Information. CSD shall cause each of its Representatives to become familiar with, and abide by, the terms of this Agreement as though it was a party hereto. CSD shall ensure that a local government or a third-party contractor or agent that assists with or administers the emergency warning system may not use the Confidential Information for any purpose other than for emergency notification consistent with Government Code section 8593.4.

Neither Contractor nor its Representatives shall use the Confidential Information for their own benefit. Contractor agrees to use the higher of the same degree of care it uses with respect to its own proprietary or confidential information or a reasonable standard of care to prevent unauthorized use or disclosure of the Confidential Information. Except as otherwise provided herein, Contractor and its Representatives shall keep confidential and not disclose the Confidential Information. Contractor shall cause each of its Representatives to become familiar with, and abide by, the terms of this Agreement.
Limited Use; Nondisclosure. Each party hereby agrees that it shall use the Confidential Information solely for the purpose of evaluating and consummating the Transaction. Neither party nor its Representatives shall use the Confidential Information of the other party for its own benefit other than for the limited purposes set forth herein. Each party agrees to use the higher of the same degree of care it uses with respect to its own proprietary or confidential information or a reasonable standard of care to prevent unauthorized use or disclosure of the Confidential Information. Without limiting the generality of the foregoing, neither party shall disclose the Confidential Information of the other party to any individual other than a Representative. Except as otherwise provided herein, each party and its Representatives will keep confidential and not disclose the Confidential Information. Each party shall cause each of its Representatives to become familiar with, and abide by, the terms of this Agreement.

Supplier hereby agrees that it shall use the Confidential Information solely for the purposes of providing the Services herein and not in any way detrimental to Company or its Affiliates. Neither Supplier nor Supplier’s Representatives shall use the Confidential Information for their own benefit. Except as otherwise provided herein, Supplier and Supplier’s Representatives shall keep confidential and not disclose the Confidential Information Each Party agrees that it will not, without the express prior written consent of the other Party, disclose to any other person or entity the Confidential Information of the other Party. A receiving Party may disclose the disclosing Party’s Confidential Information to those of the receiving Party’s affiliates, associates, vendors, subcontractors, employees, agents, advisors and consultants, but only to the extent that such personnel reasonably need to know such information in connection with such Party’s performance of its obligations under this Agreement (or, in Owner’s case, as necessary in connection with the operation or maintenance of its facility). The receiving Party will be responsible for any disclosures by such parties that are in violation of the restrictions set forth in this Section 31.2. Further, either Party may disclose such information as must be disclosed pursuant to requirements of law or valid legal process; provided that the Party making such disclosure shall promptly notify the disclosing Party in advance of any such disclosure and reasonably cooperate (at the disclosing Party’s expense) in attempt to maintain the confidentiality of the Confidential Information.

Except as otherwise provided herein, Contractor and its CI Representatives shall keep confidential and not disclose the Confidential Information. Contractor shall cause each of its CI Representatives to become familiar with, and abide by, the terms of this Agreement.

The Receiving Party hereby agrees that it shall use the Confidential Information of the Disclosing Party solely for the purpose of evaluating and consummating the Transaction. The Receiving Party shall not use the Confidential Information of the Disclosing Party for its own benefit, other than for the limited purposes set forth herein. To prevent unauthorized use or disclosure of the Confidential Information, the Receiving Party agrees to use the higher of: (a) the same degree of care it uses with respect to its own proprietary or confidential information; or (b) a reasonable standard of care. Without limiting the generality of the foregoing, the Receiving Party shall not disclose the Confidential Information to any individual other than a Representative. Except as otherwise provided herein, the Receiving Party will keep confidential and not disclose the Confidential Information. The Receiving Party shall cause each of its Representatives to which it discloses Confidential Information to become familiar with, and abide by, the terms of this Agreement.
