List of Eligible Persons. Employer will provide OurHealth with a list of Eligible Persons who are entitled to utilize the services of the applicable MyClinics, subject to Exhibit E (the "Eligibility File"), which shall include all of Employer's employees, other individuals who are eligible to receive benefits as an Eligible Person, and all dependents of Employer's employees that Employer desires to include as Eligible Persons. Employee dependents under the age of three (3) may neither be Eligible Persons nor receive Medical Services or Wellness Services at the MyClinics under the terms of this Agreement. Employer will provide its Eligibility File to OurHealth (i) no later than thirty (30) days prior to the applicable Commencement Date, and (ii) no later than ten (10) days prior to the first day of each month following the Commencement Date. Upon the enrollment of additional employees after the Commencement Date, Employer will provide an updated Eligibility File to OurHealth that includes the new or terminated employees in a form as directed by OurHealth and frequency as agreed upon by both parties. Any employees (including eligible dependents) added to the Eligibility File following the Commencement Date will, subject to Exhibit E, be entitled to utilize the services of the MyClinics. Employer will be invoiced for all Eligible Persons added to an Eligibility File as outlined in Exhibit E. If an Eligible Person becomes ineligible for Employer health benefits, Employer must provide OurHealth with an updated Eligibility File reflecting that the Eligible Person is no longer entitled to utilize the services of the MyClinics. The Eligibility Files will be delivered in a format specified by OurHealth as set forth in Exhibit E; however, if Employer desires to use an alternative format or to establish an electronic data interface between OurHealth and Employer to transmit the applicable Eligibility File data, OurHealth will evaluate using the alternative format, including whether there are any additional costs that need to be incurred to utilize the alternative format.

  • Ineligible Persons Business Associate represents and warrants to Covered Entity that Business Associate (i) is not currently excluded, debarred, or otherwise ineligible to participate in any federal health care program as defined in 42 U.S.C. Section 1320a-7b(f) (“the Federal Healthcare Programs”); (ii) has not been convicted of a criminal offense related to the provision of health care items or services and not yet been excluded, debarred, or otherwise declared ineligible to participate in the Federal Healthcare Programs, and (iii) is not under investigation or otherwise aware of any circumstances which may result in Business Associate being excluded from participation in the Federal Healthcare Programs. This shall be an ongoing representation and warranty during the term of this Agreement, and Business Associate shall immediately notify Covered Entity of any change in the status of the representations and warranty set forth in this section. Any breach of this section shall give Covered Entity the right to terminate this Agreement immediately for cause.

  • District’s Evaluation of Consultant and Consultant’s Employees and/or Subcontractors The District may evaluate the Consultant in any way the District is entitled pursuant to applicable law. The District’s evaluation may include, without limitation:

  • Key Individuals 20.1. The Contractor acknowledges that the Key Individuals are essential to the proper provision of the Services to the Authority.

  • All Employees The Company shall not include the shift differential in any employee’s wage rate for the calculation of overtime.

  • Employment of Consultants Part A General Consultants’ services shall be procured in accordance with the provisions of the Introduction and Section IV of the “Guidelines: Selection and Employment of Consultants by World Bank Borrowers” published by the Bank in January 1997 and revised in September 1997 and January 1999 (the Consultant Guidelines) and the following provisions of Section II of this Schedule.   • Overtime-Eligible Employees Employees who are covered by the overtime provisions of state and federal law.

  • Employees and Contractors The Recipient agrees to disclose Confidential Information to any agents, affiliates, directors, officers, or any other employees, collectively known as the “Employees,” solely on a need-to-know basis and represents that such Employees have signed appropriate non-disclosure agreements or have taken appropriate measures imposing on such Employees a duty to third parties:

  • Active Employees Active Employees who have not terminated service during the Plan Year and who meet the following requirements (select all that apply; leave blank if no exclusions):

  • Contractor’s Employees and Subcontractors (a) Contractor shall only disclose PII to Contractor’s employees and subcontractors who need to know the PII in order to provide the Services and the disclosure of PII shall be limited to the extent necessary to provide such Services. Contractor shall ensure that all such employees and subcontractors comply with the terms of this DPA.

  • AGREEMENTS WITH EMPLOYEES AND SUBCONTRACTORS Grantee shall have written, binding agreements with its employees and subcontractors that include provisions sufficient to give effect to and enable Grantee’s compliance with Grantee’s obligations under this Article VI, Intellectual Property.
